4. CONFIDENTIALITY: As an additional and essential condition of membership in WiTECK, Applicant shall abide by the following terms and conditions with respect to the non-use and non-disclosure of Confidential Information:
a.“Confidential Information” means any information so designated in writing, by using the word “confidential” or “proprietary” or another word of similar meaning, by WiTECK or by any other WiTECK Member for purposes of WiTECK’s activities and programs. Without limiting the foregoing, “Confidential Information” includes any non-public product data, design, specification, schedule, budget, cost or price information or supplier or customer information of WiTECK or of any other WiTECK Member that is disclosed to or shared with WiTECK Members (or any subset thereof) in the development, design, testing, use, marketing or distribution of any Konsortium Product (as defined in WiTECK’s Intellectual Property Policy).
b.The following shall not be considered “Confidential Information”: (i) information that is already in the public domain through no act or fault of Applicant; (ii) information that is received by Applicant from a third party source without obligation to WiTECK or any Member of WiTECK; (iii) information that is independently developed by Applicant without the use of or reliance on Confidential Information from WiTECK or any WiTECK Member, as documented by Applicant’s own records; and (iv) information that is required by applicable law to be disclosed to a court or government agency, provided, in such case, prior to any public disclosure, Applicant shall cooperate reasonably with WiTECK or such WiTECK Member (as the case may be) to limit the public release of any proprietary or trade secrets contained therein, including the entry of a protective order.
c.Applicant acknowledges that all such Confidential Information is proprietary to WiTECK and/or the disclosing WiTECK Member (as may be the case). Applicant therefore agrees that, during the term of its membership and thereafter, unless otherwise authorized in writing by WiTECK or such disclosing WiTECK Member, Applicant shall not: (i) use or disclose the Confidential Information other than for the purposes expressly allowed by WiTECK or the disclosing Member; (ii) make or release any unauthorized copy of any portion of the Confidential Information, whether orally or in written, electronic or other form; and (iii) use or disclose the Confidential Information to any of its own employees or agents or the employees of employees or agents of its affiliates unless such recipient has a legitimate “need to know” the Confidential Information and has also entered into a normal and customary non-disclosure agreement that acknowledges a comparable duty of non-use and non-disclosure to protect the Confidential Information. Applicant shall use its best efforts to protect the confidentiality of such Confidential Information and, in any case, shall not use any less care than it uses to protect its own commercial trade secrets and proprietary information.
d.For avoidance of doubt, Applicant’s duties of non-use and non-disclosure as to Confidential Information shall survive the expiration or termination of Applicant’s membership in WiTECK for any reason.
5. MEMBERSHIP FEE, DUES AND PAYMENT:
Initiation Fee and Annual Dues for Membership:
Promoter Member: USD $200,000 initiation fee. (Annual membership dues are $40,000)
Adopter Member: USD$8,000annual membershipdues. There is no initiation fee for Adopter members.
Fees and dues shall be due and payable within 60 days of receipt of invoice. Membership will not commence until the applicable initiation fee has been paid in full, and membership may be suspended or terminated for late payment or non-payment, as applicable.
6. PUBLIC DISCLOSURE: WiTECKis registered under the provisions of the U.S. National Cooperative Research and Production Act (“NCRPA”) and as such, is required to file quarterly notices with the U.S. Department of Justice and the U.S. Federal Trade Commission listing any new members. These notices will be published in the Federal Register. Applicant’s signature below on this Application for Membership authorizes WiTECK to fulfill its reporting obligation to the U.S. Government and to include Applicant’s name on the WiTECK Web site and other official and public listings of members for the duration of its membership in WiTECK.
On behalf of the applicant, I affirm that if accepted for membership, the applicant will abide by the Bylaws, IPR Policy,rules, and other policies of the Wireless Industrial Technology Konsortium (WiTECK) as may be amended and adopted from time to time.
