WARRANTY LETTER FOR CONTAINERS

Present.

Dear Sirs,

(Name of the legal representative), acting on behalf of the company (Customer), hereby, and independently to the General Services Transport Agreement set forth in the Bill of lading, in this act we accept fully liability of the demurrages, delays that might be incurred, potential costs of repair and/or replacement for damage (shuttle to repair yard), abandonment, cleaning, total and/or partial loss of the containers and/or equipment, which shall be use to transport the consigned goods to (Customer).

Notwithstanding the aforementioned, (Customer), as final consignees, assume unconditionally the obligation of payment, committing ourselves to settle them in favour of DHL GLOBAL FORWARDING (MEXICO), S.A. DE C.V., without the need for judicial statement nor resolution, within 5 (five) days following the collection made by DHL GLOBAL FORWARDING (MEXICO), S.A. DE C.V..

The demurrages free-of-charge shall be considered from the next day of completion the unloading of the vessel in which they were transported, and set forth in the quotation. Also, (Customer) shall return the containers or leased equipment to the shipping company designated by DHL GLOBAL FORWARDING (MEXICO), S.A. DE C.V., in the same conditions as received, and within the period of free-of-charge granted by DHL GLOBAL FORWARDING (MEXICO), S.A. DE C.V. in the quotation. After this period without having returned the containers or equipment, (Customer) shall pay the days of demurrages according to the daily rates listed below:

Rates subject to changes during the year, without prior notice. The previous rates over the corresponding VAT.

Free time for the discharge of the container are 6 (six) hours.

The parties agree and accept that the interpretation, execution and/or resolution of any dispute derived or related to this document, shall be construed under Mexican Laws, and the competition and exclusive jurisdiction of the courts of Mexico City.
