Board Member Duties, Responsibilities and Expectations

VMP exists to honor the men and women who have made the ultimate sacrifice in defense of the United States.

VMP Foundation of Pensacola, Inc. Purpose/Mission:

To collaborate with the City of Pensacola, whose citizens exercise ownership and bear ultimate custodial responsibility for the Park and work as Advocate, Provider, Steward and Protector for the Park. Among those duties include, but are not limited to the following:

  • Assisting the City in developing, articulating and managing a unifying them and mission for the advancement and development of the Park.
  • Provide for ongoing maintenance, preservation, improvement and development of the Park.
  • Educating the community, especially our children, about the Park, its mission and holding the sacrifices of those memorialized there as worthy of their gratitude, respect and emulation.
  • Employing all means available to identify and obtain funding for present and future needs of the Park.

VMP Board of Directors consists of 13 members who serve staggered 3 year terms. At least 7 of those members must be:

  • The spouse of an honorably discharged or retired veteran.
  • Surviving spouse of a KIA or MIA veteran.
  • Lineal descendent of an honorable discharged, retired, KIA or MIA veteran.
  • An honorably discharged or retired veteran.

The remaining directors shall be a resident of Escambia or Santa Rosa counties of Florida and an American citizen or legally pursuing American citizenship.

Member of the VMP Board of Directors are expected to:

1) Attend a minimum of 50% of board meetings and committees meetings on which they serve, unless excused by the President. The President will determine what constitutes a valid excuse. VMP Board of Directors meets at 0900 on Tuesday, as necessary, but at least once per month.

2) Understand their fiduciary responsibility as a board member.

3) Actively serve on at least one committee to which they are appointed by the President.

4) Be an advocate for the Veterans Memorial Park by interpreting the Park’s values to the community, representing the organization and acting as a spokesperson, if requested by the President.

5) Contribute their professional expertise and special talents to the organization.

6) Actively participate in fundraising activities.

7) Attend events scheduled at the Park.

8) Act in the best interests of the organization and refrain from discussion and votes where there is a personal conflict of interest.

9) Contribute an amount that is personally significant during each calendar year as part of the board’s overall goal of 100% board financial participation.

10) If in-kind resources are secured as part of the financial commitment, it must be quantifiable and have a fair market value (e.g. ad space, commercial air time, graphic design services, etc.).

11) Board members who cannot meet their obligations as a board member of VMP should give serious consideration about continued board service.
