USE OF BRAND MARK PERMISSION

This permission allows you (the “Brand Mark User”) to display theretail investor brand mark of Borsa Italiana SpA( “Borsa”) as agreed by Borsa and the Brand Mark User in the form attached at Schedule 1. The brand mark shall only be used in materials in which the Brand Mark User ispromoting trading by retail investors on the London Stock Exchange plc or Borsa’s trading servicesand its use will be subject to acceptance of the following terms by the Brand Mark User:

  1. The Brand Mark User acknowledges that all intellectual property rights in Borsa’s brand mark, in all parts of the world, are vested in Borsa and these terms shall not be construed as transferring, granting or conferring to the Brand Mark User or any other third party any right or title of use in respect of any intellectual property rights.
  2. The Brand Mark User shall send a copy of all materials displaying the brand mark before any such materials are made public by the Brand Mark User.
  3. The Brand Mark User shall comply with any such direction that Borsa may give in relation to the placing of its brand mark. The Brand MarkUser shall only display the brand markin the form attached at Schedule 1 and which has been sourced from the Borsa Italiana’s website.
  4. The brand mark of Borsa is to be displayed by itself and may not be combined with any other graphic or textual elements and may not be used as an element of any other brand mark or logo. In addition, the Brand Mark User must include an exclusion zone around any displayed brand mark of Borsa. This exclusion zone shall never be less than the width of the brand mark.
  5. Where applicable, the BrandMark User shall at all times comply with all relevant regulations and rules and all applicable law.
  6. Without prejudice to Borsa’s authority and discretion under paragraph 2 or paragraph 8, the Brand Mark User shall not display Borsa’s brand mark in any way which is indecent or inappropriate, or in any other way incompatible with Borsa’s reputation.
  7. Borsa reserves the right to withdraw permission immediately in the event that the Brand Mark User breaches any of these terms, and shall immediately cease to use Borsa’s brand mark.
  8. Borsa reserves the right to terminate the Brand Mark User’s use of their brand mark for any reason by giving seven (7) days written notice. At which time, the Brand Mark User must remove any brand marks being displayed immediately.
  9. In the event that this permission is withdrawn or terminated, the Brand Mark User must destroy all copies of any materials which contain the brand mark of Borsa
  10. This agreement is made under English law and the parties hereby irrevocably submit to the exclusive jurisdiction of the English courts.
