STIPULATION AND PROPOSED ORDER
POSTPONING AND CONTINUING ANY HEARING OR FURTHER ORDER
ON PLAINTIFF’S MOTION FOR PERMANENT INJUNCTION

Plaintiff Riddell, Inc. (“Riddell”) and Defendant Schutt Sports, Inc. (“Schutt”) hereby stipulate to the following:

  1. On August 10, 2010, the parties entered a stipulation to postpone any hearing on Plaintiff’s motion for a permanent injunction, subject to certain terms contained in such stipulation. [Docket Entry 381.] On August 11, 2010, this Court entered an Order consistent with the parties’ stipulation. [Docket Entry 383.]
  2. All proceedings in this action, including any hearing, disposition or order on Riddell’s motion for permanent injunction, shall be stayed until September 6, 2010, and either party may request a hearing on pending matters on September 7, 2010 or after.
  3. The stay on execution of a judgment provided for by Federal Rule of Civil Procedure 62 is hereby extended to September 10, 2010.
  4. Schutt will not dump or otherwise dispose of any infringing products outside of sales made in accordance with Schutt’s ordinary business practices at prices equal or substantially equal to Schutt’s ordinary and customary pricing.
  5. Schutt (a) shall only sell, lease or otherwise transfer any asset in the ordinary course of its business consistent with its past business practices; (b) not declare or pay any dividend or other distribution to or for the benefit of any of its common or preferred shareholders; (c) shall not increase the compensation or benefits of, or declare or pay any bonus to any officer, director or employee; and (d) shall keep Riddell informed of any changes in its relationships with its lenders or creditors or any changes in its ownership.
  6. To the extent not already accounted for in the damages awarded in the Court’s judgment entered August 18, 2010 [Docket Entry 387], any sales made by Schutt prior to the entry of any permanent injunction shall be subject a reasonable royalty at a rate to be determined by the parties, without prejudice to the parties’ arguments regarding what that rate shall be and subject to and without prejudice to any post-trial motions and/or appeals.
  7. Schutt shall provide certain financial information to Riddell, in accordance with the terms of a nondisclosure agreement reached by the parties.
  8. Entry into this Stipulation is without prejudice to either party for any purpose, including without limitation, either party’s position with regard to the appropriateness of a permanent injunction.
