LICENSE AGREEMENT

This Agreement is entered into on[insert date here], between The Regents of the University on behalf of the UCLA University Library (“Library”), herein referred to as “Library”, and[insert name of entity requesting license], herein referred to as “Licensee”.

  1. The Work:

The Library hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use The Work described in Schedule A attached hereto (“The Work”) in accordance with the restrictions set forth in paragraph 2, below. Library warrants that it has the right to enter into this Agreement and to grant the rights contained herein, but provides no other representations or warranties of any kind, expressed or implied.

  1. Restricted Use:

This license to use The Work is restricted solely to the [insert brief description of intended use]as described:

The Work shall not be used for any other purpose whatsoever. The Licensee will not make any reproduction of or from The Work whatsoever in whole or in part, except for use in and as part of the analog book herein specified. The Library makes no grant for any use or permission to use in any other medium, now known or later developed. Licensee agrees to use The Work solely for a one time print publication and no other use is authorized. Licensee will include in the print book the copyright ownership information and credit line as specified in paragraph 6, below.

  1. Cost:

Licensee will pay all costs arising in any way by reason of the license granted hereunder. All work related to the provision of The Work will be performed, supervised or delegated by the Library. All work will be done on a time-available basis.

  1. Advertising:

Licensee shall not use the name of the University of California, UCLA or its Library without the prior written consent of the Library, except as described in paragraph 6 below, “CREDIT”.

  1. Indemnification:

Licensee will indemnify, defend and hold the Library and its officers, directors, agents, employees, representatives, associates and affiliates and each and all of them harmless from and against any and all costs, damage, liability and expense, including reasonable fees arising out of any claim whatsoever, whether of not groundless, which may arise directly or indirectly, by reason of Licensee’s use of the Schedule A licensed Work or the Schedule B images for which no permission or authorization was granted.

  1. Credit

Licensee agrees to credit The Work licensed hereunder in the official credits and acknowledgements of the[insert end product title].In any and all products or exhibitions or advertising featuring The Work, the following credit line must either appear in conjunction with the image or be listed in the credits section of the applicable exhibition as follows:

  1. Copies

Licensee agrees to donate to the Library five copies of the final release and corrected copiesof each [fill in names and/or description of every use and associated products for example, copies of DVDs of broadcast program(s), publicity, print text etc.]to be shipped to the Library at the expense of the Licensee no later than ten days after its publication. Licensee agrees to use its best efforts to supply Licensor with copies of any and all products made includinganyadvertising utilizing The Work licensed under this agreement.

  1. Fees:

  1. Return of Negatives

Licensee will return all negatives obtained from The Library.

  1. Governing Law:

This Agreement and all matters of issues material thereto shall be governed by the laws of the State of California applicable to contracts performed entirely therein.

  1. Entire Agreement:

This Agreement contains the entire understanding of the parties related to the subject matter herein contained, and it cannot be changed or terminated orally.
