Rules For Proper Trademark Use

1. On Product Packaging, Advertising and Promotional Materials, Technical Documentation and Websites

1.1 ARM mbed logo (Linear) (Exhibit A(1))

(a) Partner shall apply the ARM Trademark identified in Part A(Exhibit A(1)) in a prominent place to any mbed-compatible Partner product and/or related product packaging distributed under licence from ARM.

(b) Partner may apply the ARM Trademark identified in Part A(Exhibit A(1)) in a prominent place to any technical documentation for, or relating to any mbed-compatible Partner product distributed under license from ARM.

(c) Partner may apply the ARM Trademark identified in Part A(Exhibit A(1)) to any advertising or promotional material for, or relating to, any mbed-compatible Partner product distributed under license from ARM, or to the company ARM Limited.

(d) Partner may apply the Trademark identified in Part A(Exhibit A(1)) to the page(s) of Partner’s website relating to any mbed-compatible Partner product distributed under license from ARM.

1.2 ARM mbed logo (Speech Bubble) (Exhibit A(2))

(a) Partner may apply the ARM Trademark identified in Part A(Exhibit A(2)) to any advertising or promotional material for, or relating to, Partner’s business relationship with ARM.

1.3 ARM corporate logo (Exhibit B)

(a) Partner may apply the ARM Trademark identified in Part B in a prominent place to any mbed-compatible Partner product and/or product packaging distributed under licence from ARM.

(b) Partner shall apply the ARM Trademark identified in Part B in a prominent place, to any technical documentation for, or relating to, any mbed-compatible Partner product distributed under license from ARM.

(c) Partner may apply the ARM Trademark identified in Part B to any advertising or promotional material for, or relating to, any any mbed-compatible Partner product distributed under license from ARM.

(d) Partner may apply the ARM Trademark identified in Part B to the page(s) of Partner’s website relating to any mbed-compatible Partner product distributed under license from ARM.

1.4 ARM mbed Partner logo (Exhibit C)

(a) Partner may apply the Trademark identified in Part C in a prominent place to any advertising or promotional material for, or relating to, Partner’s business relationship with ARM.

(b) Partner may apply the Trademark identified in Part C in a prominent place, to any technical documentation for, or relating to, any mbed-compatible Partner product distributed under license from ARM.

1.5 ARM mbed Enabled logo (Exhibit D)

(a) Partner shall use the Trademarks identified in Part E on any Approved Products (defined below), product packaging and any associated printed materials in relation to the promotion, sale and distribution of the Approved Products for the applicable mbed OS version of the program only.

(b) Partner may apply the Trademarks identified in Part E on any relevant company and distributor website.

(c) For the avoidance of doubt, the Trademarks identified in Part E may not be used on any other materials and may not be used for any purpose other than the permitted use set forth in 1.5(a) and (b).

(d) The Approved Products means those products which comply with the ARM mbed Enabled program requirements (at the time of distribution), compliance criteria and technical requirements, which are available on ARM’s mbed website at http://mbed.com/mbed-enabled-requirements/. Partner is responsible for submitting the materials for approval and ensuring continued compliance. ARM shall have the right to revise the requirements and technical criteria at any time.

(e) The list of Approved Products will be on ARM’s website at http://mbed.com/mbed-enabled-products/ (“Approved Products Website”), which is a public website.

(f) Partner may use the Trademarks identified in Part E commencing on the date that each Approved Product is listed on the Approved Products Website and ending on the earlier of (i) the termination date of the mbed Enabled program, and (ii) the termination date of the Partner’s mbed partnership agreement (“mbed Enabled Trademarks Term”).

(g) ARM may at its sole discretion revoke its permission at any time during the mbed Enabled Trademarks Term. Upon revocation or expiry, Partner shall cease all further use of the Trademarks identified in Part E with immediate effect and all rights granted under Partner’s mbed partnership agreement shall revert to ARM, except that Partner shall have a non-exclusive period of ninety (90) days (the “Sell-Off Period”) from the date of expiry or the date of ARM’s notice of revocation during which time it shall be entitled to sell any existing stock of any of the Approved Products bearing the Trademarks. Within thirty (30) days of expiry of the Sell-Off Period, Partner shall deliver all remaining stock to ARM and provide ARM with a full inventory of such stock.

(h) Partner shall notify ARM in writing if Partner no longer requires permission to use the Trademarks identified in Part E and all rights granted under Partner’s mbed partnership agreement relating to such Trademarks shall cease.

1.6 Partner may use any of the ARM Trademarks identified in Parts A, B C and E to create a hyperlink between the applicable page of Partner’s website and ARM’s corporate website at www.arm.com and/or mbed website at www.mbed.com.

1.7 Any use or application by Partner of the ARM Trademarks identified in these ARM mbed Trademark Guidelines shall be in accordance with; (i) the Logo Design Guide set out in these ARM mbed Trademark Guidelines; and (ii) with the guidelines set forth in Clause 2 of these ARM mbed Trademark Guidelines and other accepted trademark use standards.

1.8 The ARM Trademarks identified in Parts A, B C and E may only be used as logos and may not be incorporated into a body of text.

1.9 Other Trademarks

(a) Partner may apply the ARM Trademarks identified in Part D to any mbed-compatible Partner product and/or product packaging distributed under licence from ARM.

(b) Partner may apply the ARM Trademarks identified in Part D to any advertising material or promotional, technical or other documentation relating to any mbed-compatible Partner product distributed under licence from ARM.

(c) Partner may apply the ARM Trademarks identified in Part D to the page(s) of Partner’s website relating to any mbed-compatible Partner product distributed under licence from ARM.

(d) Any use of the ARM Trademarks identified in Part D by Partner shall be in accordance with the guidelines set forth in Clause 2 of these ARM mbed Trademark Guidelines and other accepted trademark use standards.

2. Use Guidelines

2.1 Partner shall use the ARM Trademarks in accordance with ARM’s trademark use guidelines, which are available on ARM’s corporate website at http://www.arm.com/about/trademarks/index.php. ARM may update these guidelines at any time.

The logos shown in this Logo Design Guide are the current versions of the logos. Any ARM logo depicted above shall include any future version of such logo.

The logos must appear exactly as shown in this Logo Design Guide; the elements, proportions and relationships must not change. The logos are available in a suitable format from ARM to ensure the highest possible reproduction quality. However, should you need another format for a specific project, please contact ARM for advice.

Use an approved high resolution format of the logos to ensure the highest possible reproduction quality. Please contact ARM if you require the logos in a particular digital format. When produced in colour, the marks should be displayed in accordance with the following specified mixes:

Light Blue: / 65,10, 15, 0 / 0, 195, 220 / 009FC1

·  Do not alter or deform the shape of the logos in any way. The logo must appear exactly as shown: the elements, proportions and relationships must not change.

·  Do not replace the logotype with a different typeface or attempt to mimic the logotype typeface.

·  Do not use the logos or logotypes as elements in titles, headlines or text.

·  Do not place competing visual elements (including but not limited to other trademarks) close to the logos.

·  Do not set type near to the logos that could be construed as a corporate slogan or motto.

·  Always maintain a minimum white space of capital letter height on all sides of the logo.

·  Do not imitate any element of the logo, including its trade dress.

·  Do not display the logo more prominently than your own trademarks, logos and names. This includes, but is not limited to any company name, trade name, product name, service name, technology name, social media name or handle.

·  Do not use the logo in any orientation other than horizontal.
