NAMEANDAFFILIATION

SectionI.I:Name.

ThenameoftheChapterisInlandEmpireSHRM(hereinreferredtoasthe"Chapter").Toavoidpotentialconfusion,theChapterwillrefer toitselfasInlandEmpireSHRMandnotasSHRMortheSocietyforHumanResourceManagement.

Section1.2:Affiliation.TheChapterisaffiliatedwiththeSocietyforHumanResourceManagement(hereinreferredtoas"SHRM").

Section1.3:Relationships.TheChapterisaseparatelegalentityfromSHRM.ItshallnotbedeemedtobeanagencyorinstrumentalityofSHRMorofaStateCouncilandSHRMshallnotbedeemedtobeanagencyorinstrumentalityoftheChapter.TheChaptershallnotholditselfouttothepublicasanagentofSHRMwithoutexpresswrittenconsentofSHRM.TheChaptershallnotcontractinthenameofSHRMwithouttheexpresswrittenconsentofSHRM.

ARTICLE2

PURPOSE

ThepurposesofthisChapter,asanon-profitorganization,areto:

i.provideaforumforthepersonalandprofessionaldevelopmentofourmembers;

ii.provideanopportunitytodevelopleadership,managerial,publicspeakingandgroupdecision-makingskills;

iii.provideanarenaforthedevelopmentoftrustrelationshipswherecommonproblemscanbediscussedanddeliberated;

iv.provideanopportunity tofocusoncurrenthuman resourcemanagementissuesofimportancetoour members;

v.provideafocusforlegislativeattentiontostateandnationalhumanresourcemanagementissues;

vi.providevaluable informationgatheringanddisseminationchannels;

vii.provideapoolofhuman resourcemanagementleadersforperpetuationoftheChapterandofSHRM;

viii.serveasanimportantvehicleforintroducinghuman resourcemanagementprofessionalstoSHRM;

ix.serveasasourcefornewmembersforSHRM;and

x.serveaspartof thetwo-waychannelpf communicationsbetweenSHRMandtheindividualmembers.

TheChaptersupportsthepurposeofSHRM,whichistopromotetheuseofsoundandethicalhumanresource managementpracticesintheprofessionandto:

i.bearecognizedworldleaderinhuman resourcemanagement;

ii.providehigh-quality,dynamicandresponsiveprogramsandservicetoourcustomerswithinterestsinhumanresourcemanagement;

iiibethevoiceoftheprofessiononhumanresourcemanagementissues;

iv.facilitatethe developmentandguidethe directionof thehumanresourceprofession;and

v.establish,monitorandupdatestandardsfortheprofession.

ARTICLE3

FISCAL YEAR

ThefiscalyearoftheChaptershallbethe calendaryear.

ARTICLE4

MEMBERSHIP

Section4.1:Qualificationsfor Membership.ThequalificationsformembershipintheChaptershallbeasstatedinSections4.3,4.4,4.5and4.6ofthisArticle.TheChapterisa100%ChapterofSHRMandallChaptermembers,regardlessofcategory,mustbemembersingoodstandingofSHRM.ToachievethemissionoftheChapterthere

shallbenodiscriminationin individualmembershipsbecauseofrace,religion,sex,age,national origin,disability,veteran'sstatusoranyother legallyprotectedclass.

Section4.2:Non-transferabilityofMembership.MembershipintheChapterisneithertransferablenorassignable.

Section4.3:IndividualMembership.MembershipintheChapterisheldintheindividual'sname,notanorganizationwithwhichthememberisaffiliated.

Section4.4:ProfessionalMembers.Membershipshallbe limitedtothoseindividualswhohavebeenapprovedby SHRM.ProfessionalmembersmayvoteandholdofficeintheChapter.

Section4.5:AssociateMembers.Individualsinnonexempthumanresourcemanagementpositionsaswellasthoseindividualswhodonotmeetthequalificationsoftheotherclasses ofmembership,butwhodemonstrateabonafideinterestinhumanresourcemanagementandthemissionoftheChapter.Associatemembersmaynotvote andmayholdofficeintheChapteronlywiththeapprovalofthemajorityoftheboard.

Section4.6:StudentMembers.IndividualswhohavebeenapprovedbySHRMasStudentMembers.StudentmembersmaynotvoteorholdofficeintheChapter.

Section4.7:ApplicationforMembership.ApplicationformembershipshallbeontheChapterapplicationform.AllapplicationsshallbereviewedbytheVicePresidentofMembershiportheirdesignee.Newmembersshallbeaffordedfullmembershiprightsfromthedateofapplication.

Section4.8:Voting.EachProfessionalmemberoftheChaptershallhavetherighttocastonevoteoneachmatterbroughtbeforeavoteofthemembers.AssociateandStudentmembersarenoteligibletovote.Votes shallbetalliedbyanAdHocCommittee.appointedbytheBoardofDirectors.

Section4.9Daes.AnnualmembershipduesshallbeestablishedbytheBoardofDirectors.

Section4.10:TerminationofMembership.AnymemberfailingtomaintainmembershipinSHRMwillforfeit his/hermembershipintheChapter.

ARTICLES

MEMBERMEETINGS

Section5.1:ReglllarMeetings.RegularmeetingsofthemembersshallbedeterminedbytheBoardofDirectors.

Section5.2:AnnualMeetings.TheannualmeetingofthemembersforelectingDirectorsandOfficersandconductingotherappropriatebusinessshallbeheldinSeptemberoratsuchothertimeasdeterminedbytheBoard ofDirectors.Membersunabletoattendthe annualmeetingmayvoteelectronically.

Section5.3:SpecialMeetings.SpecialmeetingsofmembersshallbeheldoncallofthePresident,theBoardofDirectorsorbymembershavingone-twentiethofthevotesentitledtobecastatsuchmeeting.

Section5.4:NoticeofMeetings.Noticeofallspecialandannualmeetingsshallbegiventoallmembersatleastten dayspriorto themeetings.Noticeofregularmeetingsshallbegiventoallmembersatleastsevendayspriortothemeeting.

Section5.5:Quorum.Membersholdingone-tenthofthevotesentitledtobecastshallconstituteaquorum.Thevoteofthemajorityofthememberspresenteitherinperson,byconferencecall,representedbyproxyasestablishedbytheBoardofDirectorsorelectronicallyshallbenecessaryfortheadoptionofanymattervotedonbythemembers.

ARTICLE6

BOARDOFDIRECTORS

Section6.1:PowerandDllties.TheBoard ofDirectors(alsoreferredtoasthe"Board")shallmanageandcontroltheproperty,businessandaffairsoftheChapterandingeneralexerciseallpowersoftheChapter.

Section6.2:Officers.ThefollowingshallbemembersoftheBoardofDirectorsandshallbeOfficersoftheChapter: President,President-Elect,VicePresidentofMembership,VicePresidentofMarketing,Treasurer,andSecretary.

Section6.3:CompositionoftheBoardofDirectors.AlongwiththeOfficerslistedinSection6.2ofthisArticle,theBoardofDirectorsshallalsoincludeCoreLeadershipAreaDirectorsandthePastPresident.TheseshallconstitutethegoverningbodyoftheChapter.AdditionalCoreLeadershipAreaDirectorsshallbenominatedbythePresidentandelectedfromamongtheeligiblemembershipasmembersoftheBoardofDirectors,shouldnewCore

LeadershipAreasbeestablishedbySHRM.

Section6.4:Qufllifications.AllcandidatesfortheBoardofDirectorsmustbeProfessionalmembers(orAssociate membersifapplicable)oftheChapteringoodstandingatthetimeofnominationorappointmentandfortheircompletete1D1ofoffice.PerSHRMBylaws,thePresident mustbeamemberingood standingofSHRMthroughoutthedurationofhis/hertermofoffice.TheChapteralsorequiresthateachBoardmemberbeacurrentmemberingood standingof SHRMthroughoutthedurationof his/herterm of office.

Section6.5:Election-TermofOffice.OfficersandDirectorsshallbeelectedbythemembersattheannualmeetingofthemembershipfromtheproposedslateofthenominatingcommitteeappointedbytheBoardofDirectorsatthebeginningofeachelectionyear.EachelectedOfficerandDirector shallassumeofficeonJanuaryIfollowinghis/herelectionandshallholdofficeforoneyearoruntil his/hersuccessor iselectedandtakesoffice.Officers and

Directorsmaynotbeelectedtoservemorethan two(2)consecutivetermsinthesameposition.

Section6.6:Vocancies.Anyvacancyin theBoardmaybefilledfortheunexpiredtermbyappointmentofthePresidentwithconsentoftheBoardofDirectors.

Section6.7:Quorum.AsimplemajorityofthetotalBoardofDirectorsshallconstituteaquorumforthetransactionofbusiness.TheactofamajorityoftheDirectorspresentatanymeetingatwhichthereisaquorum,eitherinperson.byconferencecallorbyproxyasestablishedbytheBoardofDirectors,shallbetheactoftheBoard ofDirectors.

Section6.8:BoordofDirector'sResponsibilities.TheBoardofDirectorsshalltransactallbusiness oftheChapterexceptasprescribedotherwiseinthebylawsorothergoverninginstrumentsofthechapter. AProfessionalmemberingoodstandingmayrequestthePresidenttoplaceontheagendaofthenextregularBoardofDirectorsmeetinganyactionforconsiderationbytheBoardofDirectors.

Section6.9:RemovfllofDirectorondOfficer.AnyDirectororOfficermayberemovedfromoffice,withcause,uponanaffirmativevoteoftwo-thirdsoftheentireBoardofDirectorsatadulyconstitutedBoardofDirectorsmeeting.TheDirectororOfficershallbeentitledtoadueprocessbearingpriortoanyterminationactionbeingimposed.

ARTICLE7

DUTIESANDRESPONSIBILITIES

Theresponsibilitiesofeachmemberofthe BoardofDirectorsshallbeasoutlinedinthepositiondescriptionsmaintainedbytheSecretaryanddistributedtotheChapterBoard.Thepositiondescriptionsaresubjectto changeasdeemednecessaryby thePresidentand/ortheChapterBoard.

Section7.1:ThePresident.ThePresidentshallpresideatthe meetingsofthemembersandoftheBoard.He/she shalldirecttheChapter andhavechargeandsupervisionoftheaffairsandbusinessoftheChapter,subject tothe ultimatemanagementauthorityof theBoardofDirectors. He/sheshallmaintainliaisonandbeacurrentmemberingoodstandingofSHRMthroughoutthedurationofhis/her termofoffice.

Section7.2:ThePresident-Elect.ThePresident-Elect,attherequestofthePresident,or inhis/herabsenceordisability,mayperformanyofthedutiesofthePresident.He/sheshallhavesuchotherpowersandperformsuchotherliaisondutiesastheBoardorthePresidentmaydetermine.He/sheshallhavetheauthoritytoappointsubcommitteestoplanandimplementtheactivitiesassociatedwiththeprogramyear.Thepresident-electisencouragedtoattendtheannualSHRMLeadershipConference.

Section7.3:TheVicePresidentofMembership.TheVicePresidentofMembershipshallserveasChairoftheMembershipCommittee.He/sheshall encouragemembershipgrowthandshallmaintaintheofficial membershiprosteroftheChapter.He/sheshallhavesuchotherpowersandperformsuchotherdutiesasthePresidentmaydetermine.

Section7.4:The VicePresidentofMarketing.TheVicePresidentofMarketingshallserveasChairoftheMarketingCommittee.He/sheshalldirectandoverseemarketing,includingsocialmediamarketingandshallmaintaintheofficialmarketingrosteroftheChapter.He/sheshallhavesuchotherpowersandperformsuchotherdutiesasthePresidentmaydetermine.

Section7.5:TheTreasurer.TheTreasurershallberesponsiblefor thefinancialaffairsofthe Chapter,includingallrequiredfilings.TheseresponsibilitiesshallincludefinancialreportstotheBoardandcoordinatingarrangementsfortheannualexaminationauditofthe accountsasmayberequiredbytheBoard.He/sheshallberesponsibleformembershipbilling.He/sheshallalsoperformsuchotherdutiesasthePresidentmaydetermine.

Section7.6:TheSecretary.TheSecretaryshallberesponsibleforrecordingtheminutesofallmeetingsofthe Chapter,shallberesponsibleformakingallmembersaware ofsuchmeetings.

Section7.7:Legislame/LegalDirector.TheLegislative/Legal Director shallberesponsibleforencouraging chapterparticipationininfluencinglocal,state,and federal governmentpolicyonHRrelatedissues.He/sheshallalsocoordinateand conductanannuallegal seminartoensurechaptermembershipstayscurrentonlegalissues

impactingthemandtheirbusinesses.

Section7.8:CoreLeadershipArea(CLA)Directors.CoreLeadershipAreaDirectorsshallhavesuchpowersandperformsuchliaisondutiesastheBoardorthePresidentmaydetermine.Theresponsibilityincludesawareness sessionsandinitiativesintheparticularCLAasdeterminedbythePresidentandtheBoard.He/sheshallhavetheauthority toappointsub-committeestoplanandimplementtheactivitiesassociatedwiththeCLAfortheyear.

Section7.9:PastPresident.ThePastPresidentshallserveasanadvisortothePresident,andfulfillsuchdutiesasrequestedbythePresidentand/orBoardofDirectors.

Section8.1:Committees.Theestablishmentofbothstandingandad-hoccommitteesshallbetherightofthePresidentand/ortheBoardofDirectors.

Section8.2:CommitteeOrganization.CommitteesinadditiontotheNominatingCommitteeareestablished byresolutionoftheBoardofDirectors.

Section8.3:CommitteeChairpersons.AppointmentofChairpersonstocommitteesisthesoleresponsibility ofthePresident.TheChairperson andthePresidentwillseekinterestedmemberstoparticipateincommitteeactivities.SpecialCommitteesortaskforcesmaybeorganizedbythePresidenttomeetparticularChapterneeds.

Section8.4:CommitteeActivity.Committeesareestablishedtoprovidethe Chapterwith specialongoingservicessuchasMembership,Programs,Communications,LegislativeAffairs,ProfessionalDevelopment,StudentChapterAffairs,Marketing/PublicRelations,etc.

ARTICLE9

ELECTRONICVOTING

MailorelectronicballotscanbeusedfortheelectionofDirectorsprovidedtheChapterhashadatleastoneinpersonmeetingthatyear.

ARTICLE10

STATEMENTOFETHICS

TheChapteradoptsSHRM'sCodeofEthicalandProfessionalStandardsinHumanResourceManagementformembersoftheAssociationinordertopromoteandmaintainthehigheststandardsamongourmembers.Eachmembershallhonor,respectandsupportthepurposesofthisChapterandofSHRM.

TheChaptershallnotberepresentedasadvocatingorendorsinganyissueunlessapprovedbytheBoardofDirectors.NomembershallactivelysolicitbusinessfromanyothermemberatChaptermeetingswithouttheapproval fromthe BoardofDirectors.

ARTICLE11

PARLIAMENTARYPROCEDURE

Meetingsofthe Chaptershallbegovernedbytherulescontainedin Robert'sRulesofOrder(newlyrevised)inallcasestowhichtheyareapplicableandinwhichthey areconsistentwith the Lawandthe BylawsoftheChapter.

ARTICLE12 AMENDMENTOFBYLAWS

TheBylawsmaybeamendedbyamajorityvoteofthememberspresentatanymeetingatwhichaquorumexists andinwhichrequirednoticehasbeen met,providedthatnosuchamendmentshallbeeffectiveunlessanduntilapprovedby theSHRMPresident/CEOorhis/herdesigneeasbeinginfurtheranceofthepurposesofSHRMandnotinconflictwithSHRMbylaws.AnymotiontoamendthebylawsshallclearlystatethatitisnoteffectiveunlessanduntilapprovedbytheSHRMPresident/CEOorhis/herdesignee.

ARTICLE13CHAPTERDISSOLUTION

IntheeventoftheChapter'sdissolution,theremainingmoniesintheTreasury,after Chapterexpenseshave beenpaid,willbecontributedtoanorganizationdecideduponbythe BoardofDirectorsatthetimeofdissolution(e.g.,theSHRMFoundation,alocalstudentchapter,thestatecouncil,anHR-degreeprogram,orothersuchorganizationorcharitywithpurposesconsistentwiththoseoftheChapter).

ARTICLE14

WITHDRAWALOFAFFILIATEDCHAPTERSTATUS

AffiliatedchapterstatusmaybewithdrawnbythePresident/CEOofSHRMorhis/herdesigneeasarepresentative oftheSHRMBoardofDirectorsuponfindingthatthe activitiesoftheChapterareinconsistentwith orcontrarytothebestinterestsofSHRM.Priortowithdrawalofsuchstatus,theChaptershallhaveanopportunitytoreviewa

writtenstatementofthereasonsforsuchproposedwithdrawalandanopportunitytoprovidetheSHRMBoardofDirectorswithawrittenresponsetosuchproposalwithinathirty(30)dayperiod.Inaddition,WhentheChapterfailstomaintaintherequiredaffiliationstandardsassetforthbytheSHRMBoardofDirectors;itissubjecttoimmediatedisaffiliationbySHRM.AfterwithdrawalofChapterstatus,theSHRMBoard ofDirectorsmaycauseanewChaptertobecreated,or,withtheconsentofthe President/CEOofSHRMandthe consent ofthebodywhichhashadChapter statuswithdrawn,mayre-conferChapterstatusuponsuchbody.

AsusedintheseBylaws,feminineorneuterpronounsshallbesubstitutedforthoseofthemasculineform,andthepluralsshallbesubstitutedforthesingularnumberinanyplacewherethecontextmayrequiresuchsubstitutionorsubstitutions.Note•Theserevisedbylawsarenot effectiveuntilapprovedandsignedbySHRM CEOordesignee.
