The undersigned, having read all the requirements of this solicitation for bids, together with the Invitation to Bid and RFQ, agree to furnish all labor, materials, equipment and construction management specified herein necessary to complete the work as follows, and makes the following representations to the Owner:

A.The Contract Award Amount of $100,000 less the actual total amount payable by Owner to Contractor for work performed times 1.08 is reasonable compensation if the Owner fails to issue the minimum guaranteed volume of Work Orders stated in the RFQ.

B.Contractor has carefully reviewed the Contract Documents and satisfied itself as to the typical or probable nature, locations, character, quality and quantity of the potential Work, the labor, materials, equipment, goods, supplies, work, services and other items to be furnished and all other requirements of the Contract Documents.

C.Contractor is financially solvent, able to pay its debts as they mature, and possesses sufficient working capital to complete the Work and perform Contractor’s obligations required by the Contract Documents.

D.Contractor is able to furnish the plant, tools, materials, supplies, equipment, subcontractors and labor required to complete the Work and perform the obligations required by the Contract Documents and has sufficient experience and competence to do so.

E.The Unit Price Book prices multiplied by the appropriate contractor-proposed coefficients and City Cost Index, when used as the basis for Work Orders and Change Orders as described in this document, are reasonable and provide complete compensation for the Work.

F.The initial contract term of two(2) years, with an option to renew for one additional year, is reasonable.

G. Withintwo(2) weeks following contract award the contractor will submit an updated MWBE Outreach and Participation Plan to the Owner demonstrating how the Contractor will equitably spread MWBE subcontracting opportunities among various subcontract disciplines. This plan must be reviewed by the State Office of Minority and Women’s Business Enterprises and approved by the Owner prior to the issuance of any Work Order under this Contract. RCW 39.10.450(5)

TERM OF THE CONTRACT

Subject to other provisions, the term of thecontract shall be two years from the effective date of the contract. By mutual consent of the Owner and the Contractor, in accordance with RCW 39.10.440, the term of thisContract may be extended for a maximum of one additional year at the same pricing set forth in this Bid Form. The Owner will not issue any new Work Orders after the expiration of the Contract. Any Work Order authorized prior to the expiration of the Contract must be completed within the time specified in the Work Order. In the event the scheduled completion for any Work Order extends beyond the term of the Contract, the Contractor and Owner agree that the terms of the Contract shall continue in effect and be applicable to such Work Orders.

LIQUIDATED DAMAGES

Owner retains the right to establish Liquidated Damages for any Work Order. A minimum of $250.00 per day will be established on each work order.

CONTRACT AND BOND

If notified of the acceptance of this bid within sixty days of the time set for the opening of bids, the undersigned agrees to execute a contract for the above work on the University of Washington’s Job Order Contract form bound with the Contract Documents and to furnish the bonds and insurance as required.
