BYLAWS

ArticleI.Purpose

The UBA, which stands for Underground Bowling Association is a semi-professional bowling association geared towards urban bowlers with unorthodox, unique and/or original styles of bowling. The primary focus of the UBA is to provide a unique form of bowling entertainment. While it is recognized that the UBA is a bowling organization that is filled with top notch Bowlers it is also known and understood that all participants are in fact entertainers whose primary focus is to provide entertainment for spectators.

Section 1.01UBA Team Eligibility

(a)All teams are required to pay a $125.00 annual franchise fee. This is to assist with video production and distribution services, promotional items, website hosting and other services.

(b)In order to register a team within the UBA you must have a minimum of 7 active members on your roster. You must submit a set of team rules that will govern your team and also identify your team president and at least one team captain.

(c)Your team must have a unique team logo. If you do not have a team logo the UBA can provide this service for you. (Certain fees will apply.)

(d)All members of your team must purchase a UBA jersey and they must signup/register on the UBA website

(e)UBA teams can only have up to 25 active members on their roster at any time. Any bowlers outside of the 25 active members must be listed as reserve or inactive bowlers.

(f)There is no limit on the amount of reserve or inactive bowlers a team can have.

(g)A copy of your team roster (active, reserve and inactive bowlers) must be submitted to the Office of Team Compliance and Personal Management. Failure to do so can result in team members being ineligible for UBA team related events.

(h)Established UBA Teams may form charter teams if authorized by the team franchise owner.

(i)All Charter teams are required to pay a $100.00 annual charter fee. Charter teams must have a minimum of 7 active members on their roster.

(j)Each charter team is bound by the rules and regulations of theirfounding team.

(k)The logo of the charter team should be similar to the founding team but the team colors should be different.

(l)Each charter team must have their own set of officers with the exception of the president. The highest officer on a charter team is the Charter Vice President. All charter teams report and are bound by the same rules and regulation of the founding team.

Article II.Team Status and Eligibility

Section 2.01UBA Member Status Levels

(a)UBA Team Member: A UBA team member receives all UBA benefits. This includes sponsorship, and website amenities.

(b)UBA Independent Member: All independent UBA Bowlers are required to pay a $25.00 annual association fee. A UBA independent member can play and participate in all UBA sanctioned events except for team events. Independent members will not receive any sponsorship benefits.

Section 2.02Team Membership Guidelines

(a)In order to qualify for full team member status, a new candidate must be sponsored by an active team member.

(b)Before a candidate can be chosen for team membership they must have the approval of at least one of the team captains and the teampresident.

(c)All team members are required to purchase a UBA team jersey through their team president.

(d)New team members must sign up/register on the UBA website

(e)New team members must have a valid USBC bowling average. If a new team member does not have a valid USBC bowling average then they must bowl scratch at all UBA sanctioned bowling tournaments and events. The UBA Executive Office reserves the right to adjust or re-rate the average of any bowler at anytime.

(f)A team member may only be an active, reserve or inactive member of one UBA team.

(g)All UBA team members must wear their official team jersey at all UBA sanctioned events. UBA team members are strongly encouraged to wear their UBA jersey or a UBA t-shirts at all other bowling events and/or leagues.

Section 2.03UBA Independent Membership Guidelines

(a)In order to become an independent member of the UBA, a person must sign in and join by registering on the UBA website. (

(b)To be considered an independent member of the UBA, you must purchase an official UBA independent jersey.

(c)All UBA independent members must wear their official independent jersey at all UBA sanctioned events. UBA independent members are strongly encouraged to wear their UBAjersey or a UBA t-shirts at all other bowling events and/or leagues.

Section 2.04Team Status Changes

(a)A team member’s status can be changedfrom active to reserve or inactive if the team member does not fulfill the obligations of their team.

Section 2.05Releasing or Trading Players

(a)There will be a yearly op-out period that shall run July 1st through July 15th. Any team that chooses to release a member or any member that chooses to leave their team during this period will not incur a penalty. Trades may be made at this time if both team presidents agree to terms and if authorized by the UBA Executive Office.

(b)If a trade has been authorized, it is the responsibility of the member to purchase all necessary team equipment and apparel, unless the team agrees to cover this expense themselves.

(c)If a member decides to quit their team prior to the op-out period, than that member is without a team. Themember will be allowed to bowl independently within the UBA if approved by the UBA Executive Office.

(d)If a member quits their team and wants to join another team then that member’s original team president can enter into a trade agreement with the proposed new team or any other UBA team. Before a member decides to quit their team in efforts to join another team,written notice must be given to their team president or captain and to the UBA Office of Team Compliance and Personal Management. Both team presidents must agree to the move. Once this move has been discussed and agreed upon, the member in question can either sit out for 90 days or they can pay a $100.00 expedite fee[1]. Expedite fee reduces sit out time by 45 days. The UBA Executive Office must be notified immediately (by the member(s) in question) if team changes or trades are being made. Failure to do so may result in an authorization delay.

(e)Team presidents reserve the right to release their members. If a member is released and wants to join another team then the UBA Executive Office may enter into an agreement (on behalf of the released member) with a team of the Executive Office’s choosing. The UBA Executive Office also reserves the right to change the status of any UBA member to independent, reserve, suspended or banned.

(f)Independent UBA bowlers may enter into an agreement and join any UBA team after being an independent UBA bowler forthree months or more or with the approval of the UBA Executive office.

(g)Independent UBA bowlers can (at any time) form their own team with the approval of the UBA Executive office.

(h)The UBA Executive Office reserves the right veto all trades and agreements if they feel that the trade or agreement is not to the best interest of the UBA.

(i)Team presidents are responsible for making sure that their bowlers do not deface, ruin, mutilate, vandalize or destroy the jerseys of other bowlers.

(j)Team presidents are responsible for making sure that their bowlers carry themselves in a manner that is not damaging or embarrassing to the UBA and or its image.

Article III.Team Responsibilities

Section 3.01Team By Laws and Roster

Teams are required to submit to the Office of Team Compliance and Personnel Management a copy of their team by laws and current list of members which would have each member’s status as either active, reserve or inactive. Team members are expected to follow and uphold the bylaws of the UBA and oftheir team.

Section 3.02Conduct

Team members are expected to conduct themselves in a professional, safe, and sportsman-like manner.

Section 3.03Fellowship

Team members will play as part of the team and not as an individual. They will communicate with their fellow teammates and give assistance when necessary. Team members are expected to make practices and planned events unless extenuating circumstances occur (work, illness, etc.)

Section 3.04Team Jerseys

Team members must have the approval of a team officer before they purchase an official team Jersey. You are not an official team member until you purchase an official team jersey. Team members are required to wear a UBA Jersey at all UBA related events.

Article IV.Election of Officers

Section 4.01Election Guidelines

Team officers shall be elected annually (date of election will be two months prior to end of term) by a majority vote of the team members present, or by appropriate proxy. When electing a new Team Officer you must have at least 50% of your team present. In the event of a team not having a Team officer the UBA Executive Office reserves the right to appoint an interm officer until an official vote can be held.

Article V.Team Positions and Duties

Section 5.01Team Officers

Team members shall be elected to the following positions and duties:

(a)Team President: Sets meeting dates and locations, appoints committees, presides over meetings, sees that the resolutions passed by the team are carried out, and develops the training program and events for the team. Keeps the public image of the team in adherence to the mission/purpose statement as listed in the UBA bylaws and team agreement

(b)Vice President: Assists the president in caring out his duties and Takes the place of the team president when he is absent or incapacitated. Keeps a record of the team’s receipts, disbursements and of the members’ interests in the team.

(c)Charter Vice President: Governs a UBA charter team. Reports directly to the founding team’s President. Sets meeting dates and locations, appoints committees, presides over meetings, sees that the resolutions passed by the team are carried out, and develops the training program and events for the team. Keeps the public image of the team in adherence to the mission/purpose statement as listed in the bylaws.

(d)Secretary: Keeps the minutes of all team meetings. Minutes should include the meeting’s date, time and location, names of those in attendance, and details of the decisions made. Posts or provides a copy of the team’s schedule for each captain. Keeps a current list of team members and their status. Notifies team members of team and association meetings; and notifies the association of any changes in officers, schedules or bowling centers. Maintaining, writing and filing of all team's correspondence.

(e) Treasurer: Works with the president to open an account in the team’s name at a physical and FDIC insured and recognized bank, credit union or in-house banking service, with at least two league officers’ signatures required for all withdrawals. Collects team fees/dues. Advises the team president and secretary if any team member(s) are delinquent in paying team fees/dues. Givesmonthly financial reports to the team president and upon request to any team member.

(f)Team Captain: Takes the place of the president or vice president when they are absent or incapacitated. Coordinates honors awards and ceremonies as needed. Referees individual duels and arbitrates disputes. Enforce all safety rules.

(g)Team Member: Communicates and participates with their team in meetings and events. Keeps the public image of the team in adherence to the mission/purpose statement as detailed in the UBA by laws and team agreement.

Article VI.Removal of an Officer

Section 6.01Filing Charges

A team member can file a written charge asking for removal of a team officer. The written charge must be submitted to a team officer (other that the officer being charged) and to the Office of Team Compliance and Personnel Management. A team officer may be removed from office only for any of the following reasons:

(a)Conduct derogatory to the best interest of the UBA.

(b)Any deliberate action which can be proven to be detrimental to the best interest of the team.

(c)Violation of any UBA or team rule.

Section 6.02Procedure for Removal from Office

If written charges are filed, the following procedures must be followed:

(a)Within one week after receipt of the written charges, the Director of Team Compliance and Personnel Management shall schedule a meeting of the UBA Executive Board, and members of the Executive Officewill be notified. The meeting should be held at the earliest possible date.

(b)Written notice and a copy of the complaint shall be provided to the officer(s) charged. Such notice:

1)Should be sent by first class mail or be hand delivered.

2)Shall notify the officer of the date, time and place of the meeting, as well as their right to attend and offer a defense.

(c)A roster shall be prepared listing those present and absent. A quorum of the board of directors must be present at the meeting. Minutes of the meeting and all documents and material relating to the charges must be maintained and a copy must also be submitted to the Office of Team Compliance.

(d)A two-thirds vote of board members present and voting shall be required for dismissal and/or removal from office.

(e)The officer(s) involved shall be notified in writing of the board’s decision and of the right to appeal that decision to the UBA Executive Office. An appeal under this rule must be filed in accordance with Section 6.03(Protest/Appeal Procedures).

(f)A member removed from office:

1)Forfeits all prize and any other money for which they may have been eligible, unless the board of directors determines otherwise.

2)May remain on the team with the written consent of two-thirds of the full team membership.

Section 6.03Protest/Appeal Procedures

All UBA members have up to 30 days to appeal any decision made by the Board. All appeals must be submitted (in writing) to the UBA Executive Office. You must clearly state that you disagree with the Board’s decision and you must clearly explain the reasons why you disagree. Be as detailed as possible. The more evidence and documents you provide the better. All correspondence should be sent by first class mail to the UBA’s business address. (The UBA’s business address is 53 E. Article VII.Guests

Section 7.01Meetings/Events

Team members may invite guests to any meeting or event of theirteam. If a team meeting or event is listed as ‘Closed’ then prior approval from the team president or captain is needed.

Article VIII.UBAName and Logo

Section 8.00Permissions

No one is allowed and it is strictly prohibited to use the UBAname, logo or its likeness without the expressed written permission of the UBA Executive office.
