Annex No. 3

The Tenderer declares that it:

1. accepts the content of the invitation to tender and complies with requirements laid down in the invitation and all annexes to it;

2. does not raise any objections to the General Purchase Conditions available at the following website:

3. has obtained information necessary to prepare the tender and familiarised itself with the place and manner of executing the subject matter of the tender, its size, costs and any other circumstances influencing its execution, term of execution and price;

4. the term of validity of the tender submitted isat least 30 days from the day indicated as the deadline for tender submission. The Ordering Party reserves the right to prolong the tender validity period after obtaining the Tenderer’s prior consent;

5. all items required in the invitation to tender are covered by the tender and are entirely included in the offered price

6. has the right to participate in legal transactions;

7.is licensed to carry out the works covered by this invitation to tender;

8. has the necessary knowledge, experience, economic and technical potential as well as employees capable of carrying out the works;

9. is in a financial position to carry out the works within the term offered;

10. the company it represents is not insolvent, subjected to seizure, bankruptcy or liquidation, its matters are not subject to compulsory administration or judicial management, its business activity has not been suspended nor subjected to legal proceedings due to aforementioned reasons;

11. the company it represents does not have arears in payment of taxes, fees or social insurance contributions or have received a consent, provided for by the law, for exemption from, postponement of or payment in instalments of outstanding payments and does not have any outstanding obligations towards its suppliers, employees and subcontractors;

12. neither the Tenderer nor its partner or an active member of the company’s management authority has been convicted by a valid judgement for a crime committed with regard to tender proceedings, a crime against the rights of persons performing paid work, an environmental offence, a bribery offence, an economic and trade related offence or other offences committed for financial gains, a fiscal offence or a crime of participation in an organised group or association having for its purpose the commission of an offence or a fiscal offence;

13. undertakes to keep confidential the fact that this tender procedure is conducted, that it participates in the procedure as well as all information obtained during the procedure which concern the Ordering Party;

14. declares that it complies with applicable legal regulations concerning widely understood environmental protection, especially within the scope of obtaining required permits, providing notifications and submitting information as well as respecting limitations of use of the natural environment, including those resulting from an appropriate waste management. In addition, the Tenderer declares that it carries out its activities in a sustainable way and takes actions limiting the negative influence of its activity on the natural environment;

15. declares it applies legal regulations within the scope of employment in its business activity, including, and in particular, the Labour Code and implementing acts issued on its basis;

16. declares that its takes social issues into consideration in its business activity and aims at maximisation of integration of social, environmental, ethical and human rights values with its own activity as well as the activity of other interested parties and the society as a whole;

17. does not uses services of subcontractors or will submit the list of subcontractors in case of an intention to use their services as part of the works covered by the subject matter of the invitation to tender, indicating the scope of works carried out by them.

18. if the Tenderer’s tender is selected and the contract for the subject matter of the invitation to tender is concluded, the Tenderer gives its consent for the following provisions to be included in the contract:

• The Contractor declares that to the best of its knowledge and at the time of signing the Contract, no conflict of interests exists which could form an obstacle to duly execution of the Contract by the Contractor, influencethe Contractor’s neutrality, quality of works or services provided by it, its independence or reliability.

• The Contractor declares that it shall be obliged to maintain due diligence within the scope required for the business activity carried out by it and to undertake actions aimed at avoiding conflict of interests.

• The Contractor declares that if during the period of the Contract execution a suspicion of a possible conflict of interests influencing the contents of the declaration mentioned in p. 1 arises, it will immediately inform the Ordering Party in writing about such a suspicion, giving its justification and will present a suggestion for all actions required to avoid the conflict, taking into account the widely understood interest of the Ordering Party as well as the business ethics it applies

• The Contractor declares that it did not offer or transfer any material benefits in order to influence the decision of the Ordering Party about the selection of its tender. It did not influence the Ordering Party’s selection in a manner contradicting law or good customs and did not take part in any agreements with other third parties, which would be aimed at influencing the Ordering Party’s selection.

19. accepts the following term of payment of invoices: within 30 days from the day on which the Ordering Party receives the invoice;

If any of the aforementioned required statements is missing, the tender may be rejected.
