BYLAWS OF THE

ASSOCIATED REFLEXOLOGISTS OF COLORADO

ARTICLE I. NAME

The name of this Corporation is the Associated Reflexologists of Colorado.

ARTICLE II. DEFINITION

Reflexology is the stimulation of the reflex systems of the feet, hands, and ears, which triggers the body’s self-healing mechanisms.

ARTICLE III. PURPOSE

The purposes for which this corporation is formed are:

SECTION A.To advance reflexology as a profession.

SECTION BTo assist reflexologists in becoming more effective through continuing education and sharing in both reflexology theory and practical techniques.

ARTICLE IV. GOALS

The goals of the Association will be to protect the field of reflexology by working with the state legislature to maintain the right to practice reflexology as its own modality throughout the state of Colorado and to enhance the public’s awareness of reflexology.

ARTICLE V. MEMBERSHIP

SECTION A.The membership of this Association shall be open to those who practice reflexology professionally or have an interest in the modalities of reflexology. A person is eligible for membership and becomes a member upon payment of the annual dues.

SECTION B.Effective July 1, 2015, the Professional Membership is open to a reflexologist certified by a non-profit, national certification board, or certified by a school or training program with a minimum of 300 hours. These members are eligible to vote, hold office, make motions, help set policy, receive newsletters, use the Association’s logo on business cards and in advertising, etc., and attend all functions sponsored by the Association.

SECTION C.Effective November 13, 2007, the Associate Membership is open to non-certified reflexologists not meeting the Professional Member level standards, a retired or non-practicing reflexologist, a student training in reflexology, a client or other interested person, an agency, a school, a business, a manufacturer, state association, or any other entity concerned about and desiring to support the growth and development of the field of reflexology. These members are not eligible to make motions, help set policy, or use the Association’s logo. Effective May 10, 2016, these members are eligible to hold office.

SECTION D.Effective July 1, 2015, any ARC member who was previously classified as a Professional Member but does not currently meet the new standards for Professional Membership as of July 1, 2015is hereby granted Professional Membership status. However, any new individuals applying for ARC membership after July 1, 2015 and not meeting the new standards for Professional Membership shall be eligible for Associate Membership only.

ARTICLE VI. FISCAL YEAR AND REVENUE

SECTION A.The Board Members shall review the membership dues annually. If changes are deemed necessary, notification of change will be made by mail at least thirty days prior to a vote by the membership.

SECTION B.Effective August 14, 2007, the fiscal year is hereby changed from January 1 through December 31 of every year to July 1 through June 30 of every year, to coincide with the Reflexology Association of America’s (RAA’s) fiscal year.

SECTION C.Effective August 14, 2007, the treasurer of ARC must be bonded through a recognized insurer at a cost to be paid by ARC, according to RAA affiliation requirements.

ARTICLE VII. BOARD OF DIRECTORS AND BOARD MEETINGS

SECTION A.The officers of the Association shall consist of a President, Vice President, Membership Secretary, Recording Secretary, and a Treasurer. The Officers shall perform the duties prescribed by these bylaws and by the parliamentary authority adopted by the Association.

SECTION B.Effective August 15, 2007, every two years, a meeting will be held on the second Tuesday of May for the election of officers. Officers’ terms will run from July 1 through June 30. The date of the election will be published 30 days thereto. Nominations and voting will be accepted by mail.

SECTION C.The Board of Directors shall decide and publish a list of appropriate boards, committees, or other action groups as necessary for the execution of the Association business.

SECTION D.Effective May 10, 2016, An officer may be a Professional or Associate Member of the Association.

Sub. 1.No elected officer may hold more than one office at the same time or serve more than three consecutive terms in the same office and may not regain the same office until at least two years has expired from their last holding of the office.

Sub. 2.If an elected officer is not present for three consecutive meetings, he or she shall be removed from their position on the Board of Directors and the Board of Directors shall appoint a new officer.

SECTION E.The Board of Directors shall consist of the elected officers and the current past president. Professionals from outside the field of reflexology may contribute to the Board meeting in an advisory position.

ARTICLE VIII. MEETINGS

The Association shall meet at least quarterly, the dates to be set by the officers, or as determined by the officers.

ARTICLE IX. PARLIMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Association may adopt.

ARTICLE X. AMENDMENT OF BYLAWS

These Bylaws may be amended at any regular meeting of the Association by a two-thirds vote of the members present, providing that the amendment has been submitted in writing at the previous regular meeting and a copy of the amendment with ballot has been mailed to all members, with sufficient time allowed for the return of the ballots by mail.
