THE JAMES E. TAYLOR HIGH SCHOOL

ATHLETIC BOOSTER CLUB

ARTICLE I: NAME AND PURPOSE

The name of the organization shall be THE JAMES E. TAYLOR HIGH SCHOOL ATHLETIC BOOSTER CLUB (“THSABC”). The purpose of the THSABC is to provide support and assistance to the amateur student athletes of James E. Taylor High School and to the athletic and cheerleading programs in which they participate.

ARTICLE II: MEMBERSHIP AND DUES

Membership in the THSABC shall be open to the parents of James E. Taylor High School students, parents of junior high school students who will attend James E. Taylor High School, and any other interested patron or business who subscribes to the Purpose and Principles of Action as stated in Articles I and IX of these By-Laws. Membership is necessary to cast a vote at a general meeting or to hold office, but non-membership does not preclude participation in any of the activities sponsored by this organization. Membership is by family and business, but when voting occurs, each adult member of the family represented or company representative of the business represented at the meeting may cast a vote. Memberships may be received at any time during the year.

The Executive Board as defined in Article IV will set annual membership dues.

Honorary memberships shall be conferred to the James E. Taylor Principal and Assistant Principals, the James E. Taylor High School Athletic Coordinator, the James E. Taylor High School Coaching Staff and Cheerleading Sponsor, the Katy ISD Athletic Director and the Katy ISD Superintendent and the Immediate THSABC Past-President. Teachers and other school personnel are encouraged to join as regular members.

All members of the THSABC may receive a copy of the By-Laws upon request to the Secretary or the President.

ARTICLE III: MEETINGS

Business meetings of the THSABC will be held at least once a month during the school year. These meetings will be evening meetings that will be held at James E. Taylor High School. The President will set dates and times for the meetings. Additional business meetings may be called as necessary by the President to officially conduct the business of the THSABC. Regular business will be conducted and minutes will be taken at all business meetings. The meetings will be announced by one or more of the following methods: local newspaper, newsletter, website, school handout, email, telephone, or voice mailbox. All meetings of the THSABC including committee meetings shall be public meetings. A quorum for the purpose of voting on motions or elections shall be defined as a majority of the Executive Board. Except as indicated in Article VII, a majority vote of those present at a meeting shall be sufficient to approve any action.

ARTICLE IV: ELECTIONS, OFFICERS AND EXECUTIVE BOARD

The officers of the THSABC shall consist of a President, Vice-President, Secretary and Treasurer. These four officers shall be elected to a one-year term of office by a majority vote of the membership. This election shall take place at the regularly scheduled business meeting in March or April and shall be effective on June 1 of that year. Officers shall serve from June 1 to May 31 for a period of one year. No business of the organization may occur after June 1 of any given year unless new officers have been elected. This term of office shall coincide with the fiscal year of the club. The President may appoint additional officers as appropriate.

By February 1, prior to the elections, the President shall appoint a Nominating Committee. The members shall include the President, the Vice-President, the James E. Taylor High School Athletic Coordinator and at least two other members. Each high school grade classification should be represented. The slate of nominated officers shall be announced at least three days prior to the election.

The Executive Board of the THSABC shall be comprised of all officers, the James E. Taylor High School Principal and the James E. Taylor High School Athletic Coordinator. The immediate THSABC President, the Katy ISD Athletic Director and the Katy ISD Superintendent shall be ex-officio members of the Executive Board.

This board shall have the authority to conduct normal activities in keeping with the stated purpose of the THSABC and shall have the authority to conduct any other business as directed by the membership.

The Vice-President shall fill a vacancy in the office of President. A vacancy in any other office shall be filled by a decision of the Executive Board of the THSABC. The general membership shall be notified of any vacancy that occurs prior to it being filled.

ARTICLE V: FUNDRAISERS

Primary funding for the THSABC shall come from membership dues, concessions, program ad sales, and other fund raising activities. The James E. Taylor High School Principal shall approve any community sales campaigns before they are begun.

ARTICLE VI: RELATIONSHIP TO SCHOOL

All activities and program of the THSABC, insofar as they bear on students of the school, shall be under the supervision of the school. Furthermore, careful attention shall be given to the operation of the THSABC activities to insure compliance with the rules of the University Interscholastic League and the policies of Katy ISD.

The THSABC shall not attempt to direct a coach in any of his or her duties. The schedule of contests, the rules for participation, the method of earning letters, and all other criteria dealing with the Inter-school program are under the jurisdiction of the local school administration.

Annually, the THSABC may set aside funds to be used for scholarships for outstanding college bound student-athletes. Candidates for these scholarships will make application to the counselor’s offices of James E. Taylor High School. A committee composed of a group of counselors, the James E. Taylor High School Coordinator and a THSABC member unaffiliated with any candidate will determine the candidates who qualify as recipients, the number of qualified recipients and the amount of each scholarship. This committee shall not consider a candidate’s sex, race, color, religion, or national or ethnic origin during the evaluation or awarding of these scholarship. Payments for these scholarships will be made direct to the recipient’s college.

The Superintendent of Katy ISD and the Principal of James E. Taylor High School shall have veto power over the decisions and activities of the THSABC.

ARTICLE VII: AMENDMENTS

The procedure for amending these By-Laws will be as follows:

A. Proposed changes will be submitted in writing to the Executive Board prior to reviewing the general membership.

B. Proposed changes will then be submitted to the general membership at a regularly scheduled meeting. Voting on the proposed changes may not occur until the next regularly scheduled meeting.

C. A two-thirds majority of those members present is necessary to effect a change.

D. The changes will become effective immediately, unless otherwise indicated.

ARTICLE VIII: BASIC POLICIES

A. The THSABC shall be noncommercial, nonsectarian and nonpartisan and shall not operate for the primary purpose of conducting a trade or business that is not related to its non-profit tax exempt purpose. THSABC shall not further non-exempt purposes more than insubstantially and shall not engage in activities that are illegal or violate fundamental public policy.

B. The THSABC shall be nonpolitical and shall not allow any candidates for elected public office, including school board candidates, to have a forum at any THSABC meeting or activity. The THSABC shall absolutely refrain from participating in the political campaigns of candidates for local, state or federal office and shall restrict its legislative activities.

C. The name of the organization or the names of any members in their official capacities shall not be used in any connection with a commercial concern nor with partisan interest or for any purpose not appropriately related to promotion of the objectives of the THSABC. The THSABC shall absolutely ensure that its assets and earnings do not unjustly enrich board members, officers, key management employees, if any, or insider or members.

D. The THSABC shall not discriminate on the basis of sex, race, color, religion or national or ethnic origin in administration of its policies, principles and procedures.

ARTICLE IX: PRINCIPLES OF ACTION

A. Provide a forum for parents to meet together to provide support for the students in the athletic programs of James E. Taylor High School.

B. Direct fund raising activities to support the athletic program of James E. Taylor High School students.

C. Provide scholarships each year for outstanding college bound seniors who have been representative of the high ideals of athletic competition at James E. Taylor High School.
