Entertainment – Letter of Agreement

This agreement is made and entered into this _____ day of ______, 2017, between the Tennessee Recreation and Parks Association (TRPA) and ______(Entertainer) for the purpose of confirming details of the program to be presented at the TRPA annual state conference in Franklin, TN , October 23-26, 2017

Whereas, TRPA is sponsoring the conference to be held in Franklin, TN; and whereas the entertainer is willing to provide services to TRPA with the following terms. Therefore, in consideration of the above premises, the parties agree as follows:

TRPA agrees to provide:

TRPA agrees to pay the performer an honorarium of $______. It is understood that this is one time contractual work and the entertainer is responsible for all taxes in relation to this agreement. TRPA will have the check prepared in advance and available immediately upon conclusion of the performance for contracts completed and returned forty-eight hours prior to the performance.

The Entertainer agrees to provide:

Entertainer agrees to participate by attending and performing at the activity scheduled above. Entertainer agrees that time schedules can change and will be flexible up to 30 minutes from scheduled time. Entertainer certifies that they own the rights to or license for any music or intellectual property they will perform and expressly indemnify TRPA, it’s agents, staff, board and volunteers from any liability for the performance. It is understood that neither TRPA nor the Entertainer shall record, reproduce or transmit in any way any of the performance.

It is understood that the individual signing this agreement has the legal right to enter into this agreement on behalf of the group or parties indicated and individual/group has obtained any and all licenses/permits needed for this performance. Individuals with the group will abide by the terms and conditions of the agreement. Further any payments from this agreement will be issued by check payable to the party listed above. Individual checks to each group member will not be available. TRPA will expect immediate notification if the entertainer is unable to conduct the scheduled session and fulfill the terms of this agreement. Whenever possible the entertainer should make every effort to find a replacement (pending approval of TRPA) to avoid disruption of the event.

All claims and disputes which may arise between the Entertainer and TRPA regarding application and interpretation of any terms or conditions for this contract, including disputes between the parties as to their respective obligations and responsibilities hereunder, shall be referred exclusively to a court of competent jurisdiction in Williamson County, Tennessee.

It is expressly understood that the Entertainer does indemnify and hold harmless the Tennessee Recreation and Parks Association and the City of Franklin, and their agents from any loss, damage, claim, injury or other expense relating to the TRPA annual conference.

The Entertainer does hereby accept the terms of this agreement.
