Proposed Amendments to the GCWCC Constitution

Article 1 – NAME
Existing:
The name of the organization shall be the GENERAL COUNCIL OF WINNIPEG COMMUNITY CENTRES with the abbreviation GCWCC, herein after called the “Board”.
Proposed Amendment
The name of the organization shall be the GENERAL COUNCIL OF WINNIPEG COMMUNITY CENTRES with the abbreviation GCWCC, herein after called the “Council”.
Rationale: The Board is not the legal entity. The Board of Directors govern the organization.
Article 10 – COMMITTEES
Existing:
10.1 The Board may establish Standing or Ad-Hoc Committees.
10.2 All Standing or Ad-Hoc Committees shall be chaired by a member of the Board. Members of the Committee may be appointed from the community at large.
10.3 All Committees are responsible to the Board.
New:
10.4 Terms of Reference for all Committees are to be approved by the Board, and will contain: Name of the Committee
Membership and how membership is determined
Objectives of the Committee
Frequency and nature of reporting to the Board
Frequency of Meetings
Rationale: To provide structure to committees struck by the Board
Article 11 – AMENDMENTS
Existing:
11.1 Amendments to the Constitution may only be made at the Annual General Meeting.
Proposed Amendment:
11.1 Amendments to the Constitution may only be made at the Annual General Meeting or Special meeting as set out in Article 8.3
Rationale: To allow changes to the Constitution at times other than the Annual General Meeting.

Article 7 – ELECTIONS AND TERMS OF OFFICE:
Existing:
7.3 The Past President must have serve as President during the whole term of the preceding year.
Proposed Amendment:
The Past President must have initially served as President during the whole term of the preceding year.
Rationale: After the first year of the two year term the past president will not have been president during the preceding year. This is to reflect the two year terms of the executive.
Existing:
7.4 If a member of the Executive Committee except the Executive Director vacates their office for any reason, the Board shall appoint a replacement for the balance of the term.
Proposed Amendment:
If a member of the Executive Committee except the Executive Director or Past President vacates their office for any reason, the Board shall appoint a replacement for the balance of the term.
Rationale: The Past President must have served as the President prior to the current President. If the Past President is no longer willing or able to continue to serve on the Board, no other person may step into the Past President position.
