1.internship / Work experience
1.1The University of Adelaide agrees to host the Student to undertake the Internship / Work Experience.
1.2The Student and Home Institution warrant thatthe Internship / Work Experience is to fulfil a mandatory requirement of the Student’s course of study and constitutes a “vocational placement” as defined in the Fair Work Act 2009 (Cth).
1.3The parties agree that there is no intention to create an employer/employee relationship between the University of Adelaide and the Student under this Agreement.
1.4The Student will not be entitled to remuneration or payment or similar benefit (of any form) for the Internship / Work Experience.
2.University of adelaide responsibilities
2.1The University of Adelaide will:
2.1.1make available the Supervisor or other suitably qualified and experienced personnel to supervise the Student whilst undertaking the Internship / Work Experience;
2.1.2provide the Student with an orientation (including in relation to workplace health and safety) prior to or at the start of the Internship / Work Experience;
2.1.3provide the Student with all policies and procedures of the University of Adelaide relevant to the undertaking of the Internship / Work Experience; and
2.1.4provide the Completion Certification or Reports as agreed in the Schedule.
3.Home institution responsibilities
3.1The Home Institution must maintain the insurances identified in the Schedule as the Home Institution’s responsibility.
3.2The Home Institution indemnifies the University of Adelaide from and against any claims, liability, damages or expenses arising out of any injury, loss or damage caused by the Student whilst undertaking the Internship / Work Experience. The Home Institution’s liability to indemnify the University of Adelaide shall be reduced proportionally to the extent that any negligent act or omission by the University of Adelaide contributed to such injury, loss or damage.
4.student’s responsibilities
Whilst undertaking the Internship / Work Experience, the Student agrees:
4.1to be punctual and attend the Internship venue on agreed Internship days and to promptly notify the University of Adelaide supervisor if the Student is unable to attend;
4.2to comply with the University of Adelaide’s policies and procedures and abide by all reasonable instructions given by the University of Adelaide;
4.3to behave responsibly, respectfully and ethically;
4.4not to do any act which gives rise to a conflict of interest or be detrimental to the best interests of the University of Adelaide;
4.5to promptly notify the University of Adelaide supervisor and the Home Institution of any injury or accident sustained by the Student;
4.6that it is the Student’s own responsibility to comply with the terms of the Student’s visa; and
4.7tomaintain the insurances identified in the Schedule as the Student’s responsibility.
5.disciplinary matters
5.1Ifthe Student fails to comply with the Student’s responsibilities under clause 4, the University of Adelaide may notify the Home Institution and the parties will discuss a course of action for dealing with the Student.
5.2Notwithstanding clause 5.1, if in the reasonable opinion of the University of Adelaide, the Student has acted in a manner that places the safety, security or reputation of the University of Adelaide or any of its personnel or students at risk, the University of Adelaide may:
5.2.1restrict the Student’s access to specified premises or facilities;
5.2.2remove the Student from the University of Adelaide premises; and/or
5.2.3terminate this Agreement immediately upon giving notice to the Student and the Home Institution.
6.confidentiality
6.1The Student acknowledges that data;know-how; trade secrets; client patient or supplier lists;personnel and student personal information; financial and business information of the University of Adelaide; and any information designated by the University of Adelaide as being “confidential”, is Confidential Information of the University of Adelaide.
6.2The Student must not disclose the Confidential Information to any third party and must not use the Confidential Information in any way other than for the purposes of the Internship / Work Experience. If the Student wishes to include Confidential Information in any reports, presentations or other materials created to meet the assessment requirements of the Student’s course of study, the Student must first obtain the permission of the University of Adelaide.
7.intellectual property
7.1Ownership of all Intellectual Property developed or created by the Student in the course of the Internship / Work Experience(“Developed IP”) will vest in the Student, unless the University or a third party collaborator requires the Student to enter into a writtenagreement to transfer ownership of the Developed IP. Where the Student remains the owner of the Developed IP, the Student grants the University of Adelaide a non-exclusive, royalty-free, perpetual licence to use the Developed IP for the University of Adelaide’s teaching or research purposes.
7.2For the purposes of this clause 7, “Intellectual Property” means any patent, copyright, design, trade mark, eligible layout or similar whether at common law or conferred by statute, rights to apply for registration under a statute in respect of those or like rights and rights to protect trade secrets, know-how, good will and confidential information.
8.general
8.1This Agreement records the entire agreement between the parties with respect to the Internship. It supersedes all prior contracts, obligations, representations, conduct and understandings.
8.2This Agreement may be amended only by written agreement of all parties.
8.3The laws of South Australia govern this Agreement and each party irrevocably submits to the non-exclusive jurisdiction of the courts of South Australia.
