Statute of Universidad Nacional Mayor de San Marcos.

First Clause: Background

The “…..xxx.....”, is an institution…….., that continuously operate since……………, it has by object ………………………………., who attached to the present a summary of its institutional trajectory and recent experiences.

The Faculty/UNMSMis a center of superior education integrates by professors, students and graduate dedicate to study, research and teaching, and also it dedicates to the diffusion, extension and social projection of knowledge and culture for the national community.

Second Clause: Object

Development academic activities of extension for the community, in areas of common interest, in order to provide programs of…(academic, cultural, consulting, services, etc.)…agreed.

The Faculty/UNMSM as …(External Institution)… for fulfillment of its objectives have infrastructure, organization, qualified teachers, promoters, educational materials, equipment and all the necessary elements to ensure the success of the agreement. Together both companies will achieve the maximize capacity to attend the educational needs nationally and internationally.

Third Clause: work plan

The Faculty/UNMSM and …(External Institution)…make a work plan with specific activities…(academic, consulting, cultural, services, etc)…to develop, it shouldcontain the names of the coordinators, the schedule of activities, funding sources, list of courses, the list of professors, the economic conditions, among others.

Fourth Clause: Coordination Committee

The parts agree to designate a representative to integrate the Coordination Committee; it will be responsible for the implementation of this agreement.

The Faculty/UNMSM designate as coordinator to ……………, who may delegate his functions.

The …(External Institution)… designate as coordinator to…………, who may delegate his functions.

Fifth Clause: Commitments of “…(External Institution)…”

a) Coordinate with the Faculty/UNMSM the development of activities agreed in the agreement.

b) Participate in the making of the work plan and its approval.

c) Assume the cost of advertising and promotion of extension activities.

d) Provide the infrastructure and equipment necessary for the development of courses.

e) Maintain the management extension programs that involving: tuition, pension payments, attendance, preparation and delivery of study materials, assessment, and payment to professors and administrators, among others.

f) Maintain orderly control of revenue generated as a result of the agreement, must submit in coordination with faculty, academic and economic reports that apply.

g) Continuously monitor and evaluate the implementation of the work plans with the aim of improving and identify new programs and courses under the agreement.

Sixth Clause: Commitments of Faculty/UNMSM

a) Coordinate with the …(external institution)… the development of activities agreed in the agreement.

b) Participate in the development of the work plan and its approval.

c) Provide the Plan of studies to will be developed.

d) Provide the teaching staff at the highest level for dictation and course development.

e) Supplied the certificates by the studies conducted, after approval of the Plan of Studies provided by the university.

f) Authorize use of the corporate logo in promotional materials, educational and certification that only relate to this agreement; if it is used for others purposes, la UNMSM may initiate appropriate legal action.

g) Continuously monitor and evaluate the implementation of the work plans with the aim of improving and identify new programs and courses under the agreement.

Seventh Clause: Term and Termination

This agreement will be valid for two (02) calendar years from its subscription may be renewed, amended or extended by mutual written agreement of both parties.

In case of default, either party may request termination of the agreement with an anticipation of ninety (90) working days. However, regardless of the cause that motivates the term of the agreement will not affect the continuity of the activities to be continued to completion.

Eighth Clause: Final Provisions

1. Both institutions jointly and quarterly review the scope of this agreement and, if applicable, shall conduct clarifications, recommendations or modifications deemed appropriate.

2. Any matter not expressly provided for in this agreement or any dispute in their application or interpretation; seek to be solved by the direct understanding based on the rules of good faith and common intention of the parties, trying to effect maximum cooperation for resolution of disputes.

3. All communications should be exchanged among the parties, shall be validly made in the legal addresses entered in the introductory part of this agreement.

4. Any modification of the terms or obligations contained in this agreement shall be in writing and the same level of approval.

The parties are satisfied with the content and scope of this agreement, in witness whereof, then signed in two (02) originals, on the …………………..days of……………………..of 2013.
