Small Business Referral List Application

Introduction

Enterprise Adelaide, a division of the Adelaide City Council, provides information and advice to small businesses in the city. As part of that service, Enterprise Adelaide also refers city businesses to various professional service providers for further specialist information and advice.

Enterprise Adelaide is seeking professional service providers that are city based and interested in working with start-up and small business clients.

Professional Service Categories

Referrals are currently made to various types of professional services providers in the following categories:

Accounting(Not currently accepting any further applications);

Legal Services(Not currently accepting any further applications);

Human Resources / Work Health and Safety;

Migration Services;

Import / Export Agents and Services;

General business consultancy services – data management, web design, etc.; and

Insurance Services.

Referral Process

Enterprise Adelaide generally refers a city business to a referral list service provider by providing the service provider’s contact details. Once the referral is made, it is the responsibility of the city business to arrange an appointment with the referral list service provider.

How to Apply

To become a service provider on Enterprise Adelaide’s referral list, a service provider must supply:

A written statement which addresses the service provider’s ability to meet the evaluation criteria (set out below);

CVs of key staff who will provide the professional service;

Names and contact details of two relevant referees; and

Evidence of professional indemnity insurance to the value of $5m.

Evaluation Criteria

Category / Criteria
Location of Service(Mandatory) / The service provider’s place of business address is located in the Adelaide CBD and/or North Adelaide (Postcode 5000 and 5006).
Experience of Service Provider / Demonstrated experience, knowledge and good past performance in providing the services for the relevant category.
Capability of Service Provider / Demonstrated capability in providing the services to small businesses in the city.
Qualifications and Membership / Evidence that the service provider’s employees have appropriate qualifications and membership for the relevant category.
Cost of Service / Provision of a schedule of fees that would be charged to a city business, which is competitive and includes a commitment for an obligation and fee free initial consultation (for at least half an hour) to the city business.
Value Add / Additional value to Enterprise Adelaide clients that can be supplied by the service provider.

Evaluation Process

Enterprise Adelaide will assess the information submitted by the service provider in the application against the evaluation criteria as soon as reasonably practicable after receiving the application.

Applications that have not provided sufficient information as requested may not be assessed by Enterprise Adelaide and may result in the service provider not becoming a member on the referral list.

Enterprise Adelaide reserves the right to decline a service provider’s membership on the referral list at its discretion, including if the addressment of the evaluation criteria is not sufficient.

The issue of this request for applications to the referral list or any response to it does not commit, obligate or otherwise create a legal obligation on Enterprise Adelaide to select a service provider for membership on the referral list.

  1. Engagement
  1. In the event you receive a letter of acceptance from Enterprise Adelaide a division of The Corporation of the City of Adelaide (ABN 20 903 762 572) (Enterprise Adelaide) for your application to the Enterprise Adelaide Referral List, you agree to be listed on a register of suppliers that Enterprise Adelaidemay use from time to time for the purpose of referring businesses located in the suburbs of Adelaide (5000) or North Adelaide (5006) (City Business) to you and other service providers for specialist information and advice (Referral List).
  2. You will be listed on the Referral List under the service category you listed on your application for the Referral List (Area of Expertise).
  3. Following referral of a City Business to you, the City Business may arrange an appointment with you.
  4. If a City Business engages with you, you must offer them an initial consultation of at least half an hour free of charge (Initial Consultation).
  5. You have no obligation to accept any further engagement with the City Business beyond the Initial Consultation.
  6. If you cannot accept a referral of a City Business for the Initial Consultation then you must inform Enterprise Adelaide of this within 5 business days and provide reasons.
  7. You acknowledge that Enterprise Adelaide is not itself engaging you to provide the Initial Consultation or any further services in your Area of Expertise.
  8. You agree to participate in any reporting or survey requests from Enterprise Adelaide or to forward to the City Business any reporting or survey requests as requested by Enterprise Adelaide in reference to the Referral List. You agree to seek consent from City Businesses for disclosure of their information and to track Initial Consultations.

Specifically, you agree to provide a list, in November each year, of all City Businesses that have been referred to you by Enterprise Adelaide. The list must provide details of the City Businesses including, but not limited to, the name of the business, contact names and contact details such as phone numbers and email addresses.

  1. You agree to comply with the Privacy Act 1988 (Cth) in the collection and disclosure of any personal information (as defined by that Act) including in disclosure to Enterprise Adelaide.
  1. Term

The Referral List will commence from 28 November 2016 or the date you acknowledge acceptance of these Terms & Conditions (whichever is the later) and continue until 28 November 2018 (the Term). You agree to remain on the Referral List and comply with these Terms & Conditions for the Term, unless terminated earlier in accordance with these Terms & Conditions.

  1. No Assurance of Work
  1. Enterprise Adelaide does not guarantee to you any referrals of City Businesses.
  2. You acknowledge that Enterprise Adelaide does not offer any assurance as to any volume, value or frequency of referrals of City Businesses and that Enterprise Adelaide will not be liable or responsible in any way whatsoever for the failure of you to be engaged by any City Business.
  3. You acknowledge that Enterprise Adelaide may in its absolute discretion refer a City Business to any other party (on or off the Referral List) and that Enterprise Adelaide may appoint new members or categories of service to the Referral List at any time at its discretion.
  1. Standing Offer

At all times throughout the existence of the Referral List, you make irrevocable offers to Enterprise Adelaide to enable Enterprise Adelaide to refer City Businesses to you for the provision of services in your Area of Expertise.

  1. Fees

Any charge for further services rendered beyond the Initial Consultation will be as agreed upon between you and the City Business. Any formal engagement of you by the City Business is to be on terms agreed by those parties. Enterprise Adelaide will play no part in negotiating, reviewing or agreeing such terms of engagement.

  1. Licences & Insurance
  1. At all times throughout the existence of the Referral List, you must maintain any licences, certification and accreditation required by law in providing the services in your Area of Expertise.
  2. You must effect and maintain professional indemnity insurance for at least $5m per claim; worker’s compensation insurance as required by law and any other insurance required by law.
  3. You must punctually pay all premiums for the insurances and, on demand, produce to Enterprise Adelaide a certificate of currency for the insurances.
  1. Termination
  1. You may withdraw your name from participation in the Referral List upon 5 business days’ written notice to Enterprise Adelaide.
  2. Enterprise Adelaide may remove you from the Referral List by giving you 14 days’ written notice.
  3. Enterprise Adelaide may remove you from the Referral List with immediate effect by notice in writing to you if:

i.you or any of your employees, agents or sub-contractors commits a breach of these Terms &Conditions and fails to remedy the breach within seven (7) days of a notice to you;

ii.you no longer holdany of thelicences, certifications or accreditationsreferred to in clause 6.a. of these Terms & Conditions; or

iii.you become a bankrupt or an insolvent under administration or an externally-administered body corporate within the meaning of section 9 of the Corporations Act 2001 (Cth).

  2. You/you/Your/your means the supplier providing professional services to be listed on the Referral List.
  3. These Terms & Conditions and your application for the Referral List record the entire agreement between the parties in relation to the Referral List.
  4. These Terms & Conditions can only be amended in writing agreed by the parties.
  5. These Terms and Conditions are governed by the laws of South Australia and the parties submit to the Courts of South Australia.
  6. You acknowledge that, by entering into this agreement with Enterprise Adelaide that you will be considered to be a public officer for the purposes of the Independent Commissioner Against Corruption Act 2012 (SA) (ICAC Act). You acknowledge that you are required to comply with the ICAC Act and any Directions and Guidelines issued pursuant to the ICAC Act.
