Letter of Agreement
The SFI Foundation, Inc. (hereinafter referred to as "SFI") and the American Autosports Productions (Fun Ford Weekend Events) (hereinafter referred to as "Sanctioning Body") do this ______day of ______, 19____, enter into this Letter of Agreement for the purpose of providing the described duties and/or services as delineated in the terms of this agreement.
SFI, in consideration of a fee of US$100 per month, will provide certain technical assistance for the Sanctioning Body including but not limited to, providing use of copyrighted SFI Specifications. Also such activities as answering inquires from participants, conducting technical seminars, producing articles for in-house publications, providing assistance in rule book development, providing lists of SFI participating manufacturers, assisting in litigation procedures and educating technical officials may be provided subject to the availability of SFI personnel and the financial impact of that activity.
Except as may be required by compulsory process, SFI will not release to any person or persons, information contained in this agreement or any information regarding the relationship between SFI and the Sanctioning Body or any particular information regarding the business of the Sanctioning Body that SFI may acquire through the fulfillment of this agreement.
Both parties have the right to terminate or revise this agreement after ninety days advance notice of such intent. Both parties shall be required to fulfill all obligations delineated in the agreement and any attachments which exist at the time of termination or revision.
The Sanctioning Body shall and does hereby indemnify and hold harmless SFI, its directors, officers, employees, representatives, and agents, parent, subsidiary and successor organizations, and individuals and organizations employed or retained for the purpose of carrying out the functions of SFI, against any and all liabilities, losses, damages, costs or expenses which they may incur, suffer, or be required to pay by reason of the Sanctioning Body's agreement with SFI. Such indemnification shall survive the termination or expiration of this Letter of Agreement.
The laws of the State of California govern the interpretation of this agreement. This agreement shall be for a period of one year from the date of the agreement and shall be renewed annually unless notice of cancellation is received by either party within ninety days of its renewal/termination date.
