Sample Contractor Agreement
THIS AGREEMENT made ##th day of ####, 2016by and betweenJason Al Vice, hereinafter called the Contractor and ##########, hereinafter called the Client.
Witnesseth, that the Contractor and the Client for the consideration names as follows:

Article 1. Scope of the Work
The Contractor shall furnish all of the materials and perform all of the work shown on the Drawings and/or described in the Specifications, as annexed hereto as it pertains to work to be performed forthe Client.
Article 2. Time of Completion
The work to be performed under this Contract shall be substantially completed on or beforetwo weeks from promised start date. Time is of the essence.
Article 3. The Contract Price
The Client shall pay the Contractor for the labor to be performed under the Contract the sum of $###Dollars per hour, subject to additions and deductions pursuant to authorized change order.
Article 4. Progress Payments
Payments of the Contract Price shall be paid in the manner following:Please make checks payable to: Jason Al ViceThere are late fees for invoices left unpaid for 30 days after the due date of the invoice. The late fees are equal to 10 percent of the original amount on the invoice, or $100, whichever is greater. A new late fee is charged and added to the previous amount due on that invoice every 30 days thereafter.
Article 5. General Provisions
Any alteration or deviation from the above specifications, including but not limited to any such alterations of deviation involving additional material and/or labor costs, will be executed only upon written order for same, signed by Client and Contractor, and if there is any charge for such alteration or deviation, the additional charge will be added to the contract price of this contract. If payment is not made when due, Contractor may suspend work on the job until such time as all payments due have been made. A failure to make payments for a period in excess of60days from the due date of the payment shall be deemed a material breach of this contract.
In addition, the following general provisions apply:
- All work shall be completed in a workman-like manner and in compliance with all ANSI codes and other applicable laws.
- The contractor shall furnish a Mastercam file, as well as set up instructions and tool list in PDF format for all CNC programs.
- To the extent required by law all work shall be performed by individuals duly licensed and authorized by law to perform said work.
- Contractor may at its discretion engage sub-contractors to perform work hereunder, provided Contractor shall fully pay said sub-contractor and in all instances remain responsible for the proper completion of this Contract.
- All change orders shall be in writing and signed both by Client and Contractor, and shall be incorporated in, and become part of the contract.
- In the event Client shall fail to pay any periodic or installment payment due hereunder, Contractor may cease work without breach pending payment or resolution of any dispute.
- All disputes hereunder shall be resolved by binding arbitration in accordance with rules of the American Arbitration Association.
- Contractor shall not be liable for any delay due to circumstances beyond its control including strikes, casualty or general unavailability of materials.
- Contractor assumes no liability for injury, damage to machines or property or loss of revenue. It is the Client’s responsibility to verify the safety and accuracy of code, models and processes provided by the Contractor in a safe manner.
Article 6. Additional Terms
Satisfaction Guarantee:
Clients may elect to withhold payment until such time as the job is proven out and verified to their satisfaction under the following conditions:
- Set up / prove out / verification is completed within 45 days of completion of the initial work (excluding change orders).
- All changes / edits made to the work are done by the contractor. (it is most difficult to change code / models that clients have already edited)
- Any change requests comply with the provisions outlined in this contract.
- The Client is in good standing and has no late payments for 12 months prior to the promised start date of the project.
- The client assumes all responsibility and agrees to be charged an additional amount for changes needed due to inadequate, untimely or incorrect communication / documentation provided.
- The contractor is provided a reasonable opportunity to fix / edit / replace any work performed that does not meet the standards / specifications / dimensions that are specified in the original instructions / documentation or written change orders.
- The contractor did not tell you in writing that he would be unavailable 5 business days in advance via email or in writing for a period not to exceed 2 weeks. (I need a vacation every now and then and I will extend the 45 day period outlined in bullet point 1 by the amount of time I am unavailable).
