1)PURPOSE
These By-Laws andRegulations are given force by way of Section 25 of the Rules of the RugbyWA Juniors Inc Association. Their purpose is to provide additional administrative and directional regulation to the Rules, and sit subservient to the Rules. Where there is conflict between these By-LawsandRegulations, whether intended or not, the Rules will override these By-LawsandRegulations.
2)STRUCTURE
a)In accordance with Section 6 of the Rules, and for the purposes of administering Competitive Members of the Association and Rugby Union matches, competitions and activities for those Members, the Association shall be divided into the following structure (but not limited to the below):
i)Ordinary members (Affiliated clubs)
ii)Honorary Members (Affiliated Bodies)
iii)Competitive Members (Section 11)
iv)Lifetime Members (Section 9)
The Ordinary Members are the Affiliated Clubs
b)Affiliated clubs shall consist of any group or organisation of persons that has formed a Junior Rugby Union Club, Junior section of a Senior Club affiliated with the Western Australian Rugby Union or a school where Rugby Union Football is played provided that the Club, Section or School;
i)has applied to the in the prescribed form for affiliation and has been accepted as an Affiliated Club;
ii)being a Club or Junior Section and maintains a constitution for the administration of the Club;
iii)has a team of Competitive Members eligible for membership of the Association;
iv)[being a Club or Junior Section has to be responsible for the and conduct of the Club who shall submit to the Association the names and addresses of all persons including officers of the Club who are members of the Club] [not certain of the purpose of this?];
v)possess a definite name and playing uniform approved by the Association;
vi)shall pay to the Association an annual affiliation fee as determined by the Association such fee to be forwarded to the Association on or before the date prescribed by the Association;
vii)in the event of a Club being unable to comply with the requirements of the Association the affairs the Club may be conducted as directed by the Executive in conjunction with the senior club where applicable and the Western Australian Rugby Union.
The Honorary Members are the Affiliated Bodies
c)Affiliated Bodies shall consist of a number of Clubs eligible for affiliation organised as a Junior Rugby Sub-union or Schools being members of the Western Australian Schools Rugby Union, provided that the Affiliated Body complies with the following:
i)the Affiliated Body has applied to the Association in such form as is from time to time prescribed by the Executive for affiliation and been accepted as an Affiliated Body;
ii)the Affiliated Body shall have not less than three clubs or Schools eligible for affiliation except in where the Executive considers that an Affiliated Body can be maintained with less than that number;
iii)the Affiliated Body shall adopt or have adopted and maintain a constitution for the conduct and administration of the Affiliated Body as approved by the Executive;
iv)the Affiliated shall be bound by the Constitution and rules of the Association and the decisions and directives of both the Executive and the Association and failure by the Affiliated body to comply may render the Affiliated Body ineligible to remain the Association;
v)the Affiliated Body shall pay to the Association an annual affiliation fee as determined by the Executive, and payable on or before the date set down by the Executive;
vi)in the event of an Affiliated Body not able to comply with the requirements of the Association, the affairs of that Affiliated Body may be conducted as directed by the Executive.
Competitive Members
d)The competitive members are as described at Section 11;
Lifetime Members
e)The Lifetime Members are as described in Section 9.
3)MANAGEMENT – The Executive
The general management of the Association shall be vested in the Executive, which shall be elected in accordance with the Rules. The Executive will execute its various functions consistent with:
i)The Rules;
ii)These By-Laws and Regulations; and
iii)The Competition Rules
4)LIABILITY OF EXECUTIVE MEMBERS
a)Executive Members shall not be liable for any loss or damage arising out of the bona fide execution or attempted execution or arising out of the non execution of the duties powers authorities and discretions conferred or imposed upon them by the Act or this Constitution save and except for loss or damage arising from their wilful act default neglect or fraud and shall be entitled to be indemnified out of the assets of the Association for any liability so incurred.
b)Officers and Members of the Association shall be entitled to the protection of the Associations Incorporation Act 2015.
5)EXECUTIVE MEETINGS
a)The Executive shall meet monthly and on any other additional occasions as required by the President.
b)The Honorary Secretary shall forward a notice specifying the nature of the business to be discussed at the meeting and the time, date and place of the meeting to each Executive Member at least seven days before all such meetings, provided that a failure to send such notice or non receipt of such notice by any Executive Member shall not invalidate a meeting of the Executive.
c)A quorum for meetings of the Executive shall be three.
d)The President shall chair each meeting of the Executive or in his absence the Vice President and in his absence a member of the Executive elected by those present shall act as chairman.
e)On any resolution before the Executive the chairman shall have a deliberative and a casting vote.
f)The Executive shall subject to this Constitution regulate its own proceedings.
6)VALIDITY OF MEETINGS
No proceeding of the Executive or of any Committee shall be invalidated or rendered illegal by reason only of there being a vacancy in the number of Executive Members or Committee Members at the time of such proceeding and all acts done by any meeting of the Executive or a Committee or any person acting as a member of the Executive or Committee shall notwithstanding that it is afterward discovered that there was some defect in their election or appointment or that any of them were ineligible to hold such office be as if every such Executive member-or member had been duly elected or appointed and was eligible to be a member of the Executive Committee.
7)ASSOCIATION MEETINGS
a)Meetings of the Association shall be conducted in the months of February April July and November in each year (“General Meetings”) and on any additional occasion as required for special purposes by the Executive or Affiliated Clubs or or Affiliated Bodies in accordance with the Rules.
b)The General Meeting held in the month of November shall be the Annual General Meeting at which the elections of the Executive Committee shall be held, theAnnual Report of the Association delivered and the audited accounts for the previous financial year presented.
8)INSURANCE
The Executive may arrange appropriate suitable insurance to cover the members of the Executive and the members of all Committees and other Members of the Association, other persons who may act as voluntary helpers for and within the Association and employees of the Association in respect of injury and liability to third parties howsoever arising out of their duties or acts for or on behalf of the Association.
9)ASSOCIATION AWARDS
Life Members
a)The Association may from time to time bestow upon individuals the honour of Life members of the Association who shall be empowered to attend all general Meetings and speak on any issue raised at any such meetings and wear a suitably designed badge
b)The nomination and endorsement procedures and criteria for Life Members are as follows:
i)nominations shall be submitted by Ordinary Members on an official nomination form which shall be made available upon request from the Association office.
ii)the completed official nomination form detailing the name of the nominee and nomination justification shall be submitted to the Honorary Secretary at least twenty one days before the date set down for the next Annual General Meeting
iii)a nominee shall be elected on approval of a two-thirds majority of persons present and entitled to vote at the Annual General Meeting at which the motion is considered;
iv)announcement of successful nominations for Life Member shall be made at the Annual General Meeting and the privileges of the award will become effective from that time;
v)Life Members shall receive invitations to attend all major Association functions;
vi)presentation of the award shall be made at an Annual General Meeting or if such a time is unsuitable for the nominee then the presentation shall be at a time and place deemed suitable for the presentation of such an award by the Executive.
10) MODEL RULES
The Executive may prescribe by Regulation Model Rules for Affiliated Clubs which shall contain such objects, powers, administrative structure and responsibilitiesconsistent with this Constitution as it determines and considers necessary for the proper conduct of such structures within the Association.
11) REGULATIONS FOR REGISTRATION OF BOYS AND GIRLS WITH THE ASSOCIATION
Competitive Members shall be registered each year in accordance with the Regulations for registration of Competitive Members prescribed by the Executive.
12) COMPETITION REGULATIONS
Competition within the Association shall be conducted in accordance with the basic requirements of the Competition Regulations prescribed by the Executive.
13) AMENDMENT OR REPEAL OF BYLAWS AND REGULATIONS
Any proposal for amendment to the Bylaws and Regulations of the Association shall be in writing addressed to the Honorary Secretary and shall be considered by the Voting Members in aGeneral Meeting of the Association.
14) COMPETITION RULES
The Competition Rules will be maintained and will be accessible to all members.The Competition Rules can be modified by the Executive where they see necessary in order to satisfy the objects of the Association as described in the Rules. All Affiliated Clubs must be informed of any modifications made before modifications are applicable.
The Executive may seek views on rule modification from Affiliated Clubs, or they may seek a formal vote of Affiliated Clubs on proposed rule changes. However, they are not bound to do so.
15) JUNIOR COMPETITION CO-ORDINATOR
The Executive will formally appoint a Junior Competition Co-ordinator (JCC) to administer various aspects of the Association, but in particular, the Competition Rules and the day-to-day running of the Competition, including ground management and the Competition Premiership Tables online.
The JCC is a sub-ordinate of the Executive, but has delegated powers conferred by way of the Competition Rules.
The JCC is a position that receives remuneration for their services, in addition to reimbursement of out of pocket expenses
16) JUNIOR JUDICIAL PANEL
An independent junior judicial panel process will oversee dispute matters as directed by the Executive. The Executive will be responsible for appointing and removing panel members as part of its function. The judicial panel members may recommend certain appointees, but any recommendations must be ratified by the Executive.
