3.Ensurethatthepolicyandpracticesof theorganisationareinkeepingwithits charitableobjects

4.Formulateandregularlyreviewthe strategicobjectivesoftheorganisation, incollaborationwiththeCEO

5.Takelegalandfinancialresponsibility tosafeguardtheassetsandthe continuityoftheorganisation

6.Besatisfiedthatfinancialinformation isaccurateandthatcontrolsand systemsofriskmanagementare robustanddefensible

7.Actalwaysintheinterestsofthe organisationanditsbeneficiaries

8.Safeguardthewellbeingofthe employees

9.Takeappropriateprofessionaladvicein matterswheretheremaybea
significantrisktotheorganisationorwhere thetrusteecouldbeinbreachoftheir duties

10.Ensureproperproceduresare undertakenintheappointmentand performancemonitoringoftheCEO (andpossiblyothermembersofthe seniormanagementteam)

Incarryingoutthecollectiveresponsibilities oftheBoardtheindividualtrusteeshould:

1.Beproperlyinductedandcontinueto seekongoingtrainingtoensurehe/ sheremainsawareoftheirduties andresponsibilitiesandwidersector developments

2.Declareconflictsofinterest,and exerciseindependentjudgmentat alltimes

3.Beanactiveadvocateforthe organisation

4.RepresenttheBoard/organisation atmeetingsandevents,andactas spokespersonwhenrequestedby theCEO

5.Contributetothedevelopmentof businessstrategythroughconstructive challengeandcontributingideas

6.Scrutiniseperformanceofmanagement inmeetingagreedgoalsandobjectives, andmonitorthereportingofperformance

7.RegularlyattendBoardmeetings

TheroleoftheChairisto:

1.ProvideleadershipfortheBoardin fulfillingitsgovernanceduties

2.Ensureprovisionofaccurate,timely andclearinformationtotrustees

3.Liaisewith,andprovidesupportto,the CEOwithregardtotheorganisation’s affairsoverall

4.PlantheannualcycleofBoard meetingsandchairthem

5.EnsurethatdecisionstakenatBoard meetingsareimplementedandthat theorganisationisruninaccordance withthedecisionsmadebytheboard oftrustees

6.Ensureindividualtrusteeandoverall Boardeffectiveness

7.Setandconducttheannualappraisal oftheCEOandsupportperformance (withboardsupport)

8.Maintainthefocusandcommitment oftheboard,includingrenewaland successionplanning

9.Ensuretheperformanceoftheboard asawholeandforindividualtrustees isreviewedatleastannually

10.Whennecessary,leadtheprocessof recruitingtheCEO(andpossiblyother membersoftheseniormanagement team)

TheroleoftheTreasureristo:

HelptheBoardcarryoutitsdutytoprovide financialoversightby:

1.Liaisingwiththefinancedirectorand otherrelevantmembersofstaffwho areresponsiblefortheentity’sfinances

2.Ensuringtrusteesaresuppliedwith financialinformationbystaffinaform thatenablesthemtounderstandthe financialpositionandtheoutlookfor theorganisation

3.Actingasaninterpreterinfinancialmatterstotrusteeswhohavelimited understandingoffinance

4.Ensuringthemaintenanceof accountingstandardsbythe organisationandsoundinternal controls

5.Takingtheleadindevelopingpolicies relatingtofinances,reservesand investments

6.ProvidingstrategicadvicetotheBoard onfinancialmatters

7.Consideringthefinancialimplications ofstrategicplans,annualbudgetsand financialmanagementreports

8.Liaisingwithexternalauditorsand takingtheleadintheirappointment.
