LENDER’S REPRESENTATIONS

This day personally appeared the undersigned (the “Lender”), who stated as follows:

That the Lender is currently the holder of a certain note (the “Note”) evidencing indebtedness secured of record by a deed of trust (the “Deed of Trust”) encumbering that certain real estate then owned by (the “Borrower”), located in , Virginia, briefly described as follows: (the “Property”);

That Southern Title Insurance Corporation issued its loan policy (the “Southern Title Loan Policy”) of title insurance number insuring the lien of the Deed of Trust on the Property as of (the “Date of Policy”);

That the Lender is the current holder in due course of the Note and is entitled to payment under the Note.

That the Lender has requested Old Republic National Title Insurance Company (“ORT”) to issue its title insurance policy (the “Policy”) insuring the Lender’s interest in the Property as of the Date of Policy;

That ORT is unwilling to issue the Policy except upon receipt of certain representations respecting the Note and title to the Property given to it by the Lender, and that the Lender is willing to provide such assurances to ORT;

That the Note has not been paid in full, and the lien of the Deed of Trust has not been released of record;

That, to the best of the Lender’s informed knowledge, no claim or challenge to the title to the Property or the lien of the Deed of Trust, whether attaching or created prior to or subsequent to the Date of Policy, has been made or threatened, including, without limitation, that no claim under the Southern Title Loan Policy has been made, that no proceeding in bankruptcy has been instituted by or against the Borrower, or that there has been no action or proceeding relating to the Property in any State or Federal court, either now pending or completed; and

That Lender gives these representations to induce Old Republic National Title Insurance Company to issue its Policy for said Property, knowing that ORT will rely on the accuracy of the representations made herein.
