1. INTRODUCTION

The Government of Pakistan is committed to a policy of privatization and deregulation of the economy. On behalf of the Government of Pakistan and the Ministry of Ports and Shipping (MOP&S), Port Qasim Authority (PQA) invites private entrepreneursandsponsors, both Pakistanis and foreigners to participate in a project "Establishment of Marine Workshop & Dry Dock Facilities” which PQA intends to implement on Build, Operate & Transfer (BOT) basis. Private sector cooperation with PQA will be of mutual benefit and would also serve the larger national interest in promotinggrowth and development in this sector of the economy, which would otherwise suffer due to the overall budget constraints of the Government.

The terms and conditions, which shall be applicable to the projectunder BOT scheme and the guidelines for preparation of the technical and financial proposal by the private sector shall be mentioned in the guidelines to be issued later to the short listed/pre-qualified firms. Short Listing / Pre-qualification of applicants shall be based on the information submitted by the applicants on proforma provided in this document.

Interested firms / consortia / Joint Ventures financially sound and having capability to undertake this work may request for pre-qualification / short listing for this project through an application, in a properly sealed envelope, addressed and furnished by the date & time as specified in the advertisement.

Port Qasim Authority reserves the right to accept or reject any or all applications without assigning any reasons thereof and no claim whatsoever in this respect shall be entertained.

2. BACKGROUND OF PROJECT

Due to expansion in the Port’s activities and with several new projects nearing completion, PQA requires that a Marine Workshop and Dry Dock Facilities be set up at Port Qasim for repair and maintenance of its operation crafts as well as other ships calling at the present facilities are in adequate to meet the Port’s requirements and due this reason, operations are affected when marine craft are out of service. Apart from on board maintenance, most of the major marine craft have to be maintained and repaired at Karachi Shipyard (which has now been owned by Pakistan Navy) at WestWharf where it is likely that the craft may remain out of commission for at least 6 months. The alternative of having repairs and maintenance work done at Karachi Shipyard is also not always practical because of the long distance involved and especially since the smaller craft cannot make this trip safely during the monsoon.

The lack of proper ship repair facilities hinders operational activities at the Port and hence it is essential that a workshop providing complete repair and maintenance facilities for PQA’s fleet of tug boats and operational craft as well as for other commercial vessels be developed at the earliest.

PQA desires that the existing Dry Docks, Fitting Out Jetty and yard should be utilized after necessary rehabilitation. The Drawing (Annexure ‘B’) attached at the end of this document present location of the existing Dry Dock Facilities Alternatively the Bidder may propose any other suitable means of dry-docking (ship way, ship lift system etc.) at the proposed site. The suggested site for the Marine Workshop and Dry Dock Facilities incorporates these existing facilities. The Bidder shall determine and propose the area required by him for the Workshop after planning of the facilities.

The Bidder may, however also propose a suitable alternative site based upon his feasibility study if a deeper draft area is required for dry-docking of bigger vessels. PQA will consider providing adequate land to the Bidder at an alternative site if such land is available.

  1. BRIEF DESCRIPTION OF THE SCOPE OF WORK OF THE

BOT PROJECT

Information about the project, time frames, terms and conditions, regarding the Project may be obtained from relevant Authorities, PQA’s role is confined to offering site for development of the Marine Workshop & Dry Dock Facilities on 30 years BOT basis depending upon plans of the developers as per contract agreement with them. Access roads and other facilities within PQA area limits shall also be granted by PQA.

The present facilities available, which can be used for boat repair and maintenance at Port Qasim are in close proximity to the area of marine operation around the MarginalWharf and consist of two dry docks, jetty and yard. The dry docks were used during the construction phase of the Marginal Wharf and have since been abandoned past several years hence requires major rehabilitation. A fitting out Jetty is adjacent to the Dry Docks, which is currently being used for other purposes but will form part of the Marine Workshop and Dry Dock Facilities. Marine Service Jetty, near the proposed repair and maintenance facilities, provides moorage and service access for the Port’s fleet of operating craft such as tugs, launches, buoy tender, fuel barge etc., and may be available for use upon requested to PQA. The maximum draft available at this area is approximately 6 meters.

PQA desires that the existing Dry Docks, Fitting Out Jetty and yard should be utilized after necessary rehabilitation. Alternatively the Bidder may propose any other suitable means of dry-docking (ship way, ship lift system etc.) at the proposed site. The suggested site for the Marine Workshop and Dry Dock Facilities incorporates these existing facilities. The Bidder shall determine and propose the area required by him for the Workshop after planning of the facilities.

An area of 24 acres surrounding the Dry Docks will be available to the BOT Operator, for acquisition and use for construction of repair facilities such as fabrication shop, pipe shop, wood work shop, machine shop etc.

The Bidder may, however also propose a suitable alternative site based upon his feasibility study if a deeper draft area is required for dry-docking of bigger vessels. PQA will consider providing adequate land to the Bidder at an alternative site if such land is available.

4.INFORMATION AND DOCUMENTS TO BE FURNISHED BY

The information mentioned below is required to be furnished by the firm(s) / consortia with the application so that the same could be considered for evaluation of application for pre-qualification of the firm(s) / consortia for participating in the next stage for which guidelines against the payment of Rs. 1000/- (Rupees one thousand only) non-refundable shall be issued only to the pre-qualified firm(s) / consortia for submission of technical and financial proposals.

m.Consent to sign the "Integrity Pact". All applicants shall give their consent to sign the Integrity Pact, by signing of the attached Annexure A by all firms / Joint Ventures partner.

n.Letter of Joint Venture Association.

The Expression of Interest (EOI) submitted by a joint venture group of companies shall, as a minimum requirement includes the following additional documents:

i)Designation of one or more person(s) to represent the joint venture in its dealings with PQA. The person(s) designated shall be authorized to perform all tasks, including, but not limited to: providing information, responding to inquiries and entering into contractual commitments on behalf on the group of companies. Power of Attorney in the name of designated person(s) duly signed by each member of the group shall be submitted with the proposal;

ii)A letter signed by each joint venture member which states that it has reviewed the entire proposal and is in accord with each key element of the EOI.

iii)A written agreement by all the constituent companies to establish a corporation for the specific purpose of Establishment of Marine Workshop & Dry Dock Facilities.

iv)The memorandum of understanding between the constituent companies to participate in the bid and to contribute capital for the incorporated company.

------[The BOT Operator] hereby declares its intention not toobtain or induce the procurement of any contract, right, interest, privilege or other obligation or benefit from Government of Pakistan (GOP) or any administrative subdivision or agency thereof or any other entity owned or controlled by it (GOP) through any corrupt business practice.

Without limiting the generality of the foregoing, [The BOT Operator] represents and warrants that it has fully declared the brokerage, commission, fees etc. paid or payable to anyone and not given or agreed to give and shall not give or agree to give to anyone within or outside Pakistan either directly or indirectly through any natural or juridical person, including its affiliate, agent, associate, broker, consultant, director, promoter, shareholder, sponsor or subsidiary, any commission, gratification, bribe, finder's fee or kickback, whether described as consultation fee or otherwise, with the object of obtaining or including the procurement of a contract, right, interest, privilege or other obligation or benefit in whatsoever form from GOP, except that which has been expressly declared pursuant hereto.
