MEMORANDUM OF UNDERSTANDING
ON JOINT COOPERATION
BETWEEN
PONTIANAK CITY, WEST KALIMANTAN, REPUBLIC OF INDONESIA
AND
BORNHOLM ISLAND, DENMARK
Memorandum of Understanding on Local Government Cooperation (hereinafter called “MoU”) between Pontianak City and Bornholm Island, collectively referred to hereinafter as the “Parties”. WHEREAS:
1. The Parties agree to enter into an agreement to promote and support joint collaborations between local public and private organisations;
2. The Parties have agreed to further continue their common interest in promoting the mutual cooperation in the area of education, innovation activities, energy, agricultural products, waste management, arts and crafts; and
3. The Parties agree to implement the MoU under the terms and condition hereinafter set forth.
HAVE AGREED AS FOLLOWS:
ARTICLE 1
PURPOSE AND OBJECTIVE
1. The purpose of this MoU is to make possible and to facilitate the education, innovation activities, and development in the field of energy, agricultural products, waste and water management, arts and crafts between Parties, based upon principles of mutual equality and the reciprocity of benefits;
2. The objective of this MoU is to strengthen ties between the Parties and to promote public and private cooperation and to further the understanding of the culture of the two regions to the benefit of both Parties.
ARTICLE 2
SCOPE OF ACTIVITIES
The scope of activities of the MoU shall include:
a. Innovation and education
1. Vocational training of Indonesian students in Bornholm
2. Student competitions and joint training activities
3. Student exchange programme
b. Development of appropriate technology and products
1. Energy/electricity supply in off-grid areas (solar, water, biomass, waste)
2. Solid waste management
3. Water and waste water solutions
c. Entrepreneurship and business development
1. Agriculture products (Aloe Vera)
2. Tourism planning and development of Kapuas Riverside Area
3. Arts and Craft (ceramics, furniture, etc.)
ARTICLE 3
CONTRIBUTION BY PARTIES
In accordance with the prevailing laws and regulations in Indonesia and Denmark, and subject to personnel and budget limitations, the Parties shall:
a. Seek finance from sources available to them to develop joint activities;
b. Promote and support local companies and organisations to assist in the implementation of joint activities;
c. Facilitate qualified experts, companies and organisations to assist in the implementation of activities under this MoU.
ARTICLE 4
AMENDMENTS, EFFECTIVE DATE, DURATION AND TERMINATION
1. This MoU can be amended by mutual consent of the Parties. Any amendments to this MoU can only be made in writing and after consultation and mutual consent of the Parties. Such amendments, once approved by the Parties, will become part of this MoU;
2. The effective date of this MoU shall be the date on which the Parties sign this MoU;
3. This MoU shall remain in force for a period of five (5) years from the date of the last signature. The MoU may be extended by written mutual consent of the Parties;
4. The MoU may be terminated by either Party by giving written notice at least 6 (six) months in advance to the other Party;
5. In case the MoU ceases to be effective on the account of termination or expiration, the provisions of all valid Plan of Operation documents shall continue to apply to the extent necessary to secure the implementation of existing activities as agreed upon in the Plan of Operation documents.
ARTICLE 5
COMMUNICATION
1. Any notice or request given or made by one Party to the other under this MoU shall be in writing in the language of English and shall be addressed by all means to the Party’s principal office as is deignated in writing hereinafter;

2. Authorized representatives of the Parties shall sign two original MoU documents. Each city shall hold one original signed MoU, with both documents being equally authentic.
IN WITNESS WHEREOF, the Parties hereto have caused this MoU to be executed by their duly authorized representatives.
