PARTICIPANT RELEASE
I am the parent or legal guardian of the child whose name and birth date appear below (“my child”). In consideration for allowing my child to participate in the Event identified above, including publicity, the adequacy of which is hereby acknowledged, I hereby agree, on behalf of myself and my child and my child’s personal representatives, heirs, and next of kin, as follows:
1. I grant the National Football League and each of its my member football clubs, NFL Ventures, L.P., each of their parents, subsidiaries, affiliates, successors and assigns, and each of their respective shareholders, officers, directors, employees, agents, representatives and licensees (collectively, the “NFL Entities”) the irrevocable, perpetual, worldwide and royalty-free right, but not the obligation, to photograph, film, videotape, record and otherwise use my child’s name, voice, portrayal, performance, appearance, actions, likeness and/or biographical information, whether alone or in conjunction with others, (a) in connection with the production and exploitation of programming and otherwise in connection with or for any other projects, programs or uses of or by any of the NFL Entities or any of their licenses (collectively, the “Programs”), including, but not limited to, promotion, publicity and advertising of any of the Programs, (b) to create derivative works of any of the Programs and (c) to reproduce (including by re-recording), duplicate, publish, use (including by re-using, adapting, editing or mixing), exhibit, publicly perform, display, distribute, transfer or transmit the Programs, any such derivative works, or any elements thereof in all media formats and versions, whether now known or hereafter developed, including but not limited to (a) over-the-air, cable and satellite and other means of radio and television broadcasting, (b) distribution or transmission from a website or otherwise through the Internet, (c) any other means of wireline and wireless transmission and (d) any analogue (including print) or digital media.
2. I understand, acknowledge and agree that the NFL Entities are and shall be the sole and exclusive owners of all right, title and interest in and to the Programs, and any derivative works thereof, and any photographs, renderings or digital or electronic pictures, film footage, video tape, digital or electronic recordings made or taken of my child in connection with, or simultaneously with, my child’s involvement with or appearance on the Programs, and all negatives, prints, tapes and reproductions thereof (collectively, the “Materials”), including but not limited to any rights of intellectual property, including copyright, and that neither myself nor my child have or shall have any interest or ownership in any such Materials or rights. I waive the opportunity or right to inspect or approve the Programs or the Materials or any of the uses to which it or they, or any derivative works thereof, may be put.
3. I agree that neither myself nor my child shall receive and I waive any right to any and all claims for consideration (other than as stated above) of any kind arising out of my child’s involvement with or appearance on the Programs and/or any use of any of the Materials, including but not limited to compensation due or owing to me or my child as a result of my child’s membership in any guild or union (including but not limited to AFTRA, SAG or AFM) and represent that no other party is entitled to compensation as a result of my child’s appearance on the Programs and/or in connection with any use of any of the Materials. I waive and release all claims to any and all proceeds and revenues derived from the Programs, any derivative works thereof and any of the Materials, and agree that such proceeds and revenue are the sole property of the NFL Entities. I agree that the NFL Entities shall have the right, without my consent, to assign, license or otherwise transfer, in whole or in part and exclusively or non-exclusively, any of the rights granted by this Release.
4. I hereby waive and release the NFL Entities from all claims, damages, suits, losses and liabilities, including claims for attorney’s fees and personal injuries, whether known or unknown (collectively, “Losses”), arising by reason of (a) my child’s involvement with or appearance on the Programs, including without limitation, any claims for defamation, violation of any moral rights or rights of privacy, personality or publicity or arising out of any blurring, distortion, alteration, optical illusion or use in composite form that may occur or be produced in making, processing, duplicating, projecting or displaying the Programs or any of the Materials; (b) statements made by my child or others on or in connection with the Programs; (c) any negligence of the NFL Entities in connection with the Programs; (d) the exercise of any and all rights granted by me in this Release; and (e) any act or omission by my child in connection with the Programs or my child’s involvement with or participation therein. I agree to indemnify, defend and hold harmless the NFL Entities from and against any and all Losses that may result from any breach or alleged breach by me or my child of any provision of this Release.
5. I represent that (a) I have read this Release; (b) I or my child am the sole owner of the rights I am granting herein; (c) I have the right, power and authority to enter into this Release on behalf of myself and my child; (d) no consents, authorizations or releases need to be made to any party (other than the NFL Entities) for use of any of the Materials; and (e) to the best of my knowledge, my involvement with or appearance on the Programs, including any statements made by my child on the Programs, and any use of the Materials by the NFL Entities, will not violate or infringe upon the rights of any party.
6. This Release constitutes the entire understanding between the NFL Entities, my child and me. This Release shall be governed by the laws of the State of New York, without giving effect to any principles of conflicts of law.
