SUBSCRIPTON AGREEMENT

OPEN-SCS SUBSCRIPTION AGREEMENT

Thepartiesheretoagreeasfollows:

SECTION 1. SUBSCRIPTION

1.1Subscribed Products.

Open-SCShereby grants to the Subscriber the non-exclusive, non-transferable right to access and use the products and services identified in Schedule 1 (“Subscribed Products”)and provide the Subscribed ProductstoitsAuthorizedUsers(asdefinedherein)subjecttothetermsandconditionsofthisAgreement.

1.2Authorized Users/Sites.

AuthorizedUsersare the full-timeandpart-timeemployeesof theSubscriber andindividualsaffiliated with theSubscriber’s locations listed on Schedule2 (the “Sites”).

1.3Authorized Uses.

Each Authorized Usermay:

access, search, browseand viewtheSubscribed Products;
print,downloadandstoreareasonableportionofindividualitemsfromtheSubscribedProductsfor theexclusiveuseofsuch Authorized User;
not incorporatelinkstotheSubscribedProductsontheSubscriber’sintranetandinternetwebsites;
provideprintorelectroniccopiesofindividualitemsfromtheSubscribedProductstootherAuthorized Users;
access,search,browse,view,print,makeelectroniccopiesandstorefortheexclusiveuseofsuch Authorized;
provide review and comment of all drafts and final versions of subscribed products;
vote on all draft versions of subscribed products;
vote on the priorities of the scope items addressed in each draft of subscribed products;

TheSubscribermay:

accessthetextonline viaanAPIat a SharePoint site to be created shortly andto continuouslyand automaticallyextractand/orprocess information fromtheSubscribed Productsfor usebyAuthorizedUsers
Subscribed products onlinemaynot beaccessedby vendorsorotherthird partiesretained bythe Subscriber.

1.4 IntellectualPropertyOwnership.

TheSubscriberacknowledgesthatallrights,titleandinterestinandtotheSubscribedProductsremainwithOpen-SCS and the OPC Foundation, exceptasexpressly setforth in thisAgreement, and thattheunauthorized redistributionoftheSubscribedProductscouldmateriallyandirreparablyharmOpen-SCSandthe OPC Foundation. NotwithstandinganythingtothecontrarycontainedinthisAgreement,moreextensiveusagetermsmight bepermitted foropenaccesscontent in theSubscribedProductsasstatedin theapplicableuser license.

SECTION 2.OPEN-SCS PERFORMANCE OBLIGATIONS

2.1Access toSubscribed Products.

Open-SCSwillmaketheSubscribedProductsaccessibletotheSubscriberanditsAuthorizedUsersfromthe SharePoint site once it has been established.

2.2QualityofService.

Open-SCSwillusereasonableeffortstoprovidetheSubscribedProductswithaqualityofserviceconsistent withindustrystandards,specifically,toprovidecontinuousservicewithanaverageof98%up-timeperyear,withthe2%down-timeincludingscheduledmaintenanceandrepairsperformedatatimeto minimizeinconveniencetotheSubscriberanditsAuthorizedUsers,andtorestoreserviceassoonaspossible intheeventofaninterruption orsuspension ofservice.

2.3WithdrawalofContent.

Open-SCSreservestherighttowithdraw from theSubscribedProductscontentthat Open-SCS nolongerretainsthe rightto provideorthatithas reasonable groundsto believe isunlawful, harmful,falseorinfringing.

2.4UsageDataReports.

Open-SCSwillmakeusagedatareportsontheSubscriber’susageactivityaccessibleonlineonamonthly basis totheadministratorsemployed bytheSubscriber forinternaluseonly. Such reportsmaybeaccessedbyvendorsorotherthirdpartiesretainedbytheSubscriberonlywiththeexpresswrittenpermission ofOpen-SCSandforthepurposeofusageanalysisoftheSubscriber.

SECTION 3.SUBSCRIBER PERFORMANCE OBLIGATIONS

3.1Authentication.

AccesstotheSubscribedProductswillbeauthenticatedbytheuseofSharePoint usernames and passwords. Distributionofusernames,passwords,credentials orotherwiseproviding remote access to the Subscribed Products by Authorized Users who are Walk-in Usersisnotpermitted.

3.2Protectionfrom Unauthorized Accessand Use.

TheSubscriber willusereasonableeffortsto:

limit access to and use of the Subscribed Products to Authorized Users and notify all Authorized Users of the usage restrictions set forth in this Agreement and that they must comply with such restrictions;
issue any passwords or credentials used to access the Subscribed Products only to Authorized Users, not divulge any passwords or credentials to any third party, and notify all Authorized Users not to divulge any passwords or credentials to any third party; and
promptly upon becoming aware of any unauthorized use of the Subscribed Products, inform

Open-SCS and OPC Foundation who will take appropriate steps to end such activity and to prevent any recurrence.

Intheeventofany unauthorizeduseoftheSubscribed Products,Open-SCSand OPC Foundation maysuspendtheaccessand/or require that theSubscriber suspendthe access from where theunauthorizeduse occurreduponnoticeto theSubscriber. TheSubscriberwillnotbeliable forunauthorized useof theSubscribed Productsbyany Authorized Usersprovidedthat theunauthorized usedid notresultfromtheSubscriber’sown negligence orwillfulmisconductand thattheSubscriberdid notpermitsuch unauthorized useto continue after havingactualnoticethereof.

SECTION 4.FEES AND PAYMENT TERMS

TheSubscriberwillpaytoOpen-SCS and OPC Foundationthefeessetforthin Schedule1(the“Fees”)withinNET thirty(30)daysof date of invoice. TheFeeswillbeexclusiveofanysales,use,valueadded,withholdingorsimilartaxandthe Subscriberwillbeliableforanysuch taxesinadditionto theFees if applicable.

SECTION 5.TERM

5.1Term.

Thetermof thisAgreement willcommenceuponreceipt of payment of invoicefor the period designated in the invoice’s terms.

5.2Renewal.

ThisAgreementwillberenewed at the end of period. Subscribers will be notified 60 days prior to end of term.

SECTION 6.OPEN-SCS WARRANTIES AND INDEMNITIES

6.1Warranties.

Open-SCSwarrants thatuseoftheSubscribedProductsinaccordancewith the termsandconditionsherein willnotinfringe theintellectualpropertyrightsofanythirdparty.

6.2Indemnities.

Open-SCSwillindemnify,defendandholdharmlesstheSubscriberanditsAuthorizedUsersfromand againstanyloss, damage, costs,liabilityandexpenses(includingreasonableattorneys’ fees)arising fromoroutofanythird-partyaction orclaimthatuseof theSubscribed Productsin accordancewith thetermsandconditionshereininfringesthe intellectualproperty rightsofsuchthird party. Ifany suchactionor claimismade,theSubscriberwillpromptlynotifyandreasonablycooperatewithOpen-SCS. Thisindemnityobligation willsurvive theterminationofthisAgreement.

6.3Disclaimer.

EXCEPTFOR THEEXPRESSWARRANTIESANDINDEMNITIESSTATED HEREIN AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SUBSCRIBED PRODUCTS AREPROVIDED “AS IS” AND OPC FOUNDATION, OPEN-SCS AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALLWARRANTIES AND REPRESENTATIONS OF ANY KIND WITH REGARD TO THE SUBSCRIBED PRODUCTS AND ANY OTHER DATA,DOCUMENTATION OR MATERIALS PROVIDEDIN CONNECTION WITH THISAGREEMENT, INCLUDING BUTNOTLIMITED TO ANYERRORS, INACCURACIES,OMISSIONS,ORDEFECTSCONTAINEDTHEREIN,ANDANY IMPLIED OR EXPRESSWARRANTY ASTO MERCHANTABILITY OR FITNESSFOR A PARTICULARPURPOSE.

6.4Limitation ofLiability.

Except for theexpresswarrantiesandindemnitiesstatedhereinandtotheextentpermittedby applicablelaw,innoeventwillOPC Foundation, Open-SCSoritssuppliersbeliableforanyindirect,incidental,special,consequentialor punitivedamagesincluding,butnotlimitedto,lossofdata,businessinterruptionorlossofprofits,arising outoforinconnectionwiththisAgreement,norwill theliability ofOPC Foundation, Open-SCSanditssuppliers to the SubscriberexceedasumequaltotheFeespaidbytheSubscriberhereunderduringthetwelve(12)month periodimmediatelyprecedingthedateonwhichtheclaimarose,evenifOPC Foundation, Open-SCSoranysupplierhasbeen advised of thepossibilityofsuchliabilityordamages.

SECTION 7.GENERAL

7.1ForceMajeure.

Neitherparty’sdelayorfailure toperform anyprovisionofthisAgreementasaresultofcircumstances beyonditscontrol (including,butnot limited to,war, strikes,fires, floods,power failures, telecommunicationsorInternet failuresordamageto ordestructionofany network facilitiesorservers) willbedeemed abreach ofthisAgreement.

7.2Severability.

Theinvalidityorunenforceabilityofanyprovision ofthisAgreementwillnotaffectanyotherprovisions of thisAgreement.

7.3 EntireAgreement.

ThisAgreementcontains theentireunderstanding and agreementofthepartiesand replacesand supersedesany andallpriorandcontemporaneousagreements,communications,proposalsandpurchase orders, writtenororal, between thepartieswith respectto thesubjectmattercontained herein.

7.4 Modification.

Nomodification,amendmentorwaiverofanyprovisionof thisAgreement willbevalidunlessinwriting and signed bytheparties.

7.5 Assignment.

TheSubscriberwillnotassign,transferorlicenseanyofitsrightsorobligationsunderthisAgreement unlessitobtainsthepriorwritten consentofOpen-SCS,which consentwillnotunreasonablybewithheld.

7.6 Privacy.

Open-SCS willnot,withoutthepriorwrittenconsentoftheSubscriber,transferanypersonalinformationof anyAuthorized Usersto anynon-affiliatedthird partyoruseitforanypurposeotherthan asdescribedinthisAgreementandin theonlineprivacypolicyfortherelevantonlineservice.

7.7 Notices.

AllnoticesgivenpursuanttothisAgreementwillbeinwritinganddeliveredtothepartytowhomsuch noticeisdirectedattheaddressspecifiedbelowortheelectronicmailaddressassuchpartywillhavedesignated bynoticehereunder.

If to theSubscriber:All correspondence to Subscriber will be sent to the Primary Contact as specified in Schedule 2.

7.8 Confidentiality.

TheSubscriberanditsemployees,officers,directorsandagentswillmaintainasconfidentialandnot disclose toanynon-affiliated third partywithoutOpen-SCS’sprior written consentorexceptas required bylawthefinancialtermsand commercialconditionsof thisAgreement.

7.9 Execution.

ThisAgreementandanyamendmenttheretomaybeexecutedincounterparts,andsignaturesexchanged byfacsimileorotherelectronicmeansand areeffective tothesameextentasoriginalsignatures.

IN WITNESS WHEREOF, the parties have executed this Agreement by their respective, duly authorizedrepresentativesasofthedatefirstwritten above.

Access

Access to the Subscribed Products will begin upon receipt of the Subscription Fees at OPC Foundation. The subscription period will in accordance with the subscription, either one or two years.

SUBSCRIPTION TERMS AND PRICING

Member Subscription Program offers each member flexibility and choice with initial terms of one and two years. Upon request, three year or longer terms bring the additional benefits of deeper discounts and price predictability for the agreement term.

1 Year Subscription$13,000.00 USD☐

2 Year Subscription$24,000.00 USD☐

Option to Refund Withdrawn Subscribed Titles

The Subscriber may withdraw at any time upon notice to Open-SCS and OPC Foundation.

Open-SCS will not refund to the Subscriber any amount of the Fees paid forthe Subscription.

Post Termination Access to Subscribed Titles

Upon termination of the Subscriber’s subscription, the Subscribermay, at its option, use all or part of its Subscribed Work Products for the publication periods paid for in accordance with the usage provisions of this Agreement, which provisions will survive the termination of the Agreement.

TheSubscriber willpromptlynotifyOpen-SCSofanymaterialchangesinthenumberof AuthorizedUsers, whichchangesmayresultinOpen-SCS terminatingtheAgreementattheendoftheyearforwhichtheFees werepaidunlessthepartiesareabletoagreetoappropriatefeeadjustmentsforanysubsequentyearsofthe term, and may add, withdraworsubstituteauthentication mechanismsupon mutualagreementofthe parties in writing.
