BYLAWS

Of the
DUQUESNEUNIVERSITYGREEK ALUMNI COUNCIL

Article IName

The name of this organization shall be Duquesne University Greek Alumni Council.

Article IIPurpose

The purpose of this organization shall be:

1.To encourage sound undergraduate management of general fraternities and sororities through advice and council, and to provide continuity to undergraduate chapter obligations;

2.To promote an on-going/open positive relationships between the Alumni Council, Alumni Groups, undergraduate chapters, parents, and Duquesne University officials;

3.To coordinate and plan Greek Alumni activities and communications and stimulate Greek interests at DuquesneUniversity for the mutual benefit of all recognized member organizations;

4.To develop and promote cooperation between Greek organizations and the university authorities, to the end that the conditions of the Greeks and their relations with the university authorities may be improved.

5.To promote the Mission of Duquesne University and the best interests of the Greek community and the American Fraternity Movementon campus;

6.To promote adherence to all National, Local, and University policies;

7.To promote the benefits of Greek membership.

Article IIIMembership

Section 3.01Composition of Membership

A.Any recognized general fraternity or sorority at DuquesneUniversity with an active alumni group, association, club, and/or advisory council is eligible for membership.

B.Ex-officio members will include the Director of Greek Life, the Director of Alumni Affairs, the current Interfraternity Council President, and the current Panhellenic Council President.

C.Each general Greek organization shall be entitled to one duly appointed representative and one alternate representative. Both representatives may attend and participate in any and all meetings of the Council, but each organization shall be afforded only one vote on matters before the Council.

D.An organization may change its representative to the Council at any time by written notification to the Council.

Section 3.02Voting Members

A.Each recognized General Fraternity and Sorority shall have one (1) vote to be cast by the Alumnae Group President or an alumni member designated by the Alumni Group President.

Section 3.03Director of Greek Life

A.The Director of Greek Life shall serve as the advisor to the council and executive board. The Director of Greek Life shall also administer all official correspondence of the Board including announcements of all meetings of the Board and committees.

Article IVOfficers

Section 4.01Executive Board

A.The executive board officers of this council shall be voting members per Article III, Section 3.02 and consist of the following: President (1), Vice President (1), Secretary (1), and two members-at-large (2). The Director of Greek Life shall serve as an ex-officio member of the executive board. This board shall prepare subject matter for the council meetings and shall originate subjects in conformity with the purposes of this organization.

Section 4.02Officers

A.President

1.Shall be the chairman of the executive board and regular council, subject to the control of the membership, and have management and direction of the business and officers of the organization;

2.Shall serve as the official council voting representative to the Duquesne University Alumni Association;

3.Shall preside over all meetings of the executive board and council;

4.Shall appoint committees and their chairperson(s);

5.Shall maintain a file with all relevant facts and information, which shall be the property of the council and shall be transferred within four (4) weeks, in good condition, to his/her successor;

6.Shall fill by appointment all vacancies occurring in any office for the balance of the unexpired term;

7.Shall discharge other duties as may be required.

B.Vice-President

1.In the absence or disability of the President shall perform all duties of the President and when so acting have the powers of and be subject to all the restrictions of the President;

2.Shall perform such duties pertaining to the office as may be required by the membership or officers;

C.Secretary

1.Shall keep or cause to be kept a book of minutes, including attendance of all meetings of the council and its officers;

2.Shall keep a membership log containing the names and address of each voting member of the council;

3.Shall coordinate correspondence with alumni office;

4.Shall send all voting members and ex-officios:

A.Minutes of all meetings within thirty (30) calendar days of said meeting.

5.Shall perform such duties pertaining to the office as may be required by the membershipor officers;

6.Shall maintain a file with all relevant facts and information, which shall be the property of the council and shall be transferred with four (4) weeks, in good condition, to his/her successor.

D.Members-At-Large

1.One Member-At-Large shall serve as the chairperson of the Greek Life Book Endowment Fund Selection Committee.

2.One Member-At-Large shall serve as the chairperson of the Social Committee.

Article VMeetings

Section 5.01 Meetings

A.Semiannual meetings will be held at least once in the Fall and Spring Semesters.

B.Semiannual meetings will be held at DuquesneUniversity.

C.Special meetings, after due notice as herein provided, may be called at any time or any place by majority of voting members. Such calls shall be in writing and shall state the time, place and purpose of such meeting.

Section 5.02Notice of Meeting

A.Thirty (30) days prior to the date of any regular meeting and in like fifteen (15) days prior to the date of any special meeting called as herein provided, the secretary shall send out notice containing the time, place, and purpose of said meeting.

Section 5.03Quorum

A.The majority of current active undergraduate Greek organizations recognized by DuquesneUniversity shall constitute quorum and shall be competent to transact business.

Section 5.04Voting

A.Each voting member, as defined by Article III, Section 3.02, shall have the privilege of one (1) vote. Business shall be transacted by a majority of voting members present.

Article VIRemoval of Officers

Section 6.01Removal of Officers

A.The membership shall be empowered to request and enforce the resignation from office any officer of the council who does not fulfill properly the requirements of his/her office as specified by these Bylaws.

Article VIIRequirements

A.This council shall comply in all its actions with the requirements of the respective Local and National Fraternities and Sororities it represents as well as the governing requirements set forth by DuquesneUniversity.

Article VIElections

A.The officers shall be nominated and elected for a term of two years. Elections shall be by majority vote at a duly constituted meeting of the Council. No President or member-at-large of the Executive Committee can serve for more than four consecutive terms.

Article VIIStanding Committees

A.The executive board shall have the power to establish a standing committee.

B.The executive board has the power to determine the size and selection of each committee.

C.The establishment of the following committees shall be active and work in conjunction with the Executive board throughout the year.

A.Greek Life Book Endowment Fund Selection Committee

1.The purpose of the Greek Life Book Endowment Fund Selection Committee shall be to work in conjunction with the Office of Greek Life to annually select undergraduate student(s) for the endowment fund program.

B.Social Committee

1.The purpose of the Social Committee shall be to plan Greek alumni events throughout the year including the following:

A.Homecoming event(s);

B.Carnival event(s);

C.Greek Alumni Charity Banquet.

D.The Executive Board may dismiss any committee member from the committee if it feels that the member is in hindrance of its progress.

Article VIIIAmendments to the Bylaws

These Bylaws may be amended, repealed, or altered in whole or part, in any one of the following procedures:

1.By a vote of 2/3 of the members present at any regular meeting, or any special meeting where such action has been announced in the call and notice of the meeting, said call and notice to be given as set forth in these Bylaws.

2.By 9/10 majority vote of the members present at any regular meeting or special meeting wherein previous notice of the proposed amendment has not been give.

Article IXRules of Order

  1. In the absences of a specific provision to the contrary in the Council’s By-Laws, any meeting of the Council, Executive Board, or of any Committee thereof, shall be governed by the rules contained in the current edition of Robert’s Rules of Order.
