Corporate Name & Use:

The Name of the Corporation shall be North Florida Artillery Corporation. The use of this name is protected by law. Approval to use the name for any reason must come from the Board of Directors. Permission must be obtained for every occurrence. Past permission does not imply future use.

Board of Directors Meetings:

The Board of Directors shall meet at least annually to conduct the legal and financial business of the Corporation. This meeting will be held before the end of November each year. A majority of the members must be present for the meeting to be binding. The Corporation by law is required to file the annual report. All information required to do so will be made available prior to this meeting. Any other meeting of the Board of Directors may be called as business of the Corporation may demand.

Board of Directors Meeting Minutes:

Minutes of all meetings of the Board of Directors will be kept. A written copy of the Minutes shall be filed with the corporate documents. Minutes shall also be posted on a secured area of the Corporate Web Site for accessibility of all members.

Election of Board of Directors and Officers:

The Board of Directors may at any time deem it necessary to add Board Members or Officers to fill vacancies or needs of the corporation. These positions can be filled at any time by a majority vote of the Board of Directors.

Officers Duties and Privileges:

Officers are to report to the Board of Director concerning their area of responsibility. They will not have voting privileges. They will have authority to set guide lines to aid

them in completing their duties. All guide lines are subject to review by the Board of Directors.

Treasurer Responsibilities:

The Treasurer will record and report to the Board of Directors all matters pertaining to Accounts Receivables and Accounts Payables.

The Treasurer will fill out the Annual Report in conjunction with the Board of Directors. The Treasurer will after the Annual Report has been approved. Insure the filing of said document. The Treasurer will also be responsible

Quartermaster Responsibilities:

The Quartermaster will oversee the purchases for the Corporation. The Quartermaster will provide 3 estimates to the Board of Directors concerning any purchases not required on a regular interval. The Quartermaster will coordinate with the Activities Coordinator to utilize the skills and abilities of the member. Too maximize the resources available to the Corporation.

Activities Coordinator Responsibilities:

The Activities Coordinator is to arrange all Activities in and out of Camp. Too track all major events in the life of the membership. The Activities Coordinator will Calendar all events and notify the membership of said events. All plans will have the approval of the Activities Coordinator.

Property Ownership:

There are three categories of ownership for this Corporation. Corporate Owned, Privately Owned, and Privately Owned for Common Use. The ownership of all property used by the Corporation will be established in writing by the owner and filed with the corporate documents. The letter of ownership will list any terms the owner may wish to impose. Terms not in writing will not be recognized by the Corporation. It is the owner’s responsibility to update and correct the Letters of Ownership. The last filed copy will settle any issues.

Posting of Articles of Incorporation and

By-Laws:

The Articles of Incorporation and the By-Laws will be posted on the secured area of the Web Site. Each member of North Florida Artillery will have on file a copy of each document that contains. They will initial the bottom of each page. There will be a signature with the date at the end of each document.

Statement of Liability:

The Corporation will furnish no insurance to cover members involved in the activities of the Corporation. It is the responsibility of the individual member to provide insurance coverage. No reimbursement for lose of any kind will be assumed by the Corporation.

Acceptance of the By-Laws:

These By-Laws have been adopted and approved for use in conjunction with the Articles of Incorporation this date______of ______2007. The undersigned by their Signature do hereby approve.

Addendum # 1 to By-Laws

Date of Adoption: Oct , 2007

Membership Requirements:

Any interested person may apply for membership to this Corporation. Upon request the applicant will receive a copy of the Application and the By-Laws to be reviewed. The forms must be completed and returned for review by the Board of Directors with a majority vote of acceptance. The applicant will be added to the roll of North Fla. Artillery with all the rights and privileges of a member in good standing.

Members are required to maintain their membership at the level of good standing. The following conditions must be observed for a member to be in good standing.

(1) Members must attend 2 Reenactments or Historical Demonstrations per year.

(2) All fees must be paid by the close of the year.

If a member allows their membership to fall below these requirements for 2 years, they may be dropped from the roll of North Fla. Artillery. If conditions warrant, the Board of Directors may invoke a reprieve to the member upon request. The request must be made in writing for the Boards approval.

Addendum # 2 to By-Laws

Date of Adoption: Jan. 16, 2007

Authorization to Establish Banking Policies

The Board of Directors is authorized to establish Policies and Procedures concerning all banking needs of the Corporation. It is authorized to approve persons to sign Checks for the Corporation. The Treasurer is authorized by the Board to communicate with the Bank, concerning the banking needs of the Corporation. The Treasurer is responsible to balance the checking account for the Corporation. The Treasure will report to the Board the status of the checking accounts. All withdrawals on the account will require 2 signatures. No conflict of interest shall exist, concerning withdrawals in banking matters.

Corporation Fees:

The Board of Directors will establish all fees and charges for the Corporation. Once the fees and charges have been approved by the Board of Directors, then the fees and charges most be voted on and approved by the membership of the Corporation.

Addendum # 4 to By-Laws

Date of Adoption: Feb. 18, 2007

Annual Dues:

The Board of Directors presented to the Membership for approval. A motion to establish Annual Dues to pay for administration cost. Be collected from the membership of North Florida Artillery. The amount of $5.00 per person was established. All members above the age of 16 years old would be included. Payment of the Annual Dues would be a requirement to be a member in good standing with all rights and privileges. The date established for collection of the Annual Dues was Jan. 1st of each year.

This was approved and passed by vote of the membership on the above date.
