MT. SAC AUXILIARY SERVICES
INDEPENDENT CONTRACTOR AGREEMENT
This agreement is entered between the MT. SAC AUXILIARY SERVICES and all its divisions/parts hereinafter referred to as AUXILIARY SERVICES and ______hereinafter referred to as INDEPENDENT CONTRACTOR.
It is expressly understood and agreed to by both parties hereto, that the INDEPENDENT CONTRACTOR, while engaged in carrying out and complying with any of the terms and conditions of this agreement, is an INDEPENDENT CONTRACTOR and not an officer, agent or employee of the AUXILIARY SERVICES. This agreement in no way constitutes contractual employment with the Auxiliary nor provides employment rights granted to Auxiliary employees.
The INDEPENDENT CONTRACTOR shall serve as ______for the AUXILIARY SERVICES, from ______to ______.
The AUXILIARY SERVICES agrees to pay INDEPENDENT CONTRACTOR ______for services rendered under the terms of this agreement through Auxiliary Services Office.
The INDEPENDENT CONTRACTOR acknowledges that the AUXILIARY SERVICES makes this agreement for the purpose of receiving full performance by INDEPENDENT CONTRACTOR of all services stated in this agreement.
The AUXILIARY SERVICES declares that it would not enter into this agreement for the performances of the INDEPENDENT CONTRACTOR for only part of those services to the exclusion of other services to the AUXILIARY SERVICES, and that INDEPENDENT CONTRACTOR’S services to the AUXILIARY SERVICES will complete value to it only if all services are fully performed. The parties, therefore, agree that in the event INDEPENDENT CONTRACTOR fails or refuses to perform or complete the services in a manner satisfactory to AUXILIARY SERVICES or terminates this agreement, the AUXILIARY SERVICES shall have no obligation or duty to make payment of the full contract price. Either party may, at any time during the term of the agreement, or any extension thereof terminate this agreement by giving thirty (30) written notice to the other. Such written notice shall be forwarded to the other party by certified mail to the last address. In the event of such notice of termination, the payment and contract services shall be pro-rated on the basis of days devoted to the contract services.

INDEPENDENT CONTRACTOR shall provide Worker’s Compensation Insurance or evidence of self-insurability. INDEPENDENT CONTRACTOR shall also hold and keep harmless the AUXILIARY SERVICES and all officers and agents thereof from damages, costs, or expenses or equity that at any time may arise or be set up because of injuries to persons or property, including AUXILIARY SERVICES personnel and property, arising by reason of, or in the course of, the performance of this agreement; nor shall the AUXILIARY SERVICES be liable or responsible for any accident, loss, or damage; and INDEPENDENT CONTRACTOR, at own expense, cost, and risk shall defend any and all actions, suits, or other legal proceedings that may be brought or instituted against the AUXILIARY SERVICES, or officers or agents thereof on any claim/s or demand and pay or satisfy any judgment that may be rendered against AUXILIARY SERVICES or officers of agents thereof in such action, suit, or legal proceedings. The AUXILIARY SERVICES shall hold and keep harmless INDEPENDENT CONTRACTOR from damages, costs, or expenses in law or equity that at any time may arise or be set up because of injuries to persons or property as a result of the AUXILIARY SERVICES performance of this Agreement.
