Model Releaseand Authorization to Photograph (Minor)

MODEL RELEASEAND AUTHORIZATION TO PHOTOGRAPH (MINOR)

This will confirm the understanding among ________ as the parent or legal guardian ( “You” or “Guardian”) of ______(“Minor”)and Barnes & Noble, Inc.,and Nook Digital, LLC ("us" or "we") regarding any and all photographs taken of Minor, or photographs in which Minormay be included with others, by photographer (the “Photographs”), for inclusion in promotionalmaterials, advertising, illustrations, art, websites and social media platforms, marketing collateral, signage, internal communications & printed material related to Barnes & Noble and Nook®(the “Promotional Material”).

Grant of Rights

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Guardian on behalf of Minor hereby grants usthe right to use Minor’sportrait and likeness as contained in the Photographs in the Promotional Material,and the right to publish, use and reuse, edit, modify, crop, repurpose, combine with other materials, reproduce, broadcast, distribute, transmit, prepare derivative works of, publicly and digitally display, and otherwise exploit the Photographs and all subsidiary and ancillary rights therein and thereto, either by themselves or in conjunction with other photographs, in any medium or form of distribution, throughout the universe in perpetuity, provided that nothing shall obligate us to use and/or to publish the Promotional Material or the Photographs. Guardian and Minor hereby waive the right to inspect or approve any use of the Photographs andrelease us from any claims Guardian and Minor or any person claiming through Guardian and/or Minor may have against us at any time relating to the Photographs and/or the exploitation of the rights granted to us hereunder.

Representations and Warranties

Guardian represents and warrants that (i) Guardian is the parent or duly authorized representative of the Minor; (ii) Guardian has the full legal right, power and authority to enter into this Release and to grant the rights hereunder on behalf of Minor;and (iii)Guardian is over eighteen (18) years of age;(iv) its execution and performance of this Agreement will not (with or without the giving of notice or the passage of time) conflict with, violate or breach any law, statute, rule or regulation, governing instruments or any agreement or contract to which it is a party or by which it or its assets are bound.

Miscellaneous

We may assign this Agreement (including our rights and obligations) to any third party. This Agreement will be governed by the laws of the State of New York applicable to agreements made and to be entirely performed therein and may not be modified except in a writing signed by Guardian on behalf of Minor and us. The rights granted to us hereunder are irrevocable; in no event shall Guardian or Minor have the right to seek injunctive relief or to enjoin or restrain or otherwise interfere with the publication, distribution or other exploitation of the Photographs, Promotional Material,or the exercise of any rights granted to us herein.
