MEMORANDUM OF AGREEMENT made this 15th of may 2006 between

(hereinafter called "the Contributor") for himself/herself, of the one part, and CAB INTERNATIONAL of Nosworthy Way, Wallingford, Oxon OX10 8DE, United Kingdom (hereinafter called "the Publishers") for themselves, their successors and assigns of the other part.

Whereas the Contributor agrees to write the chapter at present entitled:

CHAPTER 14. CICHLIDAE(assigned editor: Nathalie Le François), co-written with Wade O. Watanabe. Including one general introduction on Cichlidae (section 14.1), section 14.2 on Tilapia sp (Biology and Culture of…) and contribution for the production of the technical sheet on Tilapia (Appendix 1), consisting of between 8000 and 9500 words including references, but with due additional allowance for figures and tables, (hereinafter referred to as "the contribution"), as part of a book to be edited by N. Le Francois, M. Jobling, JC. Carter and P. Blier (hereinafter referred to as "the Editor(s)") and at present entitled:

now it is mutually agreed between the parties hereto as follows:

1.DATE OF COMPLETION. The Contributor undertakes to deliver to the Editor(s) of the book one copy of the first draft of the complete typescript of the contribution as hard copy and on disk to the reasonable approval of the Publishers by the 15th of January 2007. After receiving comments from the editorial committee (max 4 weeks), a final version should be forwarded to the editor(s)by no later than the 15th of March 2007.

2.CHAPTER EDITING. The Contributor undertakes to carry out such changes as the Editor shall request (or to authorize the Editor to make such changes) and as are required to make the contribution conform in style, level and presentation to other contributions so as to permit publication of a cohesive and comprehensive book.

3.ILLUSTRATIONS. The Contributor shall on delivery of the typescript also supply the necessary photographs, pictures, diagrams, maps or other material from which to illustrate the contribution. The illustrations supplied by the Contributor under this Clause shall be supplied in a state ready for reproduction.

4.USE OF COPYRIGHT MATERIAL. The Contributor shall at his or her own expense obtain written permission for the inclusion of any copyright material in the contribution, whether text, illustrations or otherwise.

5.PROOFS. The Contributor undertakes to read and correct the proofs of the contribution and to return the proofs to the Editor(s) promptly.

6.CONTRIBUTOR'S WARRANTY. The Contributor hereby warrants to the Publishers that the contribution is an original contribution, has not been previously published in book form and that neither the work nor any illustration nor any part thereof is a violation of any existing copyright, that to the best of his or her knowledge the work contains nothing harmful to a reader or others acting in accordance with information contained in it, and nothing defamatory or libellous, that all statements contained therein purporting to be facts are true, and that he or she has full power to make this Agreement, and will guarantee to hold the Publishers harmless from any claims which may be made against the Publishers in respect of any breach of this warranty.

7.RIGHTS. The Contributor grants to the Publishers an exclusive right to publish the Contribution in printed book form. The Publishers shall also be entitled to publish the contribution in electronic form, including on disk (e.g. CD-ROM) or on-line (e.g. over the Internet), as either a standalone item or as part of a larger aggregate of related information.

8.PRESENTATION COPIES. The Publishers shall present to the Contributor on publication one complimentary copy of the printed work, and the Contributor shall have the right to purchase further copies of the work at a discount of 25 per cent off the full retail selling price.

9.NEW EDITION. If the Publishers wish to publish a new edition of the book or contribution, and the Contributor is unable or unwilling to revise his or her contribution, the Publishers shall be entitled to procure some other person to undertake the revision.

10.GOVERNING LAW. This Agreement shall be subject to and construed and interpreted according to the Law of England.
