Letter of Agreement to Exhibit –USA Ultimate Championship Event

USA Ultimate (hereafter referred to as USAU) hereby enters into an agreement with ______(hereafter referred to as “Exhibitor”) which will allow Exhibitor to demonstrate and sell its wares during the 2014USA Ultimate Club Championships(hereafter referred to as “Event”), 10/16/2014through 10/19/2014 inFrisco, Texas.

1. Exhibitor will be permitted to exhibit and sell its wares at the selected USA Ultimate Championships event.

2. Exhibitor will be provided covered space, tables and chairs upon receipt of minimum payment amount and signed Agreement. Space will be allocated on a first come, first served basis, although USA Ultimatereserves the right to assign space based on sponsorship, exhibit and theme considerations. Exhibitors may not assign, sublet, or share any portion of their allocated space without the written permission of USA Ultimate. Electrical requirements must be communicated to USAU prior to signing of this agreement. Depending upon electrical requirements and site capabilities, Exhibitor may be required to provide own electrical supply. Exhibitor must supply all other equipment and supplies.

3. Exhibitors’ representatives will be responsible for their own room and board while exhibiting during the Tournament(s).

4. The Exhibitor, its employees, volunteers, contractors, agents, representatives and servants (hereafter “Exhibitor” ) agree to indemnify, defend and hold harmless USA Ultimate, its directors, officers, volunteers, employees and representatives against all claims, damages, liabilities, costs and expenses, including reasonable attorney fees, whether to persons or property, arising directly or directly from the acts, omissions, products, displays, or any other activity of Exhibitor in connection with the Tournament.

5. It is agreed by the Exhibitor that USA Ultimate, its directors, officers, volunteers, employees and representatives shall not be liable for loss or damage, including theft or disappearance, for the goods or properties of Exhibitor. All such goods remain in the sole possession and custody of Exhibitor, including in transit to, within, and on return transit from the exhibit area.

6. During the term of the Tournament the Exhibitor shall, at its sole cost and expense, maintain, or cause to be maintained on its behalf, commercial general liability insurance with a limit of no less than two million dollars ($2,000,000). A certificate of insurance naming USA Ultimate as “additional insured” must be provided with this signed agreement.

7. The use of USA Ultimatepending and protected trademarks, USAU, and any combination thereof, and any other symbols or words in connection with the USA UltimateYouth Club Championships, is excluded from use by the Exhibitor. Licensees of USA Ultimateare permitted use of USA Ultimatetrademarks as specified in this contract for this event (s). USA Ultimatereserves the right to inspect Exhibitor’s wares to be sold during the Tournament. If any items are found to be in violation, they must be removed from display or the Exhibitor’s representative will be asked to remove themselves from the Tournament.

8. Insofar as USA Ultimateis responsible to the owner of the property upon which the Event is held, and in recognition of USA Ultimate’s efforts to protect its trademarks and symbols, USA Ultimatewill have the authority to determine what personnel and/or entities associate or participate with the Exhibitor at the Exhibitor’s space or designated area.

9. Only the company named as the Official Merchandise Supplier for the respective Event will be permitted to produce and sell items containing the official event name, dates, and location/city. Individuals and organizations violating this provision may be asked to leave the event at the discretion of USA Ultimate.

10. USA Ultimate reserves the right to inspect all items which are sold/distributed at the Tournament and to request removal of those items which it deems inappropriate in light of the audience served.

11. Exhibitor agrees to pay USA Ultimatean amount totaling fifteen (15) percent of the Exhibitor’s gross sales, but not less than the minimum agreed upon total, resulting from exhibiting during each Tournament. Exhibitor agrees that sales include merchandise actually changing hands during the Tournament as well as orders taken during the Tournament. Exhibitor further agrees to provide final payment and an accounting on or before 30 days following the completion of the event.

12. USA Ultimateagrees to provide Exhibitor with a liaison during the Tournament to assist with any special requests or needs that may arise.

13. USA Ultimatereserves the right to forthwith cancel this agreement if there is any violation of the terms and conditions by the Exhibitor.

14. All local ordinances, taxes, and license fees must be observed and are the responsibility of the Exhibitor.

15. To be considered valid, this Letter of Agreement, signed/dated and the minimum payment indicated below must be returned by no later than 9/19/2014 to USA Ultimate, 4730 Table Mesa Drive – Suite I-200C, Boulder, CO 80305, attn: Ethan Taylor-Pierce, or e-mail , or fax 303-447-3483.

EXHIBITOR RESERVATION FORM

Each exhibitor is provided with space based on availability. Space will be assigned on a first come, first served basis.

Our company wishes to reserve the following space at the Event:
