The Fund, along with certain parallel partnerships, is contributing $10 million toward an equity investment in Pro Tech. C/S Venture Investors, L.P. has been allocated coinvestment of $1,440,922 in Pro Tech. A detailed description of this transaction is provided with this letter.

Pursuant to Section 3.01 of the Agreement of Limited Partnership dated 30 September 1997 (the “Agreement”), TCG Ventures Limited, as General Partner, is making a capital call for an investment in Pro Tech Monitoring, Inc.
