IKEA TEST LAB &TRAINING CENTRE
GENERAL TERMS AND CONDITIONS OF BUSINESS.
1. IKEA Distribution Services (Shanghai) Co Ltd, through its Test Lab and Training Center (hereinafter referred to as “ITTC”) agrees to provide its testing services to Client who duly submit the testing request in accordance with and subject to the terms and conditions herein (hereinafter “the Conditions”).
2. All rights, including but not limited to copyright, in any test reports, surveys, certificate of inspection or other material produced by ITTC during testing service shall remain solely in the ITTC, and may not be reproduced, copied, disclosed and/or published to any third party without prior written consent of ITTC.
3. In any circumstances, the liability of ITTC hereunder arising from or in connection with any failure or delay of testing service shall not exceed an amount equals service reimbursement paid to ITTC. In no circumstances ITTC shall undertake any indirect or consequential loss thereof.
4. ITTC shall not be liable or responsible for delay or failure to testing service due to any force majeure event, including but not limited to acts of God or the public enemy, fire, explosion, flood, storm, earthquake, riots, threatened war or war, hostilities, civil commotion, any law or other acts of any government agency, or any other cause beyond the reasonable control of ITTC.
5. ITTC is only responsible for its report on the tested samples.
6. Client shall, at its own cost, deliver the testing samples to ITTC.
7. Client shall guarantee, hold harmless and indemnify ITTC and its officers, employees, agents or subcontractors against any and all loss or damage suffered by ITTC as a result of testing service otherwise than resulting from ITTC’s own fault.
8. Client shall, within 30 days upon issuance date of the invoice by ITTC, pay for the services rendered by ITTC. Client shall pay ITTC a liquidated damage in equivalent to 0.05% of the overdue payment for each day in delay. If the overdue payment exceeds 30 days, ITTC has a general and particular lien over all samples delivered to be tested for all claims and sums owing by Client to ITTC.
9. In the event of any suspension of payment due to Client, ITTC shall be entitled to suspend all services and withhold the issue of any test report.
10. Provided that Client becomes or is ruled by a court with jurisdiction bankrupt or insolvent, or is voluntarily or compulsorily liquidated or dissolved, ITTC shall be entitled to terminate all services and issuance of any test report to Client, without prejudice to any rights ITTC may have at law or hereunder to claim for cost and/or proportion of service fee for the service actually carried out.
11. In the event that any unforeseen additional time or costs are incurred during testing services, ITTC shall be entitled to render additional reasonable charges.
12. The Conditions and testing services provided by ITTC shall be governed and construed by the laws of the People’s Republic of China. Any and all disputes arising from or in connection with this Conditions or testing service shall be the Shanghai Arbitration Commission for arbitration in accordance with its then effective rules. Arbitration award shall be final and binding upon the Parties.
Notes：
1. After test report issued, furniture and VOCs sample will be destroyed after 5 working days, package sample will be destroyed after 3 working days, other samples will be destroyed after 2 months.
2. If the applicant wants to pick up the tested furniture sample by himself, ITTC will keep the samples in lab for 5 working days. Overdue tested samples will be delivered to applicant by freight collect without any further notice.
3. All test methods applied in one application form will be reported in one test report.
4. A working day commences at 8:30 AM. Test request received after 2:00 PM will be entertained as submission of the following work day. Saturday, Sunday
and public holidays are not work days.
5. Conditions and fees are subject to change without prior notice.

7. All standards used for these test items are specified in related IKEA specifications. ITTC will follow the latest standard and specifications to perform the test if there is no additional requirement.
