PROJECT AGREEMENT

2. The total fee for the completion of the above project is agreed to be the maximum amount of ...... EUROS.

The agreed fee includes all legal charges arising from this agreement payable to any third party and the Greek State, as well as all taxes, contributions etc, that burden the Contractor. The Scientific Coordinator has no further financial obligations towards the Contractor, in excess to the payment of the said fee.

3. The project will be performed from...... to......

The second contracting party will perform the project undertaken by his own means. The Project Scientific Coordinator will be responsible to supervise the qualitative and quantitative performance of the project assigned to the second contracting party.

4. The second contracting party has no personal, economic or legal dependence on the Scientific Coordinator and he is only entitled to the agreed fee upon completion and delivery of the project.

5. The Special Account for Research Grants has the discretion to pay the agreed fee in parts, depending on the progress of the performance and the delivery of the project in parts, under the condition that the programme has available funds and upon the relevant verification and order of the Project Scientific Coordinator.

6. The Contractor shall perform the project without any commitments for a fixed schedule of working hours. This agreement is a project agreement and creates no relation of dependent work between the Scientific Coordinator and the Contractor, who does not become the former’s employee, but remains an independent professional throughout the duration of this agreement.

7. The parties agree that it is prohibited to employ the second contracting party, in the framework of this agreement, for projects or tasks that are irrelevant to those described in the agreement and which would lead to the payment of the fee to the second contracting party for this project to the detriment of the Scientific Coordinator.

8. The performance of the project requires that the second contracting party may use the premises and installations of the Laboratory of the Scientific Coordinator, under the condition he makes proper use thereof. He shall take good care of the things entrusted to him and if he fails to do so, he will be held liable for any direct damages.

9. Upon documented proposal of the Scientific Coordinator, the University reserves the right to terminate and withdraw from this agreement unilaterally and without any penalty, at any time, with a relevant notice to the Contractor given at a reasonable time in advance.

10. In the event of discontinuance of the project for any reason whatsoever or in case of termination of the agreement, the Scientific Coordinator shall pay the part of the fee mentioned above that corresponds to the tasks actually performed till the discontinuance or termination.

11. The second contracting party states that he accepts all the above and undertakes the performance of the project mentioned in paragraph 1 herein, in accordance with the rules of Art and Science and under the terms of this agreement.

12. The Scientific Coordinator undertakes full personal civil and penal liability for any alteration of the content of this agreement, arising from whatever reason, requiring from the second contracting party the provision of work irrespectively to the production of outcome or the observance of a schedule of working hours or providing benefits that do not comply with a contracting party under a project agreement relationship.

13. The ownership of all outcomes produced during the performance of this agreement belongs to the University, which can make free use of them. Moreover, the University is entitled to register in its name, any rights on such outcomes with patent certificates.

14. The Scientific Coordinator is entitled for unlimited time to make use and commercially exploit the work produced, without prejudice to the rights of the other contracting party, as stipulated in articles 2, 3 and 15 of Law 2121/93.

15. Any provisions of articles 681 et seq. of the Civil Code on project agreements are applicable.

16. This agreement was read and confirmed and is signed in four (4) same originals and each contracting party receives one.
