The 2010 Annual General Meeting of the Social Investment Organization (SIO) will take place on Wednesday, June 16, 2010 at the InterContinental Toronto Centre.

According to SIO’s bylaws, “members have the right to nominate and to elect the Board, to stand for nomination and to serve on the Board if elected.” As well, subject to a bylaw change approved by the members at the last Annual General Meeting, directors for the open positions on the Board “shall be elected in 3 panels, each to serve, on a voluntary basis, a 3-year term, with one third of the remaining places coming open at each Annual General Meeting.” This year SIO members will elect five directors to serve beginning July 1, 2010. The remaining directors will continue to serve until the end of their terms.

Nominations for these positions will be accepted until Friday, April 30, 2010.

Nominations must be in writing and signed by representatives of two SIO member organizations.[1] This means that each Nomination Form (attached) must be signed by a staff member of the individual nominee’s firm and a staff member of one other member firm. Sole-practice advisors must include signatures from two other SIO members. A list of SIO members is attached for the sole purpose of helping you to complete this process. Nominees must also consent to stand for election.

Please note that individuals who are currently serving as Directors and whose terms expire in 2010 must complete and submit a nomination form to be considered for re-election.

In making recommendations to the SIO Board and the membership regarding candidates, the Committee will be mindful of its commitment to diversity in its many aspects.

DIRECTOR BACKGROUND & COMPETENCY PROFILE

The SIO’s Director Background & Competency Profile has three parts. Nominees must complete all three parts. Parts 1 and 2 (background and experience and specific strategic competencies) will assist in a gap analysis, and Part 3 (director qualities) identifies general expectations of all Board members. Please note that nominees (and all Board members) will not be expected to have a background and competencies in all areas listed in Parts 1 and 2.

Confidentiality and Use of the Information: The information you provide in the three-part profile will be used by the SIO’s Board Development and Nominations Committee on a confidential basis to identify candidates who will be best suited to fill gaps to achieve a well-rounded Board. Based on this gap analysis, the Committee will make recommendations to the members regarding candidates, referring in general terms to nominees’ positive attributes that would add value to the Board. As well, nominees’ names and organizations, 250-word biographies and photos will be presented to SIO members for voting purposes.

Social Investment Organization: Statement of Director Responsibilities

Approved by the SIO Board, March 31, 2006

The Board of Directors is charged with contributing to the advancement of the mandate and goals of the SIO and with providing overall governance and direction for the organization. To accomplish these goals, each Director must fulfill the following responsibilities:

1) Attend every board meeting.

We recognize that from time to time unavoidable conflicts will arise. Thus, it will only be seen as a concern if fewer than 75% of meetings are attended.

2) Attend at least one face-to-face planning session each year

The SIO board holds at least one strategy session each year where we tackle issues of major strategic importance to the organization and the industry. It is expected that each board member will attend these sessions.

3) Actively participate in the work of the organization

Each board member must either serve actively on a board committee or SIO Working Group. Directors must also remain informed and supportive of the mission, policies, and programmes of the SIO.

4) Act as an ambassador for the SIO

Each Director should, whenever possible and appropriate, represent the SIO at industry-related events in his/her region or industry and act as a resource to stakeholders interested in learning more about the work of the SIO.

5) Remain aware of and attempt to avoid any conflicts of interest

Should a conflict of interest arise, it is imperative that it be reported to the Board or the staff of the SIO immediately.

On a best efforts basis, we encourage each Director to help with the following:

Assist in identifying new members for the organization

We expect that all board members will make an effort to identify and recruit new members to the SIO.

Contribute to the intellectual agenda of the SIO

Where possible we expect that board members will assist in creating policy documents, articles and other thought pieces that contribute to the overall intellectual capital of the organization.

Suggest possible nominees to the board

Where possible we expect that all Directors will help in identifying and recruiting other qualified board members.
