1.General
1.1.YOURCOMPANYNAMEhas beenappointedasaniMonitorCertified
Reseller.YOURCOMPANYNAMEhas been entitledtoreselliMonitor Soft products(hereinafterProductorSoftware).
1.2.IMonitoris responsiblefor:
A)CreatingtheProductsfor YOURCOMPANYNAMEtoresell.
B)ProvidingtechnicalsupportfortheProductstoYOURCOMPANYNAME
1.3.YOURCOMPANYNAME is responsiblefor:
A)MarketingandsellingourProductstoyourcustomers.
B)YOURCOMPANYNAMEwillfunctionastheExclusive resellerof IMonitorSoft products inYourTerritory. YOURCOMPANYNAME willnothavetherighttosellanddistributeIMonitorSoft Productsviainternet or other country.
C)IMonitor authorizeYOURCOMPANYNAME to appoint resellers in YourTerritory.
SoftwareLicensing
2.1ResellerisresponsibletointroducetheEndUsertotheEndUserLicenseAgreement.Reseller hasrightstoresellSoftware onlytoEndUserswhoaccepttermsandconditionsoftheEndUser LicenseAgreement.
3.PriceSchedule
3.1EndUserpricesandResellerdiscountfortheSoftwareproductlicensesaresetinAppendixI.
3.2Youmayofferservicestoyourcustomers,usingourProducts. Whenofferingthese(e.g. consultingandtraining) services,you maystatethatyouareaCertified Reseller, butyou maynot statethatyouareaCertifiedConsultant,orCertifiedTrainer,orthatyourcoursesareCertified TrainingCourses(orsimilar)astheserightswillbeadministered separatelyunderafuturePartner Program.
4.Support
4.1ResellerisresponsibleforprovidingcustomerservicetotheEndUserincludingtechnical supportandconsulting.
4.2IMonitorhasno responsibilitytoprovidedirectsupportto Reseller’sCustomers.
4.3IMonitorwillprovidesoftwaresupportandtechnicalbackuptoReseller.
5.PaymentandTerms
5.1Exclusive reseller mustpayIMonitor inadvance.AftertheResellersellsalicensetoitscustomer,IMonitorwillprovideResellerthe softwareandlicensecodetoitscustomer.Thenthe amount after discountwillbesubtractedfromthe prepaymentsfromtheResellerpre-paid. OncetheReseller's pre-paidlicensesissoldout,Reseller have tobuyfromIMonitoragain.Alsowewillnotrefundwithanypre-paidlicense once resellerhaveorderedoursoftware.
5.2Resellerhasnorightsfornon-commercialdistributionof theSoftware.
5.3Resellerwillnotpublishthecouponcodeon the internet.
5.4Resellercan’tsellIMonitorEAMwiththepricewhichis belowour officialwebsiteprice.
5.5IMonitorwillnotbeliabletoResellerforlossesofanykindduetotheReseller’scustomer’s actionsincluding,butnotlimitedto,refundsto Reseller’scustomers,orcustomersbankruptcy.
5.6Resellershallberesponsibleforpayingalltaxesof anynaturewhichbecomeduewithregardto IMonitorsservices,exceptfortaxesonIMonitor'sincome,irrespectiveofwhichparty maybe responsibleforreportingor collectingsuchtaxes.
5.7Resellerherebyagreestopayanyandallattorneyfees,courtcosts,andrelatedexpenses incurredbyIMonitorin the collectionof anyamountdueit.
5.8IMonitormustdulyinvoiceresellerforallpurchaseordersit places.
6.LimitationofIMonitor'sLiability
6.1IMonitor'sliabilitytoResellerislimitedtotheamountpaidtoandreceivedbyIMonitorfor productsnotdelivered.
6.2IMonitorwillnotbeliabletoReselleroranyof itscustomersforlossesordamagesof anykind.
7Resellerpolicy
7.1Regardlessof thetypeof LicensepurchasedbyReseller,Resellermustprovidecontact informationforhiscustomerstoIMonitor whichincludesthefollowinginformation:
-Customercompanyname
-Customerprimarycontactfirstandlastnames
-Customere-mailaddress
-Customerphonenumber
-Customerphysicaladdressincludingcountry,state/province,postalcode,cityandstreetaddress
7.2IMonitorwillapproveallsales.Salesthatarelaterdiscoveredasfraud,orwhichincurcharge- backswillbe chargedto theReseller.
7.3Resellermayadvertiseinpublicationsof generalcirculation.
7.4ReselleragreesnottopromoteSoftwareinanywaythatwouldbeconsideredunsolicited, commonlyreferredto asSPAM.Reselleracknowledgesthatabusesmayterminatethisagreement.
7.5TheReselleragreesnottomisrepresentIMonitororexaggerateinordertocloseasale.
7.6IMonitorhasauthoredandagreestoallowResellertouseadvertising materialsprovided. IMonitorstillretainsalllegalcopyrights.Misuseofanyportionofgraphics,adcopy,articlesand other materialsoutsideofthesetermsorforanyotherreasonunassociatedtoexecuting this Agreementisconsideredcopyrightinfringement andwillbelegallyprosecutedassuch.The Reselleragreestousematerialsonlywithintheseterms,specificallyandexclusivelyforreselling theSoftware.
7.7IMonitormaycontactResellercustomersonlyforauditof ResellerServices.
7.8IMonitorhasno rightstomakedirectcommercialofferstoReseller’sCustomers. IMonitor will have to forward any leads they receive from YourTerritorytoYOURCOMPANYNAME
8.Termination
ThisAgreementshallrunfor one(1)yearandshallautomaticallyrenewfor asimilartermthereafter unlessotherwiseagreedbyparties.ThisAgreementmaybe terminatedonlybyResellerorIMonitor asprovidedbelow:
8.1ByReseller: ResellermayterminatethisAgreementatanytimebynotifyingIMonitorinwriting atleast6monthspriortotheproposeddateofReseller’s intenttocancelthisAgreement.Resellerassumesresponsibility forcompletepaymentanddischarge,onorbeforetheterminaldate,ofall obligations,bothtoIMonitorandtootherparties,incurredbyResellerandhiscustomers.
8.2ByIMonitor:IMonitormayterminatethisAgreement atanytimeupon6monthsnotice. Termination willensueifResellerhasfailedtomaketimely paymentofanymoniesowedto IMonitor,orhasviolatedaprovisionoftheAgreementandhasbeennotifiedinwritingofsuch default,andhasfailedtoremedy suchdefaultwith30daysofgivingsuchnotice.However,if IMonitordiscoversillegalorunethicalpractices,includingundercutting IMonitorspricesand/or “dumping”byReseller,IMonitormayterminatethisagreementimmediately.IMonitormaymodify anyofthetermsandconditions contained inthisAgreement,atanytime,athissolediscretion.By postingand/oremailingachange noticeoranewagreementtotheReseller,andbythesigningof allparties,heretowhichmodificationshallbecomeapartof this Agreement.
9.ApplicableLawandDispute Resolution
ThelegislationapplicabletothispresentAgreementisChineselegislation.Bothpartiesundertake toperformthisagreementingoodfaith,attemptingtoresolveanydisputesthatmayarisebetween themconcerningtheapplication,development, compliance, interpretation andperformance hereof bynegotiationandmutualagreement.
RESELLERACKNOWLEDGESHAVINGREADTHISAGREEMENTANDAGREESTOALLITS TERMSANDCONDITIONS.RESELLERUNDERSTANDS THATIMONITORMAYATANYTIME (DIRECTLY ORINDIRECTLY)PURSUESALESONTERMSTHATMAYDIFFERFROMTHOSE CONTAINEDINTHISAGREEMENT.RESELLERHASINDEPENDENTLY EVALUATEDTHE DESIRABILITYOFTHISAGREEMENTANDISNOTRELYINGONANYREPRESENTATION, GUARANTEEORSTATEMENTOTHERTHANASSETFORTHINTHISAGREEMENT.

Note 1: If the balance of reseller's prepayments is less than 20% of the pre-paid amount, reseller have to purchase again.
Note 2: The single payment amount, can not over 80% of pre-paid amount.
Note 3: iMonitor will not refund any pre-paid license once reseller have ordered.
