ASI Software Update Plan Agreement
"We" are Advanced Solutions International and "you" are the user of our products. You are using Software written by us (the "Software") under the terms of the License Agreement for ASI Products (the most recent standard version that is offered to new users is currently on our web site in the Customer Area and is called the "License Agreement") that you signed before getting the Software. You also obtain services from us under the terms of our Master Services Agreement (the most recent standard version that is offered to new users is currently on our web site in the Customer Area and is called the "Services Agreement").
By paying for this plan (the “SUP”) for another year (or more), you agree that the most recent (as of the date of paying the SUP invoice) terms of the License Agreement and the Services Agreement (the “Agreements”) replace the terms of any previous version except that any terms in an addendum will continue to be in effect if they are still applicable. This Software Update Plan Agreement (the “SUP Conditions”) supplements the Agreements but does not supplant either and the terms defined in the Agreements have the same definitions here. The "term" of the SUP Conditions is the period shown for the SUP in the License Agreement or, if you have paid for a renewal of the SUP, the period you paid for that is shown on the renewal invoice we sent to you. The SUP Conditions shall continue from year to year unless you give us prior written notice of non-renewal.
The SUP Conditions will also govern future renewal terms but the details of the SUP Conditions will change from year to year to be the conditions of our then most current SUP offered to new users that is currently on our web site in the Customer Area at Except as stated above, the SUP Conditions do not modify the License Agreement or the Services Agreement and it is void if it is not made with the original licensed organisation that signed the License Agreement or any successor approved in writing by us. All payments for SUP are non-refundable even if you decide to drop out of the Plan. If you have agreed to purchase multiple years of SUP, you must pay for those years at the price in effect when the payment is made.
Services
Updates. Software "updates" are enhancements to Software that we licensed you to use and that we generally provide to other SUP customers and does not include changes to Third Party Software or Other Software used by you. You use the updates under the terms of the License Agreement, but receive the updates under the terms of these SUP Conditions and the Services Agreement. We will make these updates available to you during the term by shipping them to you or by letting you download them from our web site – your choice. It is your responsibility to implement them. One half of the cost of the renewal invoice is for updates and one half for extending the warranty, although we do not provide one without the other.
Bug Fixes. We try to fix errors as soon as commercially reasonable. So, minor problems may not be fixed until we rewrite the module involved and major problem are usually put on our hot list to be fixed at once. Most problems fall in the middle and many are fixed in the next update. We also make interim releases available to your Implementer to fix particular problems that cannot wait until the next update. If you use an interim release, you agree that its use will be governed by the terms of our Pre-Production Software Agreement that is currently on our web site in the Customer Area.
Internet Help. We maintain a portion of the Customer Area of our web site ( that is reserved for SUP Customers. It is filled with useful information and is growing and changing all the time. During the term, you can use it without charge so long as you abide by its rules and our terms of use as stated on the web site. We even answer many questions about using the Software.
Warranty and Limitation of Warranties
Warranty. We extend through the term of this Agreement the warranties for the Software that are in your License Agreement. These warranties apply to the update versions that replace the previous versions. Our warranty in the Services Agreement is the only warranty you have for Services. All warranties are subject to the limitations and remedies in the applicable Agreements that are hereby incorporated into this Agreement.
General.This Agreement gives you specific legal rights. You may also have other rights that vary from state to state or by country. You consent to the exclusive jurisdiction of the courts having exclusive jurisdiction in the Agreements in any action arising out of or in connection with this Agreement. This Agreement is governed by the laws governing the Agreements.
