EXHIBITIONCONTRACT
1.TERMSOFREFERENCE
IntheseTermsandConditionsthefollowing definitionsshallapply:“Contract”shallmeanthecontract establishedbetweentheExhibitorandtheOrganizerupontheExhibitionacceptingtheofferoftheOrganizerto participateupontheseTermsandConditionsintheExhibition.
“Exhibition”shallmeantheshownamestatedontheapplicationform. “ExhibitionCenter”shallmeanthevenuenamedintheapplicationform.
“ExhibitionSpace”shallmeananyspaceintheExhibitionCenterlicensedtotheExhibitorbytheOrganizerforthe purposeoftheExhibition.
“Exhibitor”shallincludethepersondescribedassuchintheapplicationformandallemployeesandagentsof suchpersonandshallalsoincludepermittedsub-licenseesoftheExhibitor.
“ExhibitorOrderBook”shallmeanthemanualsuppliedbytheOrganizertotheExhibitors whichcontains informationrelatingtotheExhibitionandtheExhibitionSpace.
“Fees”shallmeantheamountpayablefortheuseoftheExhibitionSpace. “Organizer”shallmeanMAINLANDCORPORATIONPTELTD.
“ExhibitionCenterOperator”shallmeantheowner/proprietor/operator/manageroftheExhibitionCenter.
2.RULESREGULATIONSOFTHEEXHIBITIONCENTER
TheExhibitor shall,totheextentappropriate,observeandcomplywiththerulesandregulationsoftheExhibitionCenter,copiesofwhichareobtainablefrom theOrganizeronrequest. Certainoftheprovisionsthereinare summarizedfortheExhibitortoobserveandconstrueaslimitingtheobligationsoftheExhibitor toobserveand complywithallapplicablerulesandregulationsoftheExhibitionCenter.
3.APPLICATIONFORPARTICIPATION
Allapplicationsforparticipationshallbemadeontheprescribedapplicationform.Theapplicationformshallbe submittedtotheOrganizerortheirrepresentativesaccompaniedbythedepositfortherentaloftheExhibition SpaceasstatedinPart2oftheSchedule.TheOrganizerreservestherighttoacceptorrefuseanyapplication withoutgivinganyreasonthereof. IftheOrganizeracceptsanapplicationforparticipationonotherthanthe prescribedapplicationform,suchacceptanceshallneverthelessbeuponandsubjecttotheseTermsand ConditionsandtheExhibitor shall,ifrequiredbytheOrganizer,inadditioncompleteandsubmitanapplication form.
4.LICENSINGANDALLOCATIONOFEXHIBITIONSPACE
ExhibitionSpaceis licensedtotheExhibitoronly. TheExhibitorisnotallowedtosub-licensetheExhibitionSpace allocatedtoit,eitherwhollyorinpart,withoutthepriorwrittenconsentoftheOrganizer.TheExhibitorshall ensurethatanysuch sub-licenseescomplywiththeseTermsandConditionsandshallberesponsibleforany defaultofsuch sub-licensees.
TheOrganizermayallocatetheExhibitionSpaceinanymannerastheydeemfitbutwilltakeintoaccountsuch factorsastheorderofapplicationsreceivedandthenatureofexhibits. TheOrganizerreservestherightto changethevenuefortheExhibition,tochangetheExhibitionSpaceallocatedtotheExhibitor,toalterthesize anddimensionsoftheExhibitionSpace,tochangeorcloseentrancesandexitsandaccesstothespaceandto undertakeotherstructuralalterationsastheydeemfit.SuchchangesshallbeatthediscretionoftheOrganizer
andtheExhibitorwillnotclaimforcompensationasaresultofanychanges.Shellstandsareallerectedaccording toastandardpattern.Novariationofthestandardfascia andletteringwillbepermittedunlesswithwritten consentfromtheOrganizer. Exhibitsanddisplay shouldnotexceedtheheightofthestandwalls unlesswritten permissionhasbeenreceivedfrom theOrganizer.Itisrecommendedthatalldesignproposalsbesubmittedto
theOrganizerforapproval. AnExhibitorwhoisallocatedshellwillbeprovidedwithstandservicesasperthe scheduleintheExhibitor’sManual.
Plans,drawingsanddesignproposalsfornon-shellspacesmustbesubmittedandapprovedaccordingtotherules andregulationsoftheExhibitionCenter.TheseplansintriplicatemustbesubmittedtotheOrganizerforapproval nolaterthanthetimesspecifiedbytheOrganizerinPart3oftheschedule.TheOrganizerreservestherightat
anytimetoorderthealteration/removalofanystandwhich doesnotconformtotherulesandregulationsofthe
ExhibitionCenter. Thecostofsuch alterationandremovalshallbeentirelybornebytheExhibitor.
5.EXHIBITS
MovementoftheexhibitsinandoutoftheExhibitionCentermustbehandledbytheofficialfreightforwarder nominatedfortheExhibition. Noexhibitwillbeallowedintoor outoftheExhibitionCenterwithoutanofficial deliveryorderorclearancedocument.TheExhibitor mustmakehis ownarrangementsforthetransportationof exhibitstoandfrom theExhibitionCenterandforthestorageofexhibits.
Display ofanyworkingormovingexhibitsmusthavethepriorwrittenapprovaloftheOrganizer. Precautionary measuressuchastheprovisionsofguardsor othermeansofprotectionmustbetakentoprotectthepublicfrom suchmovingorworkingexhibits.Movingorworkingexhibitsshallonlybedemonstratedoroperated bypersons authorizedbytheExhibitorandshallnotbeleftrunningintheabsenceofsuch persons.
AllexhibitsandstandfurnishingsmustbeconfinedtotheareaoftheExhibitionSpace. Any advertisingliteratureshouldbedistributedfrom theExhibitor’sownstandonly.
TheOrganizerreservestherighttoremoveattheExhibitor’sexpenseanyexhibitsorpublicitymaterialsnot relevanttothenatureoftheExhibition.
Atsuch timeafterthecloseoftheExhibitionastheOrganizermayspecifyor onearlierterminationofthe Contract,allexhibitsshallberemovedandclearedfromtheExhibitionSpaceandvacantpossessionofthe ExhibitionSpaceshallbedeliveredtotheOrganizerinasgoodandcleanorderandconditionasitwas when initiallylicensedout. Any propertyremainingafterthelastdaydesignatedbytheOrganizerandanymaterialnot removedmaybesoldorotherwisedisposedofbytheOrganizerattheExhibitor’sexpense.Nopropertymaybe removedfrom theExhibitionbeforetheExhibitionends.
6.TERMSOFPAYMENT
PaymentoftheFeesbythedate(s)stipulatedinPart2oftheScheduleis oftheessencetoparticipationbythe
ExhibitorintheExhibition.
7.CONDUCTINTHEEXHIBITIONCENTER
During thelicenseperiodtheExhibitor shallberesponsibleforthegoodconductofitsemployees,servantsand agents,contractorsandsub-contractorswhoshallbeboundbyandmustobservetheseTermsandConditionsin allrespects. Exhibitorsmustnotpermitanythingwhich causesanuisanceorintheopinionoftheOrganizerdoes notformwiththegeneralstandardsoftheExhibitionoramountsormayamounttoabreachoftheseTermsand Conditions.
NoexhibitormayalterorinanywayaffectthestructureoffixturesoftheExhibitionCenter.
Exhibitorwillpaythecostofmaking goodanydamagecausedtotheExhibitionCenteroranyfixtureby themselvesand/ortheircontractorsorsub-contractors.
TheOrganizerreservestherighttorefuseadmittancetoanyvisitortotheExhibition.
8.INSURANCE
TheExhibitor shouldensurethatthereisinexistencepriortoitsseekingaccesstotheExhibitionCenteravalid insurancepolicy coveringtheft,publicliability,damagetopropertyandeffects,personalinjury, consequential lossandsuch otherrisks.
9.LIABILITY
TheExhibitor agreestoindemnifyandholdtheOrganizerharmlessondemandagainstallclaims,liabilities, losses, suits,damages,judgments,expenses,costsandchargesofevery kindarisingoutofthefaultornegligenceof,or anydamagecausedbytheExhibitor oritscontractorsorsub-contractors.Allexhibitsbroughttobedisplayedat andremovedfrom theExhibitionCenterareattheExhibitor’sownrisk andshouldbesafeguardedbythe
Exhibitoratalltimes.TheOrganizershallnotberesponsibleforanyerrororomissionrelatingtotheExhibitor, theequipment,productsorservicesinthelistings inthedirectoryorinanypromotionalmaterial.
IfanyExhibitioniscancelledorpostponedduetoanyforcemajeureevents,theFeesmaybereducedbysuch amountastheOrganizermay,attheirabsolutediscretion,thinkfit.TheExhibitorshallhavenoclaimwhatsoever
forcompensationforlossordamagesufferedoradditionalexpensesincurredasaresultofanycancellation, postponement, alterationincharacterorreductioninscaleoftheExhibition.Generally, participationbythe ExhibitorintheExhibitionissolelyattheExhibitor’sownrisk. The organizer is allowed to postpone this event at its discretion..
10.TERMINATION
This ContractmaybeterminatedbytheOrganizerbynoticetotheExhibitor upontheoccurrenceofany ofthe following events:
TheExhibitionCenterand/ortheExhibitionSpacebecomeunfitfortheoccupancyanduseoftheExhibitionis cancelled;
TheholdingoftheExhibitionortheperformanceofthisContractbytheOrganizerissubstantiallyormaterially interferedwithduetoanycauseorcausesnotreasonablywithinthecontroloftheOrganizer.
TheOrganizerisnotsatisfiedthatproperuseis beingmadeoftheExhibitionSpaceduringtheinstallationperiod oratanytimeduringthetermoftheExhibition;
PaymentofFeesis notmadebytheExhibitorinaccordancewithPart2;
TheExhibitor isforanyreasonunabletoutilize theExhibitionSpaceallocatedtoit;or
TheExhibitor isinbreachofanyoftheseTermsandConditionsoranyapplicablelocallegislation,rulesor regulations.
UponterminationofthisContractforwhatsoeverreason,anyallocationofExhibitionSpaceshallautomaticallybe cancelled,forfeitedandtheOrganizershallhavetherighttoclaimforthebalanceoftheFeesandanylossor damagesufferedbythemasaconsequencethereof.IftheterminationofthisContractresultsotherthanfrom cancellationoftheExhibition,theOrganizershallbeentitledforthwithtore-licensetheExhibitionSpace.Ifthe Organizeris abletore-licensetheExhibitionSpace,theymay,attheirsolediscretion,waiveallorpartofthe Exhibitor’sliabilityforthepaymentofthebalanceoftheFees.
UponterminationofthisContractforwhateverreason,alloftheExhibitor’spropertyshouldberemovedbythe ExhibitorfromtheExhibitionSpaceimmediatelyfailingwhichpropertyshallberemovedandtheExhibitionSpace clearedbytheOrganizerattheExhibitor’sexpense. TheOrganizerreservestherighttoexerciseagenerallien overanypropertyoftheExhibitor intheExhibitionCenterinrespectofallmoniesofwhatsoevernature,
includingclaimsfordamageswhich mayatanytimebedueorpayablebytheExhibitor totheOrganizerin connectionwiththeExhibition.
11.WAIVER
NowaiverbytheOrganizerofanyoftheprovisionsoftheseTermsandConditionsor ofany ofitsrights thereundershallhaveeffectunlessgiveninwritingandsignedbya DirectoroftheOrganizer.
12.COMPLIANCEWITH LOCALLEGISLATION
Any exhibitorwhotakespartintheExhibitionmustcomplywiththerelevantlegislationrulesandregulationsof thecountryandterritorywheretheExhibitionis heldandshallbesolelyresponsibleforobservingandcomplying withthesameforobtainingallconsents,approvals,authorizations,licensesandthelikeasmayberequisitetoits participationintheExhibition.
13.GOVERNINGLAWANDJURISDICTION
TheseTermsandConditionsshallbegovernedandconstruedinallrespectsinaccordancewiththelawsof People’sRepublicofChinaandtheExhibitorsubmitstothenon-exclusivejurisdictionofthePRCcourts. No claim inanyformbyboththeOrganizerandExhibitorshallbemadeinthecourtsofanyothercountry.
14.SCHEDULE
SummaryofcertainoftherulesandregulationsoftheExhibitionCenter: Part1
a)EXHIBITIONCENTER,STANDSANDEXHIBITS
TheExhibitor mustensurethatitsdisplaysareproperlyspreadanddonotexceedthemaximumloadlimitations fortheExhibitionCenter.
Standassembling,installationanddecorationmustbecarriedoutwithintimelimits specifiedbytheExhibition
CenterOperatorandmustinanycasebecompletedby1630hoursonthedayprecedingtheExhibitionopening. Authorizationmustbeobtainedpriortoanyfilming,soundorvideorecording,telecasting,broadcastingoruseof
radiotransmittingequipmentwithintheExhibition.
Theuseofdeviceswhichproducesoundmustcomplywiththemaximumpermittednoiselevelstipulatedbythe ExhibitionCenterOperator.AllnecessaryapprovalsforthepurposeofparticipatingintheExhibitionshouldbe obtained.
AllstandsmustbemannedbyauthorizedrepresentativesoftheExhibitor duringtheExhibitionhourswhoshould wearidentificationbadgesspecifiedfortheExhibition.TheExhibitionCenterOperatorreservestherightto removeattheExhibitor’sexpenseanypersonorpersonactingina waywhich,oranyexhibitsorpublicity materialswhich, theyconsider,attheirabsolutediscretion,tobehazardous,illegal,immoral,undesirable, inappropriate,harmful,offensive,obsceneor otherwiseobjectionabletotheExhibitionCenterOperator,ornot conformingtothesetupoftheExhibitionorwhichdoesnotfallwithintheexhibitdescriptionoftheExhibition.
Repairsand/or alterationsbyremovaloradditionofmaterialsmaybecarriedoutonlywhenthepremisesare closedtothepublicandwithagreement oftheOrganizer.
Intheinterestofsafety,accessbytheExhibitionCenterOperatortotheExhibitor’sstand(s)mustbeallowedat alltimestoallow forrepairsandmaintenancetobecarriedout.
b)MOVEMENTSOFEXHIBITS
Theerectionandremovalofstands,materialsandexhibitsmusttakeplacewithinthetimelimits specifiedbythe
ExhibitionCenterOperator
c)ELECTRICITYSUPPLY
Electricitywhetherfrom themains,batteriesorgenerators,shallbesuppliedonlybytheExhibitionCenter Operator. Connectionsintopermanentdistributionboxes maybemadeonlybytheExhibitionCenterorits officialcontractor.
d)SAFETYFIREREGULATIONS
Allfire,electricalandsafetylaws andregulationsoftheExhibitionCentermustbestrictlyobserved. Aisles,fire exits,fireprotectionsystemsmustbekeptclearandaccessibleatalltimes.Nostoragebehindexhibitsisprovide orpermitted.
Allmaterialsusedintheconstructionanddecorationofexhibitionstandsshallbeflameretardantinaccordance withlocalregulationsandbesubjectedtoinspectionbytheExhibition CenterOperatororitsappointedagent. Relevantcertificatesofthetest,flametestor fumetestshouldbeavailableforinspectionasrequested. AdditionalfireprecautionsmayberequiredinspecialcasesbytheExhibitionCenterOperatororthelocal authorities.Nothingshouldbedonetoinvalidateoradverselyaffectthefireor otherinsurancepoliciescovering theExhibitionortheExhibitionCenterarea.
