GENERAL BUSINESS TERMS FOR USING ELECTRONIC BANKING SERVICES FOR LEGAL ENTITIES AND ENTREPRENEURS (Asseco e-services/Halcom e-bank)
An integral part of this Appendix - General Business Terms for using electronic banking services for legal entities and entrepreneurs (Asseco e-services / Halcom e-bank) are the Tariff Asseco e-bank for legal entities and entrepreneurs (hereinafter: Asseco e-bank Tariff) , the Tariff Halcom e-bank for legal entities and entrepreneurs (hereinafter both tariffs: Asseco/Halcom e-bank Tariff) and the Time Schedule for the payment transactions of the payment services users.
I GENERAL PROVISIONS
These General Business Terms for using electronic banking services for legal entities and entrepreneurs (Asseco e-services / Halcom e-bank), hereinafter referred to as the General Business Terms, shall determine the conditions and the frame of using electronic banking services for Asseco e-services and Halcom e-bank. Asseco e-services, include: E bank, M bank and SMS services.
- The User of electronic banking service (Asseco e-services/Halcom E-bank) confirms that prior to the conclusion of the Framework Agreement for electronic banking for legal entities and entrepreneurs (Asseco e-services/Halcom E-bank), in hereinafter referred to as the Framework Agreement, became familiar with these General Business Terms, the General Business Terms of Credit Agricole Banka Srbija AD Novi Sad on payment accounts of clients, the Tariff for Asseco/Halcom E-bank (which is an integral part of these General Business Terms), Time Schedule for payment transaction of payment services users and the Tariff for fees for domestic and international payments, and fully accepts them.
- The bearer of these General Terms for issuing e-banking services which is also the provider of payment services is:

- The National Bank of Serbia, Kralja Petra 12, Belgrade, Republic of Serbia, BIC/ SWIFT: NBSBRRSBG: registration number: 07007965; Tax Identification Number: 100041150 is authorized for the control and supervision of the Bank operations
- The Bank provides payment services pursuant to the Decision of the NBY O. no. 36 of 10.12.1991, in accordance with the Law on Banks
- These General Business Terms, together with the Agreement on opening and managing of payment accounts, Appendix to the General Business Terms of Credit Agricole Banka Srbija AD Novi Sad of payment accounts of clients, E-bank tariff Asseco/Halcom, Tariff for fees for domestic and international payments and Time Schedule for payment transactions of the payment services users, are an integral part of the Framework Agreement on payment services which the User concluded with the Bank.
- These General Terms apply together with all the provisions of the General Business Terms of Credit Agricole Banka Srbija AD Novi Sad and with their amendments adopted during the contractual relationship between the Bank and the electronic banking services User.
- These General Business Terms apply to legal entities and entrepreneurs, hereinafter referred to as consumers whether they have the status of a resident or a non-resident.
- These General Business Terms are available in written form in the Bank's business network, as well as on the website of the Bank:
II DEFINITIONS
Some of the terms used in these General Business Terms have the following meaning:
Bank is the Bearer of these General Business Terms and a services provider.
User in the sense of these General Business Terms is a consumer who has concluded a framework agreement or a contract for opening and managing individual payment account or payment account packages with the Bank and uses payment service in the capacity of a payer and/or a payee in accordance with the provisions of the said contract and these General Business Terms.
Residents are:
- legal entity who is registered and has its head office in the Republic;
- entrepreneur – a natural person registered in the Republic and who in order to gain profit in a professional capacity, performs lawful activities;
- branch of a foreign legal entity registered by the competent authority in the Republic;
- beneficiaries of the budget of the Republic of Serbia, beneficiaries of funds of organizations for mandatory social insurance and beneficiaries of local government budget, as well as other users of public funds involved in the consolidated treasury account system;
- Consular and other missions abroad, which are funded from the Republic’s budget and domestic citizens employed in these offices, as well as their family members.
Non-resident legal entities are:
- legal entity with head office in another foreign country, in addition to its branches in the Republic of Serbia,
- representative office of a foreign legal entity in the Republic of Serbia
- foreign diplomatic and consular missions in the Republic of Serbia
- foreign associations and other organizations whose head offices are outside the territory of the Republic of Serbia
Legal representative of the company is a natural person within the legal entity authorized to represent it.
Authorized person is a natural person who on behalf of the company in accordance with the powers of the Framework Agreement for electronic banking for legal entities and entrepreneurs (Asseco e-Services/Halcom E-bank) can make payments debited to the company, have insight into balance and turnover on the account, receive SMS and/or E-mail notification on inflow, outflow, balance or statement of the account.
Changes of authorized persons the legal representative may alter the powers of the authorized person (add, revoke, change the level of the existing), by the signing the annex of the framework agreement or a letter on the company’s letterhead, stamped and signed, which clearly lists the required changes.
E-bank is a desktop or web applications for electronic banking
OfficeBanking is desktop/enterprise application for Asseco Ebank – (desktop-installation and operation on a single computer; enterprise-installation and work on multiple computers with the same base, designed for large systems.
Personal E-Bank is single-user desktop Halcom application for small and medium enterprises
Corporate E-bank is Multi-user desktop Halcom application for large systems, requires a server installed with the specific base
WEB E-Bank is Halcom additional Personal/Corporate application designed for remote signing of E-bank payment transactions. E-bank through an intermediary The Client of the Bank may through an intermediary authorize the user of Halcom E-bank of other bank, to perform, in his name and on his behalf, by electronic means, domestic payments and/or international payments. The level of authorization is consistent with the statements in the Framework Agreement for electronic banking for legal entities and entrepreneurs (Halcom E-bank)
B2B is module for Halcom E-bank, intended for advanced companies with a large number of transactions that want to promptly manage liquidity. It systematizes the payments and accounting
Username and password for remote signing are secret data that enable the user of Halcom WEB E-Bank to sign on the computer an individual payment transaction or batch of payment transactions prepared by another user.
Knja the User of E-Bank besides his account can have rights to work with the accounts of other companies in accordance with the assigned powers
Company within Knja The user for his account gives authority to another User, which is in the E-bank system registered as Knja. All powers are in line with statements from the Framework Agreement.
Mobile phone number in the Framework Agreement for electronic banking for legal entities and entrepreneurs (Asseco e-services), a mobile phone number of the authorized person represents channel of communication between user and the Bank. On mobile phone number user receives preselected massages via SMSE-mail address In the Framework Agreement for electronic banking for legal entities and entrepreneurs (Asseco e-services), stated electronic address of the authorized person to whom the notices and information are sent represents channel of communication between user and the Bank.
Smart card is an identification card that has a built-in chip of integrated circuit. It has a user certificate that is used for User authentication.
Smart card reader is a device for reading smart cards.
User manual is manual for installation or using application and services which are available to the user on Bank’s website
PIN code is secret data to be entered when using a smart card. It is delivered to the users in a sealed envelope. It is known only to the user, is strictly confidential and is used to identify the user.
PUK code is Secret data to be entered when unblocking smart card for Halcom E-bank. It is delivered to the users in a sealed envelope.
Activation code for Asseco E-bank is a security element determined by the Bank and is used to activate the smart card. It is delivered to the users in a sealed envelope.
Unlocking the card If when using Asseco E-Bank the card becomes blocked (by entering incorrect PIN code three times in succession), the User is obliged to submit the card for unlocking to the branch office of the Bank and to submit a request (annex to the framework agreement) where it will be said that it is necessary to unlock the card.
If when using Halcom E-Bank the card becomes blocked (by entering incorrect PIN code three times in succession), the User alone unblocks the smart card using the PUK code obtained in the envelope with the secret data.
Conditionally free package The Bank does not charge the use of security equipment (smart card and smart card reader) to the Asseco E-bank User, if the User in the first 90 days after taking the security equipment, makes 30 payments with E-Bank (company within Knja is obliged to make 10 order).
Otherwise, the Bank reserves the right to charge the use of E-bank safety equipment by debiting the current account of the user, in accordance with the Tariff for Asseco E-bank, which is an integral part of these General Business Terms.
Payment instrument is any personalized device and/or set of procedures agreed between the consumer of payment services (the User) and the provider of payment services (the Bank) which the consumer of payment services applies for initiating the payment order.
In terms of these General Business Terms as payment instrument is considered Asseco/Halcom E-bank and related safety equipment (smart card and smart card reader).
Payer indicates the User (legal entity/entrepreneur), who at the charge of his account issues a payment order
Payee is a legal entity/entrepreneur or a natural person who is designated as the recipient of funds which have been the subject of the payment transaction
Payment transaction is the payment or transfer of funds that is initiated by the payer.
Payment order is an instruction which the payer submits to his provider of payment services, requesting the execution of a payment transaction.
Urgent payment is a payment that bears the mark of urgency on the payment order and that is executed in accordance with the terms and time for urgent execution of orders in accordance with the Time Schedule for payment transactions of the payment services users.
IBAN (International Bank Account Number) is the international standard for numbering accounts. IBAN is a unique identifier for the client's account which the Bank gives to its customers (for foreign currency accounts of clients)
Domestic payment transaction – means a payment transaction in which the payer’s Bank and the payee’s provider of payment services provide these services on the territory of the Republic of Serbia.
international payment transaction – means a payment transaction in which one payment services provider provides this service in the territory of the Republic of Serbia and the other on the territory of a third country, as well as a payment transaction in which the same payment services provider provides this service for one Payment Services User on the territory of the Republic of Serbia, and for the same or other of Payment Services User on the territory of a third country.
Reference rate is the exchange rate on the basis of which the calculation is performed when changing currency, and which the Bank makes available or that comes from a source that is available to the public. The Bank takes as reference exchange rate the official middle exchange rate of the National Bank of Serbia which was formed and was valid for a given day.
Key policy rate is the interest rate according to which the interest is calculated, which is publicly available.
Business day is a part of a day in which a payer’s or a payee’s provider of payment services operates, and other co-participants in the payment transaction as to enable the execution of payment transaction.
Time and date of receipt of the order is the moment in the business day when the payment order is received in the Bank. The orders received in the current business day prior to the deadline for receipt of the orders, shall be executed the same business day. If the order is received after such a specific deadline, it shall be deemed to have been received the next business day. Time and date of receipt of the order determine the business day in which the execution of the order begins;
Execution date of the payment transaction is the business day when the execution of the order started and the payer’s account became debited;
Value date of the payment transaction is the date when the payer's account is debited and/or the payee’s payment services provider’s account became credited. Value date in relation to the execution date is defined in the document "Time of receipt and execution of a payment order"
Unique identification mark – is a combination of letters, numbers and/or symbols determined by the Bank for a Payment Services User, and which are used in a payment transaction for unambiguous identification of that User and/or his payment account.
TEAM VIEWER - certified software for remote access to the computers of users in order to provide e-banking support via the Internet. On all computers of Team Viewer users, the logs are kept for all activities during the session.
III CONDITIONS FOR USING ELECTRONIC BANKING SERVICES (Asseco e-services/Halcom E-bank)
System requirements (hardware and software) necessary for using E-bank electronic service are available to users in user manuals on Bank’s website
User must at his own expense provide technical pre conditions necessary for the functioning of electronic services.
The Bank reserves the right to change the technical requirements, the type and scope of electronic services. Bank announces changes to its website.
IV CONTRACTING
User agrees to electronic banking services by signing the Framework Agreement whereby he also declares that he is familiar with the General Business Terms and that he accepts them. The User accepts also other applicable General Business Terms published by the Bank that are related to the service which the User contracts.
V FRAMEWORK FOR USING ELECTRONIC BANKING FOR LEGAL ENTITIES AND ENTREPRENEURS
The User contracts the use of the services of e-bank with the functionalities that are available in the services version at the time of the conclusion of the Agreement.
In accordance with the regulations from the Framework Agreement, the Bank as a provider of services, can assign to the User security E-bank equipment, meaning smart card and/or smart card reader. The User can use the security equipment of another bank, which is at Asseco/Halcom service center. The Bank issues to the User along with the smart card a sealed envelope with a PIN code.
In user manuals for the use of Asseco e-services/Halcom E-bank, more closely are described preconditions for using functionalities in the currently valid versions of electronic services and e-banking applications. Manuals are available to the users on Bank’s website .
5.1. The User (resident/non-resident) of the Asseco E-Bank-OfficeBanking application can use the applications in accordance with the functionalities supported version of e-bank. User:
- Have insight into the balance, turnover and statements for dinar and foreign currency current account
- Create a payment order in the country or abroad, with the current value date, or the value in the future for the payee of his choosing
- Create a payment order with a request for urgent execution (i.e. Urgent payment)( in accordance with the time schedule for payment transactions the payment service user)
- Have insight into the current status of the order
- Manage foreign currency inflow
- Resident perform currency exchange (purchase/sale of foreign currency)
- Register his bills of exchange in electronic form by sending them to the Bank for verification.
- Create templates for payment
- Create an order with identical data according to some already sent order
- Perform import of pre-prepared orders in various formats
- Extend the validity period of a certificate
- Perform logging on to the application and signing the orders using certificate, by entering a secret PIN code
5.2. The User (resident) of Asseco WEB E-Bank can use the applications in accordance with the functionalities supported version of e-bank.
