Equipment Agreement

The above described cooler equipment is an integral part of Core-Mark's Fresh Food Fast Program. This cooler equipment will be owned and serviced by the undersigned ("Customer") subject to certain program conditions from sponsoring vendors and Core-Mark to insure that the customer adheres to using the equipment for its intended purposes, as described below:

•The term of the Fresh Food Program with related cooler equipment agreement will be 3 years from the effective date ______

• Customer agrees to purchase all products placed in the cooler from Core-Mark during the term of the agreement.

• Customer agrees to purchase a minimum of $100 of participating fresh food items per week through the entirety of the program.

• Customer agrees to purchase the following brands from Core-Mark and merchandise them in the cooler as explained in the agreed to schematic included in the attached brochure.

Customer agrees not to purchase or merchandise competing products from any other source into the Fresh Food Fast Cooler.

• Customer agrees to participate in the Whole Fruit Program which includes apples, oranges, lemons, limes and bananas. The minimum banana order is 1 case per delivery or 2 cases per week.

• Customer agrees to place the cooler in a mutually agreed upon location inside the store. This location should be visible to customers upon entry into the store.

• Customer understands the minimum dedicated space requirements for the selected model and will make the selection of the cooler model that is appropriate to its store and the schematics outlined in this Fresh Food Fast Program.

• Customer must provide adequate power supply to the location the case is to be placed. See cooler equipment specs for electrical requirements (extension cords are not acceptable).

• Customer agrees Fresh Food Coolers are to be located in an environment where temperatures remain below 75 F (24 C) and humidity does not exceed 55%.

• Customer understands the Fresh Food Coolers should not be installed in any area where the air curtain will be frequently disrupted. This includes placing near an HVAC vent, open doorway, or fan. The rear of coolers should be kept a minimum of 8" from any wall or obstruction.

• Customer assumes all risks of ownership and servicing the cooler equipment once it is delivered to its premises by the manufacturer and agrees to use the cooler for the intended purpose of implementing the above described Fresh Food Fast Program.

• Customer will be responsible for servicing and repairs to the cooler equipment. Core-Mark will not be liable for servicing or guaranteeing the operation of the cooler equipment at any time.

• Customer will be responsible for any related excise, sales or other taxes that were to be imposed by the local and/or state taxing authorities on any such cooler equipment residing within its jurisdiction.

If the customer fails to follow the Fresh Food Fast Program requirements for the three year period, as described above, the customer will be required to reimburse Core-Mark International, Inc.'s promotional marketing costs and expenses for implementing this Fresh Food Fast Program, based on the schedule below:
