- OFFERS OF SINGLE HULL VESSELS WILL NOT BE CONSIDERED. SINGLE HULL VESSELS MAY NOT BE UTILIZED TO LIFT CARGOES UNDER ANY SUBSEQUENT CHARTER PARTY CONTRACT.
- VESSEL MUST PRESENT WITH CARGO SYSTEM IN CLEAN AND GAS FREE CONDITION FOR INSPECTION PRIOR TO LOADING.
- VESSELS WITH SEGREGATED BALLAST TANKS SHALL BE GIVEN PREFERENCE.
- CARGO SURVEY AT LOAD PORT SHALL BE PER CHARTERER'S/COMMODITY SUPPLIER'S APPOINTED INDEPENDENT SURVEYOR/PETROLEUM INSPECTOR AND SHALL BE FOR CHARTERER'S/COMMODITY SUPPLIER'S ACCOUNT.
- CONTRACTED VESSEL(S) MUST BE EQUIPPED WITH HEATING COILS AND MUST MAINTAIN THE FUEL OIL BETWEEN 100 AND 120 DEGREES FAHRENHEIT THROUGHOUT LOADING, TRANSIT AND DISCHARGING.
- SHOULD SHIP TO SHIP (STS) TRANSFER OPERATION BE PERFORMED AT LOAD PORT OR AT A SAFE LIGHTENING POINT, THE PROVISION OF ALL EQUIPMENT FOR SUCH OPERATION SHALL BE SUPPLID BY THE COMMODITY SUPPLIER AT THE COMMODITY SUPPLIER'S EXPENSE.
- CHARTERER HAS THE RIGHT TO EMPLOY UP TO TWO SUPERCARGO(ES) TO ACT ON THEIR BEHALF AND TO HAVE SUPERCARGO(ES) PRESENT ON BOARD VESSEL FOR ALL OR PART OF A VOYAGE FROM LOAD PORT(S) TO DISCHARGE PORT(S). OWNER SHALL PROVIDE THE SUPERCARGO(ES) WITH APPROPRIATE ACCOMODATIONS AND MEALS FOR THE DURATION OF THE SUPERCARGO(ES)' ATTENDANCE ON BOARD VESSEL.
- USAID FLAG AND BANNER REQUIREMENT: SEE PROFORMA CHARTER PARTY RIDER CLAUSE 29 FOR FULL DETAILS.
- VESSEL'S AGE SHALL NOT EXCEED FIFTEEN (15) YEARS FROM DATE OF ORIGINAL CONSTRUCTION. CHARTERERS MAY CONSIDER VESSELS UP TO 20 YEARS OF AGE WITH ANY EXTRA INSURANCE DUE TO VESSEL'S AGE FOR OWNER'S ACCOUNT.
- OWNERS SHOULD ALSO BE AWARE THAT THEY MAY BE REQUESTED TO DISCHARGE THE BULK FUEL OIL AT DISCHARGE PORT WITHOUT THE ORIGINAL BILL(S) OF LADING. HOWEVER, SHOULD THIS BE THE CASE, A LETTER OF INDEMNITY WILL BE ISSUED TO OWNERS. NO BANK GUARANTEE WILL BE REQUIRED FROM CHARTERERS.
- VESSEL WILL NOT BE REQUIRED TO FORCE ICE. HOWEVER, IF REQUIRED, VESSEL SHALL FOLLOW ICE BREAKER TO / FROM DISCHARGE BERTH(S) AT DISCHARGE PORT(S).
- RESTRICTIONS ON CERTAIN FOREIGN PURCHASES:
EXCEPT AS AUTHORIZED BY THE OFFICE OF FOREIGN ASSETS CONTROL (OFAC) IN THE DEPARTMENT OF THE TREASURY, THE CONTRACTOR SHALL NOT ACQUIRE, FOR USE IN THE PERFORMANCE OF THIS CONTRACT, ANY SUPPLIES OR SERVICES IF ANY PROCLAMATION, EXECUTIVE ORDER, OR STATUTE ADMINISTERED BY OFAC, OR IF OFAC’S IMPLEMENTING REGULATIONS AT 31 CFR CHAPTER V, WOULD PROHIBIT SUCH A TRANSACTION BY A PERSON SUBJECT TO THE JURISDICTION OF THE UNITED STATES.

- PREPARATION OF OFFERS:

(B) A RESPONSIVE OFFER IS ONE WHICH ACCEPTS ALL OF THE TERMS AND CONDITIONS OF THE RFP WITHOUT MATERIAL MODIFICATION. A MATERIAL MODIFICATION IS ONE WHICH AFFECTS IN ANY WAY THE PRICE, QUANTITY, AND QUALITY, LOADING DATES, DELIVERY DATES OR SERVICES TO BE SUPPLIED OR

- EVALUATION CRITERIA: AWARDS MADE WILL BE BASED ON BEST VALUE TO THE U.S. GOVERNMENT. THE GOVERNMENT INTENDS TO EVALUATE OFFERS AND AWARD A CONTRACT WITHOUT DISCUSSIONS WITH OFFERORS. THEREFORE, THE OFFEROR’S INITIAL OFFER SHOULD CONTAIN THE OFFEROR’S BEST TERMS FROM A PRICE AND TECHNICAL STANDPOINT. HOWEVER, THE GOVERNMENT RESERVES THE RIGHT TO CONDUCT DISCUSSIONS IF LATER DETERMINED BY THE CONTRACTING OFFICER TO BE NECESSARY. - ASSIGNMENT. THE CONTRACTOR OR ITS ASSIGNEE MAY ASSIGN ITS RIGHTS TO RECEIVE PAYMENT DUE AS A RESULT OF PERFORMANCE OF THIS CONTRACT TO A BANK, TRUST COMPANY, OR OTHER FINANCING INSTITUTION, INCLUDING ANY FEDERAL LENDING AGENCY IN ACCORDANCE WITH THE U.S. ASSIGNMENT OF CLAIMS ACT (31 U.S.C. 3727).
- CHANGES. CHANGES IN THE TERMS AND CONDITIONS OF THIS CONTRACT MAY BE MADE ONLY BY WRITTEN AGREEMENT OF THE PARTIES.
- TERMINATION FOR THE GOVERNMENT’S CONVENIENCE. THE GOVERNMENT RESERVES THE RIGHT TO TERMINATE THIS CONTRACT, OR ANY PART HEREOF, FOR ITS SOLE CONVENIENCE. IN THE EVENT OF SUCH TERMINATION, THE CONTRACTOR SHALL IMMEDIATELY STOP ALL WORK HEREUNDER AND SHALL IMMEDIATELY CAUSE ANY AND ALL OF ITS SUPPLIERS AND SUBCONTRACTORS TO CEASE WORK. SUBJECT TO THE TERMS OF THIS CONTRACT, THE CONTRACTOR SHALL BE PAID A PERCENTAGE OF THE CONTRACT PRICE REFLECTING THE PERCENTAGE OF THE WORK PERFORMED PRIOR TO THE NOTICE OF TERMINATION, PLUS REASONABLE CHARGES THE CONTRACTOR CAN DEMONSTRATE TO THE SATISFACTION OF THE GOVERNMENT USING ITS STANDARD RECORD KEEPING SYSTEM, HAVE RESULTED FROM THE TERMINATION. THE CONTRACTOR SHALL NOT BE REQUIRED TO COMPLY WITH THE COST ACCOUNTING STANDARDS OR CONTRACT COST PRINCIPLES FOR THIS PURPOSE. THIS PARAGRAPH DOES NOT GIVE THE GOVERNMENT ANY RIGHT TO AUDIT THE CONTRACTOR’S RECORDS. THE CONTRACTOR SHALL NOT BE PAID FOR ANY WORK PERFORMED OR COSTS INCURRED WHICH REASONABLY COULD HAVE BEEN AVOIDED.
- OTHER COMPLIANCES. THE CONTRACTOR SHALL COMPLY WITH ALL APPLICABLE U.S. FEDERAL, STATE AND LOCAL LAWS, EXECUTIVE ORDERS, RULES AND REGULATIONS APPLICABLE TO ITS PERFORMANCE UNDER THIS CONTRACT.
