FOREVERGREEN SEEDLINGS LIMITED-TERMS AND CONDITIONS OF SALE 2017_2018
· TERMS OF SALE
Placement of an order with Forevergreen Seedlings Limited is an acknowledgement that the Customer has read and agrees to abide by the Terms and conditions as set out below.
The Directors and Shareholders of any Limited Liability Company shall accept liability for any debt whatsoever owed by their company to Forevergreen Seedlings Ltd. Credit shall be granted on the basis that the customer shall make full payment of all invoices not later than the 20th day of the month following the date of invoice, either by cheque or direct credit. Failure to pay any account by the due date shall be a breach of the trading terms and Forevergreen Seedlings Ltd reserve the right to charge an Account Service Fee of 2% per month, compounding on all overdue accounts until receipt of payment in full.All accounts required to be collected by a Debt Collection Agency will incur all collection fees including the Debt Collection Agency's commission fees.
Ownership of Seedlings
Goods remain the property of Forevergreen Seedlings Ltd until paid for in full.
Events of Default
Notwithstanding any other provision of these terms of trade, full payment for all goods at any time supplied by The Company shall become due immediately upon The Purchaser becoming insolvent or upon the commencement of any act or proceeding in which The Purchaser's insolvency is involved or if The Purchaser resolves to wind up, or is ordered to be would up, or has a receiver, liquidator or official manager appointed in respect of all or any part of its assets
· PRICE
The listed price does not include GST or freight and is subject to change without notice.
· FREIGHT
Seedlings are despatched by courier which is usually 24 hour delivery in the North Island and 48 hour delivery in the South Island. In remote areas, the courier may subcontract delivery to the rural-post operator in that area. If this results in unreasonable delay in delivery or any other inconvenience, it is the Customer’s responsibility to liase with freight company to resolve the issue.
All goods are considered sold and delivered to the buyer when they are placed in the hands of the courier for transport bound for the buyers premises. It is the responsibility of the Customer to notify the courier, as soon as possible after receipt of the goods, of any damage or loss in transit and to lodge a claim against the freight company deems it appropriate.
· ORDERS

The minimum quantity that may be ordered is one tray of any one species.
Availability is naturally dependent on the germination achieved for each species. Some seed is only viable for a limited period after collection which allows only one sowing per year for those species. Seed which is able to be stored for any length of time allows repeat sowings through the year, but the germination rates may vary according to seasonal variations. Any instructions regarding preferred delivery dates will be duly noted but cannot be guaranteed.
· ALLOCATION
When any species is in short supply, preferential allocation may be given to customers whose accounts are consistently paid by due date, at Forevergreen Seedlings Limited’s discretion.
· SEEDLINGS
Forevergreen Seedlings Limited take great care to have all seedlings sold by them to be of merchantable quality and to be correctly identified and to be true to name and description but any express or implied condition, statement or warranty whether arising by statute or common law or otherwise as to merchantibility, fitness for purpose, quality or productiveness is hereby excluded.
· CARTONS AND TRAYS
Forevergreen Seedlings will accept 60 cell trays and 5 cm GOL plugs in the interests of recycling but will not pay for the recycled tray(s).
If 5 cm GOLS are supplied, the tray will be charged at $2.50 per tray at time of invoice. This charge will be reimbursed on receipt of the tray(s) by Forevergreen Seedlings Ltd.
