FALMOUTH RUGBY FOOTBALL and ATHLETIC CLUB LIMITED (“THE CLUB”)

RULES

These rules of the Club are made pursuant to Article 17 and Article 49 of the Club’s Articles of Association. The terms used shall have the same meaning as in the Articles of Association. Where there is any inconsistency between these Rules and the Articles of Association, the provisions of the Articles of Association shall prevail.

1.The Club

The name of the Club shall be Falmouth Rugby Football and Athletic Club Limited. The Club shall be affiliated to the Rugby Football Union and the Cornwall Rugby Union

2. The Objects of the Club

The objects of the Club are to promote and foster interest in Rugby Football, Athletic and Community activities. Club colours shall be Black and White

3.Membership

Under Article 17, the Club consists of Voting Members and Non-Voting Members.

4.Voting Members

The Voting Members shall be:

(i)people who participate in playing rugby union (whether competitively or not) for or at the Club and who are over 18 years old (“Playing Members”);

(ii)coaches and/or officials who represent the Club in that capacity (“Coaching Members”);

(iii)administrators and volunteers who have qualities to promote the objects of the Club, (“Skilled Members”)]; and

(iv)Members elected to the Board in accordance with the Articles

who are admitted to the Club by the Board upon application in accordance with the Articles; and

(v)individuals who have been elected as Life Members of the Club in accordance with Article 33.2.5.

5.Non-Voting Members

The Non-Voting Members shall be:

(i)people who participate in playing rugby union (whether competitively or not) for or at the Club and who are under the age of 18 and who are admitted to the Club by the Board upon application in accordance with the Articles (“Junior Members”);

(ii)people who are supporters of the Club (“Social Members”); and

(iii)Parents of Junior Members unless they are also in one of the categories of

Voting Members in Clause 4 above

6.Rights and Privileges of members

6.1Voting Members are entitled (under the Articles of Association) to receive notice of, including agenda and minutes of, attend and vote at general meetings of the Club (either in person or through his proxy); propose and second candidates for election; receive all Club publications; and to such other membership rights as the Club in general meeting shall from time to time determine.

6.2Non-Voting Members are entitled to receive all Club publications and such other membership rights as the Club in general meeting shall from time to time determine. They are not entitled to receive notice of, attend and vote at general meetings of the Club or propose and second candidates for election.

7.Playing Members

7.1Any player unable to accept their place in a team or at training must inform the appropriate Team Secretary at least two days before the match is to be played

7.2Players must attend practices and training for the purposes of attaining greater efficiency

7.3All players will be permitted to wear the Club tie. Such tie to be purchased at the individual’s expense

7.4Players will be under the absolute control of the team captain during the game. He must report any misconduct or player’s grievance to the Board

7.5The Club Captain and Captains of any other XVs shall be appointed prior to the commencement of the season. The Rugby Committee will recommend the appointments to the Board after full consultation with the players

7.6Any player taking part in seventy five Senior games for the Club shall be entitled to the Club Badge and Colours

(i) The Rugby Committee shall have power to award Club Colours in special circumstances

(ii) Any player having formerly played in the First team but refusing to play in any other team without an excuse acceptable to the Board shall disqualify himself from his entitlement to wear the Club Badge and Colours

(iii) No player to receive more than one Club Badge and Colours

(iv) Colours will be presented at either the Annual Dinner or AGM

8.The Board and Committees

8.1. The Board :

(i) The overall control and organisation of Falmouth Rugby Football and Athletic Club Limited shall be vested in the Board

(ii) The Board shall be appointed in accordance with the Articles

The Board , at their first meeting, shall appoint the following committees:

8.12Rugby Committee:

(i) A Rugby Committee of not more than eight members, will be responsible for the organisation of all matters concerned with rugby and has sole control over applying Club rules to senior players

(ii) The Rugby Committee will meet as and when required

(iii) A quorum will consist of three members

8.13 Social Committee:

(i) A Social Committee of not more than eight members, will be responsible for the booking and organisation of functions to promote social activities which are of financial benefit to the Club and will be responsible for manning and operating the bar

(ii) The Social Committee will meet as and when required

(iii) A quorum will consist of three members

8.14Grounds and Maintenance Committee:

(i) A Grounds and Maintenance Committee of not more than eight members, will be responsible for the organisation of repairs, maintenance and upkeep of the ground and Club buildings in accordance with the requirements of the Board

(ii) The Grounds and Maintenance Committee will meet as and when required

(iii) A quorum will consist of three members

8.15Club Development Committee:

(i) A Club Development Committee of not more than eight members, will be responsible for the organisation of achieving and maintaining the Whole Club Seal of Approval or any other standard required by the RFU and setting and implementing the Club’s Business Plan

(ii)The Club Development Committee will meet as and when required

(iii) A quorum will consist of three members

8.16Volunteer Organising Committee:

(i)A Volunteer Organising Committee of not more than eight members, will be responsible for the recruitment training motivation and control of any Club members other than Board members who provide services for the Club

(ii)The Volunteer Organising Committee will meet as and when required

(iii)A quorum will consist of three members

8.17Marketing Sponsorship and Publicity Committee:

(i)A Marketing Sponsorship and Publicity Committee of not more than eight members, will be responsible for the organisation of selling sponsorship and other promotional funding and advertising space in and around the ground in any Club publications websites and other media owned by the Club; and writing and delivering press releases and other marketing activity

(ii) The Social Committee will meet as and when required

(iii)A quorum will consist of three members

8.18Mini’s and Junior Committee:

(i)A Mini and Junior Committee of not more than eight members, will be responsible for the organisation of the welfare and rugby playing of all Club members from the Under 6 to Under 16 teams

(ii) The Mini and Junior Committee will meet as and when required

(iii)A quorum will consist of three members

8.2.The Chairman of the Board , Secretary and Treasurer shall be ex-officio members of all Sub Committees

(a) A Chairman for each sub-committee shall be elected by the members of that committee at their first meeting.

(b) He/She will have a second vote.

(c) Any member unable to attend a meeting of the sub-committee shall notify the Chairman of the relevant Sub-Committee giving at least 24 hours notice

9.Subscriptions

(a)The annual subscription payable by members of the Club, subject to alteration as provided later in this rule, shall be set by the Board from time to time in accordance with the Articles. The annual subscription is currently £40.00.

(b)The subscription year shall be from 1 September to 31 August inclusive in each year. Any change in subscription made by the Board will be notified to members by being included in any notice, newsletter, or similar document posted to the member by being addressed to him at his last known address, or by posting this information prominently on the Website, on or before 31 July next following after the decision to make the increase and will take effect on the first day of September following such notification.

(c) Members admitted at any time during the year shall pay such proportion of the annual subscription as apportioned to represent the number of full months remaining in the subscription year.

(b) In the event that a member’s membership is terminated for any reason, no refund of a subscription or entrance fee shall be payable unless the Board decides otherwise.

(c) The Secretary shall keep a register of members and subscriptions paid

10.Expulsion of Members

The Board has power under the Articles to expel a member in accordance with Article 32.

11.Rules concerning provision of alcohol on the Club Premises

11.1Purchase for the Club and supply by the Club of intoxicating liquor must be in the absolute discretion of Board or of a sub-committee of not less than four Members being Members over the age of 18 and appointed for that purpose by the Board .

11.2If any member of the sub-committee for any reason ceases to be a Member, he automatically ceases to be a member of the sub-committee, and another Member must be appointed by the Board in his place.

11.3The sub-committee must not in any way be restricted in freedom of purchase.

11.4No one may at any time receive at the expense of the Club any commission, percentage or similar payment on or with reference to purchases of intoxicating liquor by the Club.

11.5No one may directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club to Members or guests apart from any benefit accruing to the Club as a whole and apart also from any benefit which a person derives indirectly by reason of the supply giving rise to or contributing to a general gain from the carrying on of the Club.

12.Guests

12.1Any Member may introduce guests to the Club, and any player, coach, other team representative, match official or spectator attending the Club's premises (by invitation of the Club) who is not a Member shall be a guest of the Board , provided that no one whose application for membership has been declined or who has been expelled from the Club may be introduced as a guest.

12.2No one may be admitted as a guest on more than ten occasions in any calendar year.

13.Opening of Club premises

13.1The Club can open between 10:00 and 03:00 on each day or at such other times or for such other periods as the Board shall decide.

14.Permitted hours

The permitted hours for the supply of intoxicating liquor and provision of regulated entertainment shall be as permitted by the Club's Premises Certificate.

15.Dress Code

The dress code for functions at the Club shall be as determined by the Board

16.Use of Clubhouse

16.1.Members may use the Clubhouse for all legally permitted purposes.

16.2.Illegal gambling, betting, drunkenness, bad language or disorderly conduct shall not be encouraged on the Club premises

16.3. It shall be the duty of any Official or Member of the Club to take every available means in putting a stop to the offences listed in Clause 16.2. Such offences should be reported to the Secretary who must bring details of the offence to the notice of the Board who shall have the power to suspend or expel the member committing the offence

17.Interpretation of the Rules

The interpretation of the rules shall be the prerogative of the Board.

Falmouth Rugby Football and Athletic Club Limited is a non-profit making organisation. All surplus income shall be reinvested in the Club. There shall be no distribution to members or third parties of any surplus or assets
