ThisFacilityUseAgreementismadebetween:

WHEREAS:

a) TheChurchownsandmaintainslandsandpremisesattheaddressnotedabove(the

"Premises");

b) TheRentingPartywishestousethePremises,oraportionofthem,forthePurposestate herein.

NOWTHEREFOREINCONSIDERATIONofthemutualcovenantsandpromisescontainedin this

Agreement,thepartiesagreeasfollows:

1. TheChurchpermitstheRentingPartytousethe( )sanctuary( )kitchen ()fellowshiphall

2. TheRentingPartyshallhaveuseoftheFacilities:

3. TheRentingPartyacknowledgesthattheChurchisacharitableorganizationcreated for theadvancementofreligioninaccordancewiththeteachingsoftheBibleas understoodbytheSeventh-dayAdventistChurch.TheRentingPartyacknowledges andagreesthatthePremisescanonlybe usedforactivitiesandconductthatare fullyconsistentwiththeteachingsoftheBibleasunderstoodbytheSeventh-day AdventistChurch.Inthatregard,theRentingPartywillconductallofitsactivities withinthePremisesinaccordancewithanyreligiously-basedrequirementsasset

outbytheChurchatanytimeand,withoutlimitingthegeneralityofthe foregoing theRentingPartyagrees:

a)Nottoholdparties,dances,games, gamesofchance,salesorbazaarsinthe

Premises;

b)NottopermittheuseofalcoholortobaccoinanyforminthePremises;

c)Nottopermitanyreligiousactivitiesorservicesofanykindwiththe

PremiseswithouttheexpressconsentoftheChurch;and

d)Nottopermitceremoniesorreceptions,includingwedding ceremoniesorreceptions,withinthePremiseswithoutthe expressconsentoftheChurch.

4.TheRentingPartyagreesthattheChurchmayterminatethisagreementand requiretheRentingPartytovacatethePremisesimmediatelyiftheRentingParty failstostrictlyabidebythetermsandconditionsinthisAgreement.TheChurch willhavenoobligationtoreturnanymoniespaidunderthetermsofthis Agreementifitisterminatedinaccordancewiththisprovision.

5.TheRentingPartyagreestoobtainand provideacopyofliabilityinsurance coverageofthreemillionnamingtheChurchandtheAlbertaConference additionalinsured.

6.TheRentingPartyagreesthatitwillobtainandmaintainallrequiredand appropriatelicensesandpermitsrequiredbyanystatute,regulation,bylaw,health authorityorothergovernmentagencyorauthorityofanykindtopermitittouse theFacilitiesforthePurpose.Forexample,iftheyareusingthekitchentheymust holdacurrentcertificateforFoodSanitationandHygiene.TheRentingPartywill providetheChurchproofofhaving compliedwiththisprovisionimmediately.

7.AtthecompletionofitsuseofthePremises,theRentingPartyagreesto:

a) Collectallofitequipment,chattelsandotherpropertyofanykindand

removethemfromthePremises;

b) EnsurethattheFacilitiesareclean;

c)PaytheChurchforthecostofanycleaning,repairsorothercosts considerednecessarybytheChurchfollowingandresultingfromthe RentingParty'suseoftheFacilities.

8.TheRentingParty,onbehalfofitselfand allofitsmembersandguests,hereby waivesreleasesandforeverdischargestheChurchanditmembers,directors,officers,employees,agentsand volunteers(the"Releasees")fromallactions,causes ofactions,suits,claimsanddemandswhatsoeverthatanyofthemmayhaveagainst

anyoftheReleasesasa resultof,arisingoutoforinanywayconnected withfrom theRentingParty'suse oftheFacilities.

9.TheRentingPartywillindemnify andsaveharmlesstheChurchanditsmembers, directors, officers,employees,agentsandvolunteersagainstandfromanyandallclaims,demands, causesofaction,actions,proceedings,losses,damages,expenses, costs,andlegalfeesona solicitor and client basisthatmayariseoutoforbeinanywayconnected with:

a) Theuse oroccupation oftheFacilitiesbytheRentingParty;

b) AbreachbytheRentingPartyofitsobligations underthis

Agreement;or

c) Thematters waivedandreleasedinparagraph8ofthis

Agreement.

10.TheRentingPartyagrees toberesponsible foritsuseoftheFacilitiesandtheactionsofits members and guestsandagreestoreimburse theChurchandpayforanyandalldamage causedbyanyofitsmembers orguests totheFacilitiesortoanyoftheChurch'sfurnishingsor otherassetsinoraroundtheFacilities.

11.IftheRentingPartycauses,findsordiscoversanydamagetotheFacilitiesortoanyoftheassets orpossessionsofthe Churchwithin oraround theFacilities,theRentingPartyshallpromptly provide noticetotheChurchofsuchdamage,includingfulldetailsofthenature,causeand locationofsuchdamage.

12.TheRentingPartyagreestoobtaintheapprovaloftheChurchtothecontent andformofany publication, whetherwrittenorotherwise,whichisintended topubliclyadvertiseorpromote anyofitsactivitiesattheFacilities.TheRentingPartyshallobtainsuchapprovalfromthe Churchatleast30dayspriortousinganypublication asreferenced inthisprovision.

13.TheRentingPartyshallnotsufferorpermit anyotherpartytoaccess,useorenjoytheFacilities,·

oranyportion thereof,without theexpressconsentoftheChurch.TheRentingPartyshallnot bepermitted toassignthisAgreement oranyportion thereofwithouttheexpresswritten consentoftheChurch.

14.TheRentingPartyacknowledgesandagreesthattherearenorepresentationsoragreements otherthanthetermsofthisAgreementandthatthisAgreementconstitutes theentire agreement betweentheparties.
