MULTI-PARTY FRAMEWORK AGREEMENT FORMECHANICAL ROAD CONDITION SURVEYS FOR 2015/2016
THIS FRAMEWORK AGREEMENTis made on BETWEEN
The Road Management Office (RMO)of Milford Public Services Centre,Main Street, Milford,County DonegalasCentralPurchasingBody(CPB)undertheauspices ofDonegalCountyCouncil,Milford Public Services Centre, Main Street, Milford,County Donegala Local Authority(hereinafter called “DCC”) of the One Part and
Service Provider having its registeredaddressat
(hereinafter called “the “Service Provider”) of the Other Part. WHEREAS:
RMOisacentralpurchasingbodywithinthemeaningofDirective2004/18/EC oftheEuropeanParliament andCouncil. RMOentersintothisFrameworkAgreementonitsownbehalf andonbehalfofotherlocal authoritiesinIrelandaslistedinSchedule3hereto thatmaywishfromtimetotimetopurchaseMechanical Road Condition Survey.TheService ProviderwishestoprovidesuchMechanical Road Condition Survey Services asmaybedescribedinaRequestforMini- Tender in accordancewiththis Framework Agreement.
NOW IT IS HEREBY AGREED as follows:-
Definitions and Interpretation
InthisFrameworkAgreementthefollowingterms shallhavethefollowingmeaningsunlessthecontext otherwise provides:
“Commencement Date” means [● ]May2015;
“Contract Period” means the period of durationofthis FrameworkAgreementas set out in Clause 2;
“DeliveryDate”means thedate ordatesstatedbytheFrameworkPurchaserintheDraw-downContractas the dateor dates upon which the Products are to bedelivered;
“Draw-downContract”meanstheagreementtobeenteredintobytheFrameworkPurchaserandthe Service Providerunderandpursuanttowhich theService Provider willprovideMechanical Road Condition Surveysin accordance with the termsandconditionscontainedtherein;
“FrameworkAgreement”means:
(i) theseterms and conditions, including the Schedules; (ii)the Draw-down Contract
(iii)the Request for Mini-Tender
(iv)the Proposal
(v)the Request For Applications as issued on 18thMarch 2015; and
(vi)the Tender Submission
Intheevent ofanyambiguityordiscrepancybetween thesetermsandconditions andthe Schedules,then theseterms and conditionsshall prevail;
Intheeventof anyambiguityordiscrepancybetweentheDraw-downContract andthese terms and conditions,then the provisionsof the Draw-down Contractshall prevail.
Inallotherrespects,intheeventof anyinconsistencyorconflict between the documentsidentifiedat(i)to (v)above,precedenceshallbegiventotheabove documentsindescendingorder(sothat,bywayof example, these terms andconditions shall prevail over the Request for Mini Tenders).
“FrameworkService Providers” means those Service Providers who have beenappointed to theframework;
“FrameworkPurchaser”meansthosebodieslistedinSchedule3heretothat maywishfromtimetotimeto procure Service Providers to carry out Mechanical Road Condition Surveysfrom Framework Service Providers pursuant to this Framework Agreement;
“Mini-Tender”meansatendercompetitionbetweentheFrameworkService Providersconductedinaccordancewith
Clause 3;
“Price” shall have the meaning given to it by Clause 5;
“Proposal”meanstheproposalsubmittedbytheService ProvidertotheFrameworkPurchaserinresponsetoa
Request forMini-Tenders(and the term“FrameworkService Provider’s Proposal” shall be construed accordingly);
“RequestforMini-Tenders”meansaninvitationtosubmitaproposalissuedby theFrameworkPurchaser pursuantto Clause 3, an indicative sample of which issetout in Schedule 4;
“RequestforTender”meanstherequestfortenderasissuedbytheRMOon18th March2015together with any clarifications issued in respectof same;
“Specification”meansthespecificationsorotherinformationrelatingtotheProductsovertheContract
Period,attached at Schedule 1 hereto;
“Tender Submission” means the Service Provider’s tendersubmission submitted to theRMO on [●]; and
1. Entire Agreement
ThisFrameworkAgreementcontainstheentireagreement betweentheparties andcontainsalltheterms whichthepartieshaveagreedwithrespecttoitssubjectmatterandshallprevailoverandsupersedeall prior agreements, understandings, statements and communications between the Service Provider and any FrameworkPurchaser. Withoutprejudicetothegeneralityof theforegoing,theFramework Agreement shall applytothe exclusionof anytermsandconditions whichtheService Provider maypurportto applyatanytime, whether contained in anyacknowledgement of a purchase order or otherwise.
Neitherpartyhasrelied onany otherwritten ororalagreement,representation, arrangement or understanding.
TheService Provider acknowledgesthatithasnotbeeninducedtoenterintothisFramework Agreementbya statementor promisewhichthisFrameworkAgreementdoesnotcontain.TheRMOisnotliableinequity, contract or tort or in any other way fora representation that is notset out in thisFramework Agreement.
2. ScopeofAppointment and FrameworkPeriod
InconsiderationforpaymentbytheRMOofthe sum of€1and forothergoodandvaluableconsideration totheService Provider (receiptofwhichisherebyacknowledgedbytheService Provider)andsubjecttothetermsand conditionssetoutinthisFrameworkAgreement,the RMOherebyappointsthe Service Provider onanon-exclusive basistoprovidetheProducts,ifinstructedtodosofromtimetotimepursuant toClause3,andtheService Provider herebyacceptssuchappointment,ineachcaseupon thetermsandsubjecttotheconditionsofthis Framework Agreement.
TheappointmentoftheService Provider totheFrameworkdoesnotconstituteacommitmentorguaranteebyany ofthe FrameworkPurchaserstoprocureanyProductsfromtheService Provider anddoesnotconferanyexclusivity ontheService Provider.TheFrameworkPurchasersmay procurethe Servicesinotherways outsideofthe Framework from any provider or from other national/regional/localframeworks/tenders in place.
TheFrameworkAgreementshalltakeeffectontheCommencementDateand shallcontinue infullforceand effect for a periodof twenty fourmonthsfrom andincludingthe Commencement Datewith an option to the of a further 12 month extension(the “Framework Period”), unlessit isotherwiseterminatedinaccordancewiththeprovisionsofthisFrameworkAgreementor otherwise lawfullyextendedinlinewiththeprovisionsofthe Request forApplications. Fortheavoidance of anydoubt, theterm ofa Draw-downContract may last longerthanthe Framework Period.Notwithstanding the expiryof theFrameworkPeriod, a Draw-down Contractthat isnot completedprior totheend of the Framework Period shall be governedby this Framework Agreement.
3. Draw-down Contracts
WhereaFrameworkPurchaserwishes toacquireMechanical Road Condition Surveys,itwilldosobymeans ofaMini-Tender. The Framework Purchaser shall issue a Request for Mini-Tenders to all Framework Service Providers that the Framework PurchaserbelievestobecapableofprovidingtheMechanical Road Condition Survey Servicesviathesupplygov.iesystem, inviting eachto submita Proposal.
TheService Providershallcomplywithanyprocedures,processes,timelimits,instructionsor otherrequirements issuedbytheFrameworkPurchaserinrelationtotheMini-Tenderandshallbearanyandallcostsassociated therewith.
Proposals received in responsetoa Mini-Tenderwill be evaluatedon the basis of price only.
TheService Provider willberequiredtomeettheworksrequirementsaspublished witheachRequestforMini- Tender.
The Service Providerthatsubmitsthe lowest priceproposalshall be awarded maximummarks.
IfaFrameworkPurchaserselectstheService ProvidertoprovidetheMechanical Road Condition Survey Services,theService Providershallenterinto a Draw-downContractwith the Framework Purchaser.
Apurchaseordershallissueandshallbeappended toeachseparateDraw-downContract.Defaultbya FrameworkPurchaserorProviderinrelationtoany onepurchase ordershallnotentitlethe othertotreat such as a breach of the entire Framework Agreementand/or terminate this Framework Agreement.
Bysigningandreturningorotherwiseacknowledging aDraw-downContract,theService Provideracknowledgesand agreesthatitshall haveenteredinto a legallybindingcontract withtheFrameworkPurchasertoprovide the Mechanical Road Condition Survey at the locationspecified intherelevantDraw-downContract totheFrameworkPurchaserincorporating termsandconditionssetoutinthisFrameworkAgreement.InanycircumstancewheretheService Providerdoes notformallyacceptaDraw-downContract,dispatchordeliveryoftheMechanical Road Condition SurveybytheService Providerto theFrameworkPurchasershallbedeemedconclusiveevidenceoftheacceptanceofapurchaseorderand the terms and conditionsof the Draw-down contract thereby constituted.
EachFrameworkPurchasershallberesponsiblefor awardingDraw-downContractsinaccordancewiththe Mini-Tender proceduresetoutinthisFrameworkAgreementand RMOshallnothaveany responsibility or liabilitywhatsoeverorhowsoeverarisingfromtheawardofanyDraw-downContractoroutcomeof aMini- Tender.
TheService Providershallperform allDraw-downContractsinaccordancewiththerequirements ofthisFramework Agreement,thetermsand conditionsoftherespectiveDraw-downContractsandinaccordancewithIrish law.
4. The Service Provider’s Obligations
TheService Providershallprovide the service ofMechanical Road Condition Surveys – Regional and Local Roads in IrelandmeetingtheSpecificationtotheFrameworkPurchaserand shall ensure that its staff shall provide Mechanical Road Condition Survey Services to the Framework Purchaser:
inaccordancewiththetermsoftheFrameworkAgreement,including,fortheavoidanceofdoubt the Tender Submission, the Proposaland the Draw-down Contract;
diligently, conscientiouslyand in a professional manner and with alldue care andskill;
incompliancewithallreasonableinstructionsoftheFrameworkPurchaserinrelationtoMechanical Road Condition Surveys;
in adherencewith best industry standards as regards quality control and assurance
incompliancewithallrequirementsand/orobligationsofanylaw,statute,statutoryinstrument, rule, order, regulation, directive and/orbyelaws or other legislative measures;
in absolute co-operationwith the Framework Purchaser;
maintainingtheminimumqualitylevelsofMechanical Road Condition Survey Services assetoutintheSpecificationappended at Schedule 1.
TheService ProvidershallemploysufficientstafftoprovideMechanical Road Condition Survey Services whoshallbeproperlytrained, skilled and qualified.
The Service Providershall, and shallensure thatits sub-contractorsshall, ensure that the rates of payand conditions ofemploymentofeach employee, includinginrelationtosick payandpensioncontributionsofeach employee,complywithallapplicablelawandthatthose ratesofpayarenolessfavourablethanthoselaid down by theNational Minimum Wage Act.
FailurebytheService ProvidertomeetitsobligationsunderthisClauseshallbeconsideredamaterialbreachoftheFramework Agreement.
5. Price
The Priceshall be asset out in the Draw-down Contract
TheService ProvidershallprovideMechanical Road Condition Surveys – Regional and Local Roads in IrelandatthePrice(s)tenderedintheProposalsubmittedpursuant to aMini-Tender.
Unlessotherwisestated,the Price shall be:
exclusiveofanyapplicableValueAddedTax(whichshallbepayablebytheFrameworkPurchaser subject to receipt of aVATinvoice in accordancewiththe Draw-down Contract);
payable in euro (€); and
inclusive ofany costsand/or expenses incurred by the Service Provider in the provision ofMechanical Road Condition Surveys andtheService Providershallnotseektorecoversuch costsand/orexpensesfromtheFramework Purchaser.
6. Terms ofPayment
TheService ProvidershallsendaninvoicetotheFrameworkPurchaserondeliveryoftherelevantMechanical Road Condition Survey in the format specified or atsuch other time(s) as set out inthe Draw-downContract. Each invoice must:
Quote the supplygov.ie mini-tender reference number
Quote the Price
Containa detailed listof the Products supplied and the date(s)of delivery
Subjectto theFramework Purchaserbeingsatisfied astothedueperformanceoftheDraw-downContract, theService ProvidershallbepaidthePriceestablishedthrough theMini-Tenderasset outinthepurchaseorderand in the Draw-down Contract.
EachFrameworkPurchasermayretainorsetoffagainstthePriceanyamountowedtothatFramework
Purchaser by the Service Provider on anyaccount whatsoever.
The Service Provider shall provide a current taxclearance certificate prior to the first payment being made under this agreement.Paymentswillnotbemadeuntilacurrent taxclearancecertificateisfurnishedtoFramework Purchaserby theService Provider andtheService Providerwillnotbeentitledto andtheFramework Purchaserwill notpay anyinterestorpenalties asaresultoflatepayment causedbythe Service Provider’sfailuretoprovideacurrenttax clearance certificate ina timely manner.
WhereverunderthisAgreement any sumofmoneyisrecoverablefrom orpayablebytheService Provider(including anysum whichtheService Providerisliabletopaytothe FrameworkPurchaserinrespectof anybreach ofthis Agreement), thePartiesmayagreetodeductthatsumfromany sumthendue,orwhich at anylatertime maybecomedueto theService ProviderundertheAgreementorunderanyother agreement orcontract withthe FrameworkPurchaser.AnyoverpaymentbyeitherParty,whetheroftheChargesorofVATorotherwise, shall bea sum of money recoverable by the Partywho made the overpayment from the Partyin receipt of
the overpayment.
7. Confidentiality
DuringtheContractPeriodandat any timeafterthetermination orexpiry ofthisFrameworkAgreement (for anyreason) eachofthe PartiestothisFramework Agreementagreestoholdconfidential allinformation, documentationandothermaterialreceived,providedor obtained(whetherinwriting,orallyorbyanother meansandwhetherdirectlyorindirectly)arisingfromtheirparticipationinthisFramework Agreementand shall not disclosesame toany third party except:
oto its professional advisorssubject to the provisions ofthis clause 7; or oas may be required by law; or
oasmaybenecessarytogiveeffecttothetermsofthisFrameworkAgreementsubjecttothe provisions ofthis clause 7;or
ointhecaseoftheFrameworkPurchaserbyrequestofanypersonorbodyorauthoritywhose request theFrameworkPurchaserorpersonsassociatedwiththeFrameworkPurchaserconsidersit necessaryorappropriate to so comply.
TheService Providerundertakesthatitwillproperlyinstructits staffontheabsoluteneedtomaintainprivacyand confidentialityofallmattersaffectingthebusinessoftheFrameworkPurchaseroranypersonsdoing businesswith theFrameworkPurchasersorinanywayarisingfrom documents orrecordsofanykindwhich may come under the handof the Service Provider or itsstaffwhile engaged by a Framework Purchaser.
TheService Providerundertakestocomplywith allreasonabledirections of theFrameworkPurchaser withregardto useandapplicationofallandanyconfidentialinformation.TheService Provideracknowledgesthatthesecurityof theLocalAuthoritiesand theStateanditsinformationisof paramountimportancetotheFramework Purchaser. Accordinglythe Service Providerconfirms that it willfrom time to time, duringthecurrency of this FrameworkAgreementasmayberequested bytheFrameworkPurchasersubmitfullpersonaldetails (includingthoseofsubcontractors)whoareassignedtothe provision of Mechanical Road Condition Surveys (oranypartthereof) underthisFrameworkAgreement.The Service Providerfurtheracknowledgesthatchecksmaybecarriedoutin relationtoallsuchpersonnelbypoliceauthoritiesandtheService Providershallcomplywithallreasonable directionsof the Framework Purchaser arising there from.
8. Contract Review
8.1 The Framework Purchasers may review the Service Provider’s performance fromtime to time during the Term according to the below PerformanceMeasurement Table.
8.2 On completion ofa Framework Contract, if so requested by the FrameworkPurchaser, the Service Provider concernedshall collate andprovide to the FrameworkPurchaser the information required for the Framework Purchaser toreview that Service Provider’s performanceaccording to the Performance MeasurementTablebelow.
8.3 A Service Provider is said to have reachedLevel 1, Level2 or Level 3, if, during thereview for one of the indicators listed in the below table, the number ofoccurrencesof that indicatorequalsor exceeds the number listedin the column headed “Level 1”, “Level2”, or “Level3”.
8.4 If a Service Provider has reached Level 1, the FrameworkPurchaser willgive that Service Provider a written notification and the Service Provider must demonstrateto the FrameworkPurchaser’s satisfaction that it has implementedsteps to redress theproblem.
8.5 If a Service Provider has reached Level 2, theFrameworkPurchaser willexclude that Service Provider from each Mini- Tender in which it is due to participate until theService Provider has demonstrated tothe Framework Purchaser’s satisfaction that it has implementedsteps to redressthe problem. Until the foregoing has been satisfactorily remedied,Mini-Tender competitions may be run without prejudice as if the Service Provider was excluded and the Framework Agreement had been terminated withthe Service Provider
8.6. Only theRMO hasauthority to terminatea Service Provider from this FrameworkAgreement. The Framework Purchaser may notify the RMO if a Service Provider has reached Level 3and the RMO may terminate the Framework Agreement asbetweentheRMO and that Service Providerpursuantto clause 9 below.

TheFrameworkPurchaserandtheService Providershallbecommitted tocontinuouslyimprovingtheService Provider/ Framework Purchaser relationship.
TheService ProvidershallimplementsuchrecommendationsandcomplywithanyFrameworkPurchaser’sfindings totheextentnecessarytoensurethattheMechanical Road Condition SurveycontinuestobedeliveredandtheService Provider continues to meet its obligations in accordance with the requirements set out inthis Framework Agreement.
9. Termination
Withoutprejudicetoanyotherrightsor remediestowhichitmaybeentitled,theRMOshallbeentitledat any time to terminate this Framework Agreement without liability to the Service Provider by givingwritten notice to the Service Provider to takeeffect immediatelyor on the datespecified in the said notice if:-
otheService ProvidercommitsamaterialbreachofanytermorconditionofthisFrameworkAgreementor therelevantDraw-downContractorfailstoperformanyobligationorresponsibilityhereunder,and ifsuchbreachiscapable ofbeing remedied,failstoremedythebreachwithinthirty(30)daysofthe notice givenby the Framework Purchaser or the RMO requiring the Service Provider to do so;
otheService ProviderdeliversaMechanical Road Condition SurveywhichdoesnotmeettherequirementsofthisFramework
Agreement, the Specification and/or aDraw-down Contract including the Delivery Date;
othe Service Providercontravenes any of Clause4;
othe Service Providercontravenes Clause 7;
othe Service Provider reached Level 3 under the Performance MeasurementTable as described in Clause8;
otheService Providerbecomesbankrupt,orconvenesameetingforthepurposesof,proposestomakeor makesanycompositionorarrangementwith,orconveyanceorassignmentforthebenefitofits creditors,or anyapplicationismade underany bankruptcyActforthetimebeinginforcefora sequestrationofitsestate,oratrustee isgrantedbyitonbehalfofitscreditors, oriftheService Provider, beingacompany, entersinto avoluntary orcompulsoryliquidation (other than forthepurpose of an amalgamationorreconstruction,thetermsofwhichhavebeenagreedbytheRMO),orifa receiverorexaminer isappointedover anyofitsassets,oriftheService Providerisunabletopayitsdebts withinthemeaning ofSection214 of theCompanies Act,1963 (asamended by Section123 ofthe CompaniesAct,1990),ortheService Providertakesor suffersanyanalogousactionunderanyother applicable law;
oTheRMOreasonablybelievesthatanyoftheeventsmentionedintheclauseaboveorany analogouseventisabout tooccurinrelation to theService Providerinanyjurisdictionandnotifiesthe Service Provider accordingly;
othe Service Providerceasesor threatens to cease to carryonbusiness;
othe Service Provider is struck off the registerof companies;
oanyrepresentationorwarrantymadebytheService ProviderinconnectionwiththisFrameworkAgreement oraDraw-downContract shallintheopinionoftheRMOprovetobeuntrueorincorrectina material respect as of the date when made;
otheService Provider hascommittedanyfraudulentactor anycriminalactivityorisguiltyofgross negligence in the performance ofthisFramework Agreement ora Draw-downContract; or
otheRMOhasreasontobelievethatgratuities,intheformofentertainment,giftsorotherwise, wereofferedorgivenbytheService ProvideroranyagentorrepresentativeoftheService Provider,toany employeeoftheRMOortheFrameworkPurchaserwithaviewtowardssecuringanyagreement fortheprovisionoftheProductsoranyothercontract.Payingtheexpensesofnormalbusiness mealsshall not be prohibited by this provision;
otheRMOsuspectsthattheService Providerhasenteredintoorimplementedanagreementorhasmade ofimplementedadecisionorhasengagedinaconcertedpracticethatisprohibitedbySection4(1) oftheCompetitionAct2002inwhichcasetheService ProvidermaybereportedbytheRMO orthe Framework Purchaser to the Competition Authority ofIreland; and
owithout cause, the RMOalso terminates its agreements with theother Framework Service Providers.
Shouldconditionsarisewhich,inthe opinion oftheRMOin its absolute discretion,necessitate the terminationofthisFrameworkAgreementand/or aDraw-downContract,the RMOmayterminatethe Framework Agreement and/or a Draw-down Contract upon written notice to the Service Provider.
Shouldconditions arisewhich,intheopinionofaFrameworkPurchaserinitsabsolutediscretion,necessitate the terminationof aDraw-downContract, the Framework Purchaser mayterminate the Draw-downContract upon writtennotice to the Service Provider. Such terminationshalltake effect on the date specified inthe said notice andshallbe withoutprejudicetoany claims whicheitherparty mayhave againstthe otherpartyunder this Framework Agreement and/or a Draw-down Contract.
NeithertheRMOnoranyFramework PurchasershallbeliabletotheService Providerforanylossofprofit,lossof contracts or othereconomiclosses and/orexpensesorforany indirect,economic, orconsequentialloss sufferedorincurredbytheService Providerarisingoutof orinconnection withthisFrameworkAgreementor any Draw-down Contract.
IntheeventoftheAgreementbeingterminatedbyRMOonanyofthegroundslistedaboveduringa Draw-downContract,theService Providershallbeliablefor any lossincurredbyRMOortherelevantFramework Purchaseras aresultof suchterminationincludingthe cost offindinganalternativeService Providertocarryoutthe Service Provider’s uncompleted Mechanical Road Condition Survey.
Termination ofthisFrameworkAgreementoranyDraw-downContractpursuanttothe aboveclauses shall notrelieveordischargeeitherpartyfromanyobligationswhichhaveaccrued priortosuchtermination. Unlessexpresslystatedtothecontrary,theserviceofanoticetoterminatethe FrameworkAgreementshall notoperate as anoticetoterminate anyDraw-downContract madeunder theFrameworkAgreement. Termination orexpiryoftheFrameworkAgreement shallnotcauseanyDraw-downContractstoterminate automatically.Fortheavoidanceofdoubt,allDraw-downContractsshallremaininforceunlessanduntil they are terminated or expire in accordance with theirown terms
10. Assignment, Transfer andSub-Contracting
TheService Providershallnotsub-contract,assignortransfer thisFrameworkAgreementoranypartthereofor the benefitoradvantageofthisFrameworkAgreementtoanythirdpartywithoutthepriorwrittenconsentof therelevant FrameworkPurchaserorRMO.Intheeventofsuchconsentbeinggiven,theService Providershall ensurethatthesub-contractorisareasonableandprudentService Providerandthat thesub-contractorshallcarry out its obligations in accordance with the terms of this Framework Agreement. Notwithstanding the foregoing,theService Provideracknowledgesthatitremainsfullyliableandresponsiblefortheprovisionofthe Products andthe acts and omissions of the sub-contractor as if theywere itsown.
TheService Providershallalsomaintainduringthetermof thisFrameworkAgreementandfor6yearsthereafter recordsand documentationrelatingtothesub-contractorandtheProductsprovidedbyitandshallmake sameavailable to the RMO upon request. Failure orneglect by any Framework Purchaser to enforce at any timeanyprovisionofthisFrameworkAgreementoranyDraw-downContractshallnotbeconstruedordeemedtobeawaiver of thatFrameworkPurchaser’srightshereunder,norinanywayaffectthevalidityof thewholeor anypartofthisFrameworkAgreement,norprejudicetheFrameworkPurchaser’srightstotake subsequent action.
11. Force Majeure
Nodelayorfailureinperformancebyeitherpartyheretoshallconstitutedefaulthereunderorgiveriseto anyclaimfordamagesorlossincludinganticipatedprofitsifsuchdelayorfailureiscausedbyForce Majeure.Unlessotherwise instructedby FrameworkPurchasers,theService Providershallrecommenceperformance assoon as possibleafter the ForceMajeure has ceased.
Force Majeureshallmeananoccurrencebeyondthecontroland withoutthefaultornegligenceoftheparty affectedandwhichthesaidpartyisunabletopreventorprovideagainstbytheexerciseofreasonable diligenceincluding,butnotlimitedto:-actsofGodor thepublicenemy;expropriationorconfiscationof facilities; any formofGovernmentintervention; war,hostilities,rebellion,terroristactivity;localornational emergency, sabotageorriots; floods,unusuallysevereweatherconditionswhichcouldnot reasonablyhave beenanticipated;fires, explosions or othercatastrophes; national ordistrict strikes or any other concerted acts of workmen or other similar occurrencesother than strikes or concerted acts of the Service Provider’s workforce.
Ifanydelayorfailureinperformance,assetoutabove,persistsfor 14daysormore,FrameworkPurchasers shall have the right to terminate the relevant Draw-down Contract by giving 7 days notice in writing to the Service Provider.
12. ConflictsRegistrable Interests and Corrupt Gifts
TheService Providerconfirmsthatithascarriedoutaconflicts ofinterestcheckandissatisfiedthatithasno conflicts in relation to the Mechanical Road Conditionservices and its obligations undertaken under this Framework Agreement.TheService ProviderherebyundertakestoadvisetheFrameworkPurchaserforthwithshouldany conflict or potential conflict of interestcome to its attention during the currencyof this Framework Agreement andtocomply withtheFrameworkPurchaser’sdirectionsinrespectthereof.Anyregistrable interestinvolvingtheService Provider(andanysubcontractororagent asthecasemaybe)and theFramework Purchaser,ortheirrelativesmustbefullydisclosedtotheFrameworkPurchaser immediatelyuponsuch informationbecomingknowntotheService Providerandtocomplywith theFrameworkPurchaser’sdirectionsin respectthereof,tothesatisfactionoftheFrameworkPurchaser.Theterms“registrableinterest”and “relative” shall be interpreted as per section 2 of the Ethics in Public Office Act, 1995. The Service Provider shall not offeroragreetogiveanypublicservantanygift orconsiderationorcommissionofanykindasan inducementorrewardfordoingorforbearingtodoorforhavingdoneorforbornetodoanyactionin relation to theobtainingorexecution of this orany otherpubliccontract.Anybreach ofthisclause10or the commission ofany offence bytheService Provider,anysub-contractor,agent, oremployeeunder thePrevention of Corruption Acts, 1889 to 2005 shall entitle the Framework Purchaser to terminate this Framework Agreementforthwithandtorecovertheamountofanylossresultingfromsuchcancellation,includingbut notlimited torecoveryfromtheService Providerofthe amountorvalue ofany suchgift,consideration or commission.
13. Delivery
TheService Provider shalldelivertheServiceonorbeforetheDeliveryDate,unlessotherwise agreedtoinwriting bytheFrameworkPurchaserinaccordancewiththeFrameworkPurchaser’srequirements.Timeofdelivery of the Service shall be the essenceofthis Framework Agreement, unless otherwiseagreed in writing.
IfaDeliveryDatecannotbemetbytheService Provider,theService ProvidershallpromptlynotifytheFramework Purchaser. Notwithstanding such notice, unless a substitute delivery date for the Service has been expresslyagreedbytheFrameworkPurchaserinwriting,theService Provider’sfailuretoeffectthe deliveryofthe ServiceontheDeliveryDateshallentitletheFrameworkPurchaser,withoutprejudicetoanyotherremedy it may have, to terminate the Draw-down Contract.
TheFrameworkPurchaser shallnotbe deemedtohavetaken deliveryofProducts until adeliverynotehas been signed byaduly authorised representativeof theFrameworkPurchaser. For the avoidance ofdoubt, thetakingofdeliveryofServiceshallnotinferthattheFrameworkPurchaser hassatisfied itselfastothe quality and conformance to Specification of those Products.
14. Insurance
TheService Provider shallmaintaininforceduringtheterm ofthisAgreementfullandcomprehensiveinsurance policiesinrespect ofallcustomaryliabilitiesandrisks undertakenbythe Service Providerinconnectionwiththe provisionof Mechanical Road Condition Surveys, including but not limited to:
1.Employersliabilityinsurancewith alimit ofindemnity ofnoless than€13million forany oneclaim or series of claims arising out of asingleoccurrence with a maximumexcessof €6,500;
2.Public liabilityinsurance with a limit of indemnity of no less than €6.5 million for any one claimor series ofclaims arising out of a single occurrencewith a maximumexcessof €6,500; and
3.Professional indemnityinsurance with a limit of indemnity of no less than €1.5 million for any one claimor series ofclaims arising out of a single occurrencewith a maximumexcessof €45,000; and
TheService Providershallensurethatitsinsurancepoliciesare takenoutwithreputableinsurersacceptabletothe RMOwithinthejurisdictionofthe EUandthatthelevelofcoverandothertermsofinsuranceare acceptable toand agreedby the Framework Purchasers.
TheService Provider shallcomply withalltermsandconditionsof itsinsurancepolicies atalltimes. Ifcover under theinsurancepoliciesshalllapseornot berenewed orbechangedinanymaterialway oriftheService Provideris awareofanyreasonwhythecoverunderitsinsurancepoliciesmaylapseor notbe renewedorbechanged in any material way, the Service Provider shallnotify the RMO withoutdelay.
ItshallbetheService Provider’sresponsibilitytoensurethat anyagentorsub-contractoroftheService Providereffectsand maintainsallinsurancerequiredbylawandallsuch otherinsuranceas arenecessaryforthe provision ofMechanical Road Condition Surveys.Anydeficienciesinthecoverorpolicy limitsoftheinsurance policyofsuch agentsorsub- contractors shall be thesole responsibility of the Service Provider.
