a.Theprices,termsandconditionsstatedunderSpecialItemNumber132‐51Information TechnologyProfessionalServicesapplyexclusivelytoIT/IAMProfessionalServiceswithinthescopeofthisInformationTechnologySchedule.
b.The Contractor shall provide services at the Contractor’s facility and/or at the ordering activitylocation,asagreedtobytheContractorandtheorderingactivity.
2.PERFORMANCE INCENTIVES I‐FSS‐60PerformanceIncentives(April2000)
a.PerformanceincentivesmaybeagreeduponbetweentheContractorandtheorderingactivityonindividualfixedpriceordersorBlanketPurchaseAgreementsunderthiscontract.
b.Theorderingactivity mustestablish a maximumperformanceincentivepriceforthese servicesand/ortotalsolutionsonindividualordersorBlanketPurchaseAgreements.
c.Incentivesshouldbedesignedtorelateresultsachievedbythecontractortospecifiedtargets.Tothemaximumextentpracticable,orderingactivitiesshallconsiderestablishingincentiveswhereperformanceiscriticaltotheorderingactivity’smissionandincentivesarelikelytomotivatethecontractor.Incentivesshallbebasedonobjectivelymeasurabletasks.
3.ORDER
a.Agenciesmayusewrittenorders,EDIorders,blanketpurchaseagreements,individualpurchaseorders,ortaskordersfororderingservicesunderthiscontract.BlanketPurchaseAgreementsshallnotextendbeyondtheendofthecontractperiod;allservicesanddeliveryshallbemadeandthecontracttermsandconditionsshallcontinueineffectuntilthecompletionoftheorder.OrdersfortaskswhichextendbeyondthefiscalyearforwhichfundsareavailableshallincludeFAR52.232‐19(Deviation–May2003)AvailabilityofFundsfortheNextFiscalYear.Thepurchaseordershallspecifytheavailabilityoffundsandtheperiodforwhichfundsareavailable.
b.Alltask ordersare subjecttothetermsandconditionsofthecontract.Intheevent ofconflict betweenataskorderandthecontract,thecontractwilltakeprecedence.
4.PERFORMANCEOF SERVICES
a.TheContractorshallcommenceperformanceofservicesonthedateagreedtobytheContractorandtheorderingactivity.
b.TheContractoragreestorenderservicesonlyduringnormalworkinghours,unlessotherwiseagreedtobytheContractorandtheorderingactivity.
c.TheorderingactivityshouldincludethecriteriaforsatisfactorycompletionforeachtaskintheStatementofWorkorDeliveryOrder.Servicesshallbecompletedinagoodandworkmanlikemanner.
d.AnyContractortravelrequiredintheperformanceofIT/IAMServicesmustcomplywiththeFederalTravelRegulationorJointTravelRegulations,asapplicable,ineffectonthedate(s)thetravelisperformed.EstablishedFederalGovernmentperdiemrateswillapplytoallContractortravel.ContractorscannotuseGSAcitypaircontracts.

5.STOP‐WORK ORDER(FAR52.242‐15)(AUG1989)
(a)TheContractingOfficermay,atanytime,bywrittenordertotheContractor,requiretheContractortostopall,oranypart,oftheworkcalledforbythiscontractforaperiodof90daysaftertheorderisdeliveredtotheContractor,andforanyfurtherperiodtowhichthepartiesmayagree.Theordershallbespecificallyidentifiedasastop‐workorderissuedunderthisclause.Uponreceiptoftheorder,theContractorshallimmediatelycomplywithitstermsandtakeallreasonablestepstominimizetheincurrenceofcostsallocabletotheworkcoveredbytheorderduringtheperiodofworkstoppage.Withinaperiodof90daysafterastop‐workisdeliveredtotheContractor,orwithinanyextensionofthatperiodtowhichthepartiesshallhaveagreed,theContractingOfficershalleither‐

(1)Thestop‐workorderresultsinanincreaseinthetimerequiredfor,orintheContractor'scostproperlyallocableto,theperformanceofanypartofthiscontract;and
(2)TheContractorassertsitsrighttotheadjustmentwithin30daysaftertheendoftheperiodofworkstoppage;provided,that,iftheContractingOfficerdecidesthefactsjustifytheaction,theContractingOfficermayreceiveandactupontheclaimsubmittedatanytimebeforefinalpaymentunderthiscontract.

9.INDEPENDENTCONTRACTOR
AllIT/IAMProfessionalServicesperformedbytheContractorunderthetermsofthiscontractshallbeasanindependentContractor,andnotasanagentoremployeeoftheorderingactivity.
10.ORGANIZATIONALCONFLICTSOFINTEREST
a.Definitions
“Contractor”meanstheperson,firm,unincorporatedassociation,jointventure,partnership,orcorporationthatisapartytothiscontract.
“Contractoranditsaffiliates”and“Contractororitsaffiliates”referstotheContractor,itschiefexecutives,directors,officers,subsidiaries,affiliates,subcontractorsatanytier,andconsultantsandanyjointventureinvolvingtheContractor,anyentityintoorwithwhichtheContractorsubsequentlymergesoraffiliates,oranyothersuccessororassigneeofthe Contractor.
An“Organizationalconflictofinterest”existswhenthenatureoftheworktobeperformedunderaproposedorderingactivitycontract,withoutsomerestrictiononorderingactivitiesbytheContractoranditsaffiliates,mayeither(i)resultinanunfaircompetitiveadvantagetotheContractororitsaffiliatesor(ii)impairtheContractor’soritsaffiliates’objectivityinperformingcontractwork.
b.Toavoidanorganizationalorfinancialconflictofinterestandtoavoidprejudicingthebestinterestsoftheorderingactivity,orderingactivitiesmayplacerestrictionsontheContractors,itsaffiliates,chiefexecutives,directors,subsidiariesandsubcontractorsatanytierwhenplacingordersagainstschedulecontracts.SuchrestrictionsshallbeconsistentwithFAR9.505andshallbedesignedtoavoid,neutralize,ormitigateorganizationalconflictsofinterestthatmightotherwiseexistinsituationsrelatedtoindividualordersplacedagainsttheschedulecontract.Examplesofsituations,whichmayrequirerestrictions,areprovidedatFAR9.508.
11.INVOICES
TheContractor,uponcompletionoftheworkordered,shallsubmitinvoicesforIT/IAMProfessionalservices.Progresspaymentsmaybeauthorizedbytheorderingactivityonindividualordersifappropriate.Progresspaymentsshallbebaseduponcompletionofdefinedmilestonesorinterimproducts.Invoicesshallbesubmittedmonthlyforrecurringservicesperformedduringtheprecedingmonth.
12.PAYMENTS
Forfirm‐fixedpriceorderstheorderingactivityshallpaytheContractor,uponsubmissionofproperinvoicesorvouchers,thepricesstipulatedinthiscontractforservicerenderedandaccepted.Progresspaymentsshallbemadeonlywhenauthorizedbytheorder.Fortime‐and‐materialsorders,thePaymentsunderTime‐and‐MaterialsandLabor‐HourContractsatFAR52.212‐4(MAR2009)(ALTERNATEI –OCT2008)(DEVIATIONI–FEB2007)appliestotime‐and‐materialsordersplacedunderthiscontract.Forlabor‐hourorders,thePaymentunder Time‐and‐MaterialsandLabor‐HourContractsatFAR52.212‐4(MAR2009)(ALTERNATEI–OCT2008)(DEVIATIONI
