TERMS AND CONDITIONS

Vaccines and General Products

Acceptance of orders

All orders are accepted by MASTA Limited subject to these conditions of sale. No variation on these terms or conditions will be accepted by MASTA unless previously agreed in writing. Orders will only be binding on receipt of written confirmation from MASTA. MASTA reserve the right to refuse any order.

Customers Authority

Customers entering into transactions with MASTA expressly warrant that they are authorised to accept these conditions for themselves and as agents for and on behalf of all other persons who are or may be interested in MASTA goods and products.

Payment

Payment of account is to be received by MASTA within 30 days of the date of each and every invoice. Failure to pay on the due date will entitle MASTA to withhold delivery of any subsequent orders.

Prices

Price lists are updated regularly. Prices are subject to change without notice. Prices charged will be those applicable on date of order entry. All trade prices quoted are subject to VAT at the prevailing current rate.

Details and Specifications

Details and specification, listed in our price lists and brochures, are correct at time of going to print. We will be pleased to check the details of any product for you by telephone. MASTA reserve the right to alter any specification of any given product at any time without prior notification or withdraw any item without explanation.

Cancellation of Goods

MASTA will endeavour to meet the customers’ requirements but will not be under any obligation to accept cancellation or amendment to any order or part order.

Retention of Title

All goods supplied by MASTA to the customer shall remain the property of MASTA until such time as MASTA receive full payment for the goods. Until full payment as foresaid the separate identity of those goods should be maintained by the customer. After delivery of the goods to the customer or his nominated sub-purchaser, the goods shall be at the customers risk and the customer shall insure those goods against loss or damage.

Until such time as title in the goods should pass to the customer in accordance with the foregoing provisions, MASTA shall be entitled at any time to repossess the goods whether with or without notice.

Force Majeure

Deliveries against the contract may be suspended pending any contingencies beyond our control and MASTA shall not be liable for any loss or damage occasioned to the customer thereby.

No warranty

MASTA gives no warranty and makes no representation as to the suitability or fitness of any goods for any particular purpose unless expressly given or made in manufacturers brochures.

Deliveries

Every effort will be taken to supply orders promptly but MASTA will not accept any responsibility for suspension or delay in deliveries nor the consequences thereof.

Carriage

All deliveries will be dispatched by carrier to arrive the next day. Carriage charges will be incurred on all orders under £200 (excl. vat). Charges vary and there will be a surcharge for AM and Saturday deliveries. Prices are available on request.

Orders will be dispatched Monday to Thursday. No orders will be dispatched on Friday for Saturday delivery unless specifically requested.

Breakages

Any damage or shortage must be reported to MASTA within 3 working days of the date of the delivery. The complete packaging should be retained if pilfering is suspected or breakage has occurred. If pilfering is suspected MASTA should be notified immediately.

Risk

Risk shall pass to the customer from date of delivery of the goods.

Non - Delivery

In the event of non-delivery of the goods customers must inform MASTA.

Returned Goods

Goods are not supplied on a sale or return basis. Items requiring temperature controlled storage will be accepted to correct a delivery error only and must have been stored correctly whilst on the customers’ premises. In all cases MASTA must be informed immediately if goods need to be returned. A returns number will be issued to you by MASTA. Goods will not be accepted for return without a returns number. Goods accepted for return must be repackaged by the customer in a manner appropriate for transportation. The goods will be collected by a MASTA approved carrier.

Credit will be allowed on authorised returns as follows:

Goods authorised for return within 14 days of dispatch - 100% allowance

Any other goods - no allowance

The following classes of goods will not be accepted for return:

Goods which have been damaged due to improper handling or abuse

Goods which have been opened, partly used or from which the seals have been removed or tampered with

Goods which have been damaged by water, fire or smoke

Goods which have exceeded their guarantee or warranty period

Goods which are made to the customers own specification

Goods which are sterile or disposable

Goods accepted by MASTA for return will be subject to a handling charge at the rate of 25% of the invoiced value of the goods returned.

Health Risk Information

This may be provided in form of a printed booklet or by electronic means (the “Health Brief”).

Copyright Patent Trademarks and Other Intellectual Property Rights

The customer acknowledges that the copyright and any or all of the trademarks trade names patents and other intellectual property rights used or embodied in or in connection with the Health Brief including the manner in which it is presented or appears thereto is the property of MASTA.

The customer shall not without the prior written consent of MASTA abuse or permit the abuse of such copyright or use or adopt any trademark trade name or commercial designation that includes or is similar to or may be mistaken for the whole or part of any trademark trade name or commercial designation used by MASTA.

Liability

MASTA undertakes to use all reasonable endeavours to ensure that the information contained in the Health Brief is as accurate as is commercially possible and that any material inaccuracies or errors will be corrected as soon as possible.

MASTA shall not be liable in contract or tort or otherwise for any direct indirect or consequential loss or damage sustained by the customer or others directly or indirectly making use of the Health Brief.

Proper Law

This contract shall be governed by and construed according to English Law and the purchaser submits to the jurisdiction of the English courts. These terms of trade will prevail over any conditions that shall be issued by the customer. Customers should not rely on any representations made by staff as they do not form part of the contract or collateral contract.
