RELEASE AND CONSENT AGREEMENT

I hereby grant to UCAR the irrevocable right and permission, in respect to the footage and/or photographs (the “Footage”) that it has taken or has had taken of me in which I may be included with others, to copyright the same, in its own name or otherwise, to use, re-use, publish, and re-publish, and otherwise reproduce, modify and display the same, in whole or part, individually or in conjunction with other Footage, and in conjunction with any other copyrighted matter, in any and all media now or hereafter known, for illustration, promotion, art, advertising and trade, or any other purpose whatsoever; and to use my name in connection therewith if it so chooses.

I hereby release and discharge UCAR and its related companies, officers, directors, employees and representatives (each jointly and severally considered one of the Released Parties), from any and all claims and demands arising out of or in connection with the use of the Footage, including without limitation, any and all claims for libel and/or invasion of privacy. This Agreement shall be governed by the laws of the United States and the State of Colorado. Courts located in Colorado shall have exclusive jurisdiction over any matters related to this Release. If for any reason a court of competent jurisdiction finds any provision of this Agreement to be unenforceable, the remainder of this Agreement shall continue in full force and effect.

UCAR may sell, assign, license or otherwise transfer all rights granted to it hereunder, and this authorization and release shall inure to the benefit of the legal representatives, licensees, and assigns of UCAR. I am of full age (eighteen and older) and have the right to contract in my own name. I have read the foregoing and fully understand the contents of this Release. This Release shall be binding upon me and my heirs, legal representatives and assigns.
